Dear Ms. Dunn:

This letter acknowledges that Commission staff has reviewed the FirstEnergy

Service Company’s (FirstEnergy) (on behalf of Metropolitan Edison Company (Met Ed), Pennsylvania Electric Company (Penelec), Pennsylvania Power Company (Penn Power), and West Penn Power Company (West Penn)) proposed Conservation Service Provider (CSP) agreement with PowerDirect Marketing, LLC, filed with the Commission on

November 11, 2013, for the provision of CSP services for theenergy efficiency kit program for small commercial and industrial customers and large government customersfor Phase II of Act 129.

The Implementation Order, inter alia, required all Electric Distribution Companies (EDCs) subject to Act 129 to submit, for Commission review, all proposed contracts

withCSPs. The Commission may order modification of these proposed contracts.

66 Pa. C.S. § 2806.1(a)(8). The Commission, in its Energy Efficiency and Conservation Program Implementation Order at Docket No. M20082069887 (entered January 16,

2009), delegated its authority to review and approve CSP contracts to Commission staff.

First Energy is reminded of the CSP subcontractor registration requirement pursuant to the Commission’s Implementation of Act 129 of 2008 Phase II – Registry of Conservation Service Providers Order at Docket No. M-2008-2074154 (entered July 16, 2013), that all CSP subcontractors with an annual contract cost that equals or exceeds ten percent of the CSP’s total annual contract cost to perform services pursuant to an electric distribution company energy efficiency and conservation plan must also be registered as CSPs.

First Energy is advised that the proposed CSP agreement with PowerDirect Marketing, LLCfiled on November 11, 2013 isapproved. This approval does not constitute approval of any component of FirstEnergy’s Energy Efficiency and Conservation Plan. Furthermore, we note that approval of this filingdoesnot constitute a determination that such filing is consistent with the public interest andthatthe associated costs or expenses are reasonable or prudentfor the purposes of cost recovery. These issues will be addressed by the Commission in any appropriate plan approval andcost recovery proceedings.
