AO EXPOCENTRE, a proprietary shareholding company (“joint stock company” in local terms) under the Russian Law, hereunder: AO EXPOCENTRE, represented by ______acting on its behalf authorized by Power of Attorney No. of ______on one side and ______, hereunder: ORGANIZER OF A COLLECTIVE EXPOSITION, represented by ______acting on its behalf authorized by ______on the other side, hereunder: Parties, if referred to jointly, have hereby concluded this CONTRACT as follows:
1. AO EXPOCENTRE shall make available exhibition premises (Space) at: 14, Krasnopresnenskaya Nab., Moscow, to the ORGANIZER OF A COLLECTIVE EXPOSITION for the period of build up, running and dismantling of the ______Exhibition from ______200_ to ______200_ . Above exhibition Space is being provided for temporary use (lease) against payment as detailed in the table below:

ORGANIZER OF A COLLECTIVE EXPOSITION shall pay AO EXPOCENTRE Registration Fee for every Exhibitor in the Group. Parties should further agree on the number of Exhibitors in the Group.
The rent charged is deemed to include payment for a range of services available to the Group through the ORGANIZER OF A COLLECTIVE EXPOSITION. Any additional services over and above the range covered by the rent are subject to separate ordering and additional payment.
Appropriate Acts executed by authorized representatives of the Parties shall document the services rendered.
2. The ORGANIZER OF A COLLECTIVE EXPOSITION shall pay in advance in favor of AO EXPOCENTRE sufficient amounts to cover full rent agreed under Para. 1 above for the lease of exhibition Space, registration fee, VAT and the total insurance premium due

(Paragraph 14.1 of the General Terms of Participation in Exhibitions held at EXPOCENTRE Fairgrounds), as well as full value of any additional services, if ordered for the Display.
The ORGANIZER OF A COLLECTIVE EXPOSITION shall make any payments under this Contract in Euros. The amounts being paid shall be remitted into a nominated hard currency account of AO EXPOCENTRE against invoices issued by AO EXPOCENTRE within the dates specified in the invoice (alternative version: “ within the following time deadlines:……”)
As payments are processed by respective banks, commission amounts charged by the bank of ORGANIZER OF A COLLECTIVE EXPOSITION shall be to ORGANIZER OF A COLLECTIVE EXPOSITION’s account. Any commission amounts charged by intermediary banks shall be to AO EXPOCENTRE’s account.
The value of the Contract may change, subject to the value of services provided against orders from ORGANIZER OF A COLLECTIVE EXPOSITION confirmed by respective Acts covering work performed.
Should payments be delayed from ORGANIZER OF A COLLECTIVE EXPOSITION, AO EXPOCENTRE shall be entitled to claim payment of penalty from ORGANIZER OF A COLLECTIVE EXPOSITION at the rate of 0.1% applied to amounts overdue for every day of the delay.
3. Should ORGANIZER OF A COLLECTIVE EXPOSITION decide to withdraw from participation in the Exhibition or reduce exhibition Space previously ordered, ORGANIZER OF A COLLECTIVE EXPOSITION shall pay AO EXPOCENTRE penalty as follows:
· If withdrawal happens after the Contract has been signed, the penalty shall be 100% of the total rent value as specified in the Contract;
· Should exhibition Space be reduced against initial order by less than 50% before ______200__ , the penalty shall be 50% of the value of rent applied to the area of exhibition Space by which initially booked Space was reduced;
· Should exhibition Space reduction be by 50% or over, or in the event of any reduction occurring after ______200__, the penalty shall be 100% of the value of rent applied to the area of exhibition Space by which initially booked Space was reduced.
4. Issues not covered by this Contract shall be subject to the General Terms of Participation in Exhibitions held at EXPOCENTRE Fairgrounds as approved by the Order of ZAO EXPOCENTRE General Director No. 116 of November 30, 2004 deemed as integral part of this Contract with all its subsequent amendments.
All rights, obligations and responsibilities of an Exhibitor set forth in the General Terms of Participation in Exhibitions held at EXPOCENTRE Fairgrounds shall apply to the ORGANIZER OF A COLLECTIVE EXPOSITION.
The ORGANIZER OF A COLLECTIVE EXPOSITION has read and hereby accepts the General Terms of Participation in Exhibitions held at EXPOCENTRE Fairgrounds with all its supplements including the Rates for Services provided at exhibitions held at EXPOCENTRE Fairgrounds as approved by Order of the General Director of ZAO EXPOCENTRE No. 13 of February 14, 2005 with subsequent amendments.

5. All disputes, differences or claims arising from this Contract or in connection with it, including its fulfillment, violation or invalidity, shall be subject to settlement in the International Commercial Arbitration Court with the Chamber of Commerce and Industry of the Russian Federation in accordance with its Statute. Decisions of the Court shall be final and binding for the Parties. Governing material law shall be Russian.
6. The Contract may be executed and/or other documents exchanged by facsimile transmissions and electronic mail with mandatory back up dispatch of originals of the e-mailed/faxed copies. ORGANIZER OF A COLLECTIVE EXPOSITION warrants to AO EXPOCENTRE that originals of the executed Contract and other executed documents will be forwarded to AO EXPOCENTRE by registered mail with notification or a courier within five days of execution.
