Definitions
12.1.1“the Transferor”includes the Transferor's successors in title and all covenants by and obligations of the Transferor are joint and several where the Transferor is more than one legal entity
12.1.2“the Transferee” includes its subsidiaries as defined by Section 1159 of the Companies Act 2006 associated companies successors and assigns and all persons authorised
12.1.3“the Easement Land” means the land coloured brown and yellow on the Plan and the Estate Roads
12.1.4“the Access Land” means the land coloured blue and brown on the Plan and the Estate Roads
12.1.5“the Plan” means the plan annexed
12.1.6“the Property” means the land specified in panel3
12.1.7“the Retained Land” means the land comprised in the titles specified in panels 1 & 2 but excluding the Property
12.1.8“Electric Line” means as defined in section 64(1) of the Electricity Act 1989 including (without limitation) all communication cables used in connection with the Undertaking
12.1.9“Electrical Plant” means all relevant electrical plant as defined by section 64(1) of the Electricity Act 1989
12.1.10“the Estate Roads” means the roads pavements verges and footpaths constructed or to be constructed on the Retained Land
12.1.11“Substation” means any building (including any doors gates fences spouts gutters and pipes appurtenant to it)which may be constructed on the Property and any additions alterations and replacement of it
12.1.12"Undertaking" means an electricity distribution business licensed under section 6(1)(c) of the Electricity Act 1989 as amended by section 30 of the Utilities Act 2000 carried on by the Transferee
12.1.13 ˝Poles & Stays˝ means the poles and stays and other supports required for the overhead Electric Lines in the approximate position shown by red symbols on the Plan and includes their sites before erection
Any other land affected should be defined by reference to a plan and the title numbers referred to in panel 2. / Rights granted for the benefit of the Property
12.2The Property is transferred with the following rights.Those rights which relate to Electric Lines arealso held by the Transferee in fee simple for the benefitof its Undertaking.
12.2.1for the Transferee with or without vehicles to pass and repass at all times and for all purposes over and along the Access Landand to park vehicles thereon so far as necessary for the exercise of the rights set out in this clause subject to not obstructing the roads
12.2.2to open any doors or gates installed at the boundary of the Property outwards over the Retained Land
12.2.3to construct erect and maintain (including but not limited to the right to use adjust repair alter re-lay renew supplement inspect examine test and remove) overhead Electric Lines the centre point of which is shown approximately by the red lines on the Plan (and including their maximum swing)together with thePolesand Staysand Electric Lines under the Easement Land and to break up the surfaces thereofand for such purposes to enter so much of the Retained Land as is necessary to exercise the rights granted in a convenient and efficient manner
12.2.4for the Transferee to enter as far as is necessary the Retained Land to inspect maintain and repair the Substation and the boundaries of the Property
12.2.5to take in and expel air from and over the Retained Land through ventilators in the walls and doors of the Substation and to enter on so much of the Retained Land as is necessary to maintain such ventilators
12.2.6to discharge rainwater from the Substation onto the Retained Land
12.2.7to overhang roofs gutters eaves downspouts and the right of encroachment of foundations over and under so much of the Retained Land as is necessary for the Substation
12.2.8of support and protection for the Substation from the Retained Land

12.3
12.3.1The Transferor covenants with the Transferee for itself and its successors in title with the intent and so as to bind the Easement Land and every part thereof:
(a)Not to do or knowingly allow any act which would in any way interfere with or damage any Electric Line laid in the Easement Land
(b)Not to alter or knowingly allow to be altered the existing level nor to cover or knowingly allow to be covered the surface of the Easement Land so as to make the laying of an Electric Line or access to any Electric Line impracticable or more difficult than it is at the date of this transfer provided thatthe Transferor may lay or re-lay appropriate surfaces on any part of the Easement Land which are intended to become a road or footpath after the Electric Lines have been laid
(c)Not to erect or permit to be erected any building or structure (other than any that are shown on the Plan)nor to plant or permit to be planted any trees on the Easement Land or within 1.5 metres of the Property
(d)Not to interfere with or obstruct nor knowingly allow any interference with or obstruction of the free flow of air through the means of ventilation of the Substation
12.3.2The Transferor further covenants with the Transferee so as to bind the affected parts of the Retained Land and to benefit and protect the Property and/or the Undertaking and the rights granted in this Transfer not without the previous written consent of The Transferee to:
(a)erect or extend or permit to be erected or extended any building or other structure within 5 metres on either side of the overhead Electric Lines or so as to encroach upon the foundations of any of the Poles and Stays or upon the ground supporting them
(b)plant or permit to be planted any timber or other tree within a distance of 10 metres of the overhead Electric Lines
(c)alter or permit to be altered the level of the ground within a distance of 5 metres on either side of the overhead Electric Lines or the Poles and Stays or elsewhere on the Retained Land so as to obstruct vehicular access to any of the Poles or Stays
(d)allow or permit to be allowed any vehicle or machinery or plant of any description to approach or pass under the overhead Electric Lines unless a clear space of not less than 1.5 metres is maintained between any conductor forming part of the overhead Electric Lines and all parts of any such vehicle machinery or plant and any person riding on them

Covenants by the Transferee
12.4The Transferee covenants with the Transferor as follows:
12.4.1To exercise the rights granted in this transfer so as to cause no unnecessary damage or disturbance to the Retained Land and at its own expense and to the reasonable satisfaction of the Transferor to make good all damage that may be caused to the Retained Land (but excluding the laying or cost of the permanent surface of the Easement Land when the Electric Lines are first laid)
12.4.2To give to the Transferor reasonable prior notice of its intention to carry out works on the Retained Land pursuant to the rights granted in this transfer save in the case of emergency when no notice is required
12.4.3To indemnify the Transferor against all damage costs expenses proceedings and liabilities (Claims) that at the date of this transferare the reasonably foreseeable consequence of any negligence or other wrongful act or omission that (a) is a breach of the terms of this transfer or (b) arises in the exercise of any of the rights granted by this transfer except such Claims as are due to or arise out of the negligence or wrongful act or omission of the Transferor its servants or agents.
12.4.4The Transferor will :-
(a) give to The Transferee written notice of any Claims as soon as practicable upon the Transferor becoming aware of any Claim;
(b) not admit liability to any third party or make any offer to settle the same without the consent of The Transferee (such consent not to be unreasonably withheld);
(c) allow the Transferee to conduct in the name of the Transferor any litigation or other dispute resolution process giving to the Transferee such assistance and co-operation as the Transferee reasonably may require it paying the fair and reasonable costs of the Transferor of providing such co-operation; and
(d) take all reasonable steps to mitigate any Claims.
[Positive covenants by the Transferor
12.5The Transferor covenants with the Transferee :
12.5.1To indemnify and keep indemnified the Transferee from and against all liability in respect of or arising out of the making up and taking over by the relevant Highway Authority as highways maintainable at the public expense of the Access Land and the roads and footpaths or intended roads and footpaths which adjoin or will adjoin the Property or to which access will be had from the Property including all charges and assessments imposed by the local or other authorities in respect of the carrying out of any private street works (as defined in Section 203 of The Highways Act 1980) until such time as the roads are adopted by the Local Highway Authority as a highway maintainable at the public expense]

12.6
12.6.1Nothing in this transfer creates any rights benefiting any person under The Contracts (Rights of Third Parties) Act 1999
12.6.2Nothing contained in this transfer shall prejudice, restrict or otherwise affect the statutory rights, powers and duties of the Transferee as an electricity distribution network operator or the means by which it exercises those rights and powers or performs those duties.
The transferor must execute this transfer as a deed using the space opposite. If there is more than one transferor, all must execute. Forms of execution are given in Schedule 9 to the Land Registration Rules 2003. If the transfer contains transferee’s covenants or declarations or contains an application by the transferee (such as for a restriction), it must also be executed by the transferee. / 13 / Execution
