Memorandum of Agreement
This Agreement is made on ______2006 between
CSIRO PUBLISHING (the Publisher) whose address is 150 Oxford Street, Collingwood Victoria 3066
and
______ (the Subscriber), which is a University Library in Australia or New Zealand and
whose address is ______
for the provision of a CSIRO PUBLISHING journal subscription package (the package).
For the purpose of this agreement, the package will be available to the Subscriber’s current library network and include ______campuses. Provision of the package to any extension of the Subscriber’s network , which includes new groups will be negotiated with the Publisher.
1. The Package
1.1 The journal titles included in the package are listed in Appendix 1.
1.2 New journals may be added to the package by negotiation between the Subscriber and Publisher.
1.3 If a journal title is no longer available from the Publisher, the Publisher will negotiate alterations to the fee with the Subscriber.
2. Package Content
The content of the package includes:
2.1 Unlimited access to authorized users for the nominated campuses to all full text articles including:
2.1.1 Perpetual access to all issues published in 2007, 2008 and 2009
2.1.2 Access to all available online archives for the period of this Agreement.
2.2 Ongoing supply of print copies of any journal included in the current base for 2006 as listed in Appendix 2. Print copies in addition to the base will be supplied at 70% deep discount off the standard print subscription price.
2.3 Subscribers can change from Print & Online to Online Only subscriptions during the agreement period. Prices will be negotiated in consultation with the client.
3. Term
3.1 The subscription package will be delivered for three years starting 1 January 2007, however access will not be granted until payment is made in full.
4. Fees
4.1 The fee for the package is calculated from the 2007 price of the customer’s base collection (see Appendix 2: the Base Subscription).
4.2 The formula used to calculate the fee, along with the 2007 fee, is summarised in Appendix 3.
4.3 The Publisher may increase the fee in 2008 by not more than 6% of the 2007 fee. The Publisher may increase the fee in 2009 by not more than 6% of the 2008 fee.
5. Perpetual Access
Upon the expiry of this agreement, the Subscriber will retain perpetual access to HTML and/or PDF full-text papers published in 2007, 2008 and 2009. This access will be IP address controlled and content hosted by CSIRO PUBLISHING.
In the event that CSIRO PUBLISHING ceases to publish any of the journals listed in Appendix 1, perpetual access will be maintained for the years in which CSIRO PUBLISHING was the publisher.
6. Conditions of Use
6.1. Use of material supplied under the Agreement is permitted to permanent and authorised staff, students and walk-in users of the Subscriber’s library and computer networks.
6.2. Remote use of material supplied under the Agreement is permitted to permanent and authorised staff and students connected via a modem to the Subscriber’s registered IP address. Remote access to, and sharing of, the online resource among any type of regional consortium is not permitted unless written permission is provided by the Publisher. Such permission shall be added to this Agreement as an Appendix.
6.3. Authorised users may access material to download and print single copies of individual articles for personal, non-commercial use and research. Multiple print copies can only be made under special permission from the Publisher or under license from an authorised copyright collecting society including Copyright Agency Limited (Australia) and subject to payment of applicable fees.
6.4. Interlibrary loan of paper versions of material obtained under this agreement (whether supplied by post, facsimile or secure electronic transmission, using Ariel or its equivalent, whereby the electronic file is deleted immediately after printing) is permitted in accordance with the Australian Copyright Act 1968 and its amendments. Authorised users may not provide, by electronic means, to a user at another library or elsewhere, a retained electronic copy of the material obtained under this agreement.

7. Delivery
7.1. The full text of material in the package will be available through the Publisher’s website at www.publish.csiro.au when payment is received.
7.2. The package is available on a non-exclusive basis from the Publisher and its partner agents.
8. Usage Statistics
The Publisher will provide the Subscriber with statistics on the usage of the material supplied including number of downloads of each journal.
9. Contacts & help desk support
Help desk support for online access will be available from Monday-Friday 9am to 5pm AEST. Contact details for support on contract queries are listed in Appendix 4
10. Payment
The Subscriber will pay the annual subscription fee within 30 days of invoice in the first year and no later than 1 January in each of the respective years covered by this Agreement. Access will not be granted until payment is received.

Appendix 3. 2007 Package Fees
The total fee for 2007 will be: $ ______. This includes the cost of the ‘base subscription’ (see Appendix 2) and an additional sum of $______* for online access to the journals not included in the ‘base subscription’. An invoice will be provided for to pay on.

Subscribers can upgrade their holdings and achieve significant discounts from the Full-suite Online Only price of $16,905. By paying the Additional Package Fee the library is entitled to unlimited online access to the balance of journals not included in their Base Subscription (Appendix 2).
