1 / Proposed amendments to AYM limited articles of association.
The Chair (G. Jones) opened the EGM by welcoming members present, and declared the meeting quorate (43 members present including proxies).
GJ then handed over to the Secretary (I Langley) who explained the changes of the Articles of Association, that had been triggered by the increase in membership of the AYM. Under the current quorate requirements for the AGM we have only been quorate at the last two AGMs due to large numbers of proxy votes acquired. As a result of the 2014 AGM it was agreed that the Articles of Association shall be reviewed by the AGM Executive.
The proposed amendments to the article have been reviewed and approved by the AGM Executive for the recommendation to the AYM membership.
Advice has been sought for the AGM Solicitors Anthony Collins Ltd who explained that any changes needed to be ratified by the membership at an Emergency General Meeting prior to the AGM.
The revisedArticlesof Association and a reports summarising the proposed changes had been circulated to the membership in advance and no comments have been received prior to the EGM. The Secretary ran through the summary report of the proposed changes before asking members to approve.
The Chair asked members present if there were any questions.
There were no questions so the Chair asked members to support the changes proposed to the Articles of Association of the Association of Youth Offending Team Managers Limited.
