Service Level Agreement in connection with the delivery of
‘FUEL FOR SCHOOL 2016/17’
This agreement is made on 2016 (the Agreement)
Between:
1. TRJFP Charitable Foundation (registered charity no. 11601017) registered address 53-55 Cranmer Bank, Leeds, LS17 5JD (the Charity);
2.
(the School).
This Agreement is made in connection with the delivery of “Fuel For School 2015/16” (the Project).
1. Background
The parties desire to work together with a common aim of:
1.1 removing hunger as a barrier to learning and to improve educational outcomes for the children of the School;
1.2 enabling the School to provide children of the School and their families with access to food on a Pay As You Feel (PAYF) basis; and
1.3 educating children of the School about food waste issues.
2. Commencement and duration
The parties agree that this Agreement shall be for a period of 1 year from the date of this Agreement.
3. Purpose of this agreement
The parties agree that the purpose of this Agreement is to ensure the prompt and efficient provision of the services (the Services) outlined in this clause with the objective of ensuring the successful delivery of the Project.
3.1 The Charity agrees to:
3.1.1 provide up to a [half day’s] training concerning food waste issues twice a year for the School’s named lead practitioner;
3.1.2 allow the School to access secure online resources to further the Project, including model risk assessments and recipes;
3.1.3 deliver an assembly to the School to highlight the aims of the Project;
3.1.4 provide the School staff training to highlight the aims of the Project;
3.1.5 secure the provision of food (defined by weight and which will include a variety of dried and fresh produce) to the School on a weekly basis at an agreed time between the parties [term time of the School only – 39 deliveries] [whole year – 52 deliveries];
3.1.6 allow the School to use the PAYF model;
3.1.7 support the School by providing advice to enable it to establish facilities such as a PAYF café or PAYF market stall;
3.1.8 provide Ofsted updates to the School on issues around food and healthy eating; and
3.1.9 provide to the School a model policy on hunger.
3.2 The School agrees to:
3.2.1 appoint a lead practitioner to attend biannual training in accordance with clause 4 below to maximise the benefits of the Project;
3.2.2 adhere to and promote the principles of PAYF; and
3.2.3 ensure risk assessments are complete and used to maintain the safety of all individuals involved in the delivery of the Project.
4. Training
The Charity will provide necessary workshop sessions to all appropriate staff members of the School concerning relevant environmental health regulations. Training may be delivered at the School or at a location near to the School together with other schools involved with the Project. Training may include:

4.2 HACCP/COSHH
4.3 Expiration dates – food safety and food quality

4.6 Basic cooking techniques
4.7 Engaging with the community through food
5. Confidentiality
5.1 For the purpose of this Agreement Confidential Information means:
5.1.1 any intellectual property relating to the delivery of the Project or matters under this Agreement;
5.1.2 any information of a confidential nature disclosed whether in writing, verbally or by any other means and whether directly or indirectly by either party to this Agreement; and
5.2 Each party shall treat as strictly confidential and shall not disclose to any third parties any Confidential Information.
5.3 Notwithstanding the above, a party may disclose Confidential Information:
5.3.1 to the extent that such disclosure is required by the law or regulation; and
5.3.2 to any directors, officers, employees, and professional advisers of such party provided that such party ensures that the confidentiality of such Confidential Information is maintained.
6 Payment for services
The School agrees to pay to the Charity for the Services the amount referred to in the Schedule within 30 days of invoicing unless otherwise agreed. It is agreed that no interest will be applied should payment terms not be met.
7 Food
The Charity is actively involved with other organisations that together form part of The Real Junk Food Project (TRJFP) to divert food produce which is past its expiration date, has experienced some form of accidental damage or is otherwise deemed surplus or excess. TRJFP will only utilise food that is fit for human consumption. The Charity and TRJFP confirm that they adhere to all health and safety regulations when handling, transporting, storing, cooking and cooling diverted food.
8 Pay As You Feel concept
The Charity and TRJFP operate a PAYF concept when dealing with the distribution of diverted food. Types of payment include financial donation or by the giving of skills, time or energy. For the avoidance of doubt payment under this Agreement must be as detailed in clause 6.
9 Termination on breach
If at any time there is any material non-compliance by either party of any of their obligations under thisAgreementand such default is either:
9.1 not capable of being remedied; or
9.2 is capable of remedy but neither party has remedied the default within 10 working days (or such longer period as may be reasonable in the circumstances) after service on the defaulting party by the other party of a notice specifying the default;
the non-defaulting party may, at any time after the expiry of the period referred to in clause 9.2 above, determine thisAgreementby giving written notice to the other party.
10 General
10.1 This Agreement may be executed by the parties in any number of separate counterparts and additional schedules each of which shall be an original but all of which taken together shall constitute one.
10.2 A person who is not a party to this Agreement shall have no right under the Contract (Rights of Third Parties) Act 1999 to enforce any of its terms.
10.3 This Agreement and all matters arising from it shall be governed by and construed in accordance with English Law and the parties submit to the exclusive jurisdiction of the courts of England.
