(the"Organization"),apublicorprivate,non-profitorganizationwithinthemeaningofthat term asdefinedinSection675.2oftheFederalWork-Study (FWS)Regulations,U.S. Department ofEducation,forthe purpose of providingwork tostudentseligibleto participateintheFederalWork-StudyProgram(the"FederalProgram").

2.a. InaccordancewiththerequirementsoftheFederalProgram,employmentprovidedunder this Agreement:(I)) maynot result in the displacementof employedworkers,the impairmentofexistingcontractsforservices,northefillingofpositionsthatarevacant becausethe Organization'sregularemployeesareonstrike;(2)maynotinvolvethe construction,operation,ormaintenanceofsomuchofany facilityasisused oristobe usedforsectarianinstructionorasaplaceofreligiousworship;(3)may notinvolveany partisanornonpartisanpoliticalactivityassociatedwithacandidateorwithcontending factionorgroupinanelectionforpublicorpartyoffice;(4)maynotinvolveanylobbying on the Federallevel; and(5) shall begovernedbysuchconditionsofemployment, includingcompensation, aswillbeappropriate and reasonableinlight ofsuchfactorsas type of workperformed,geographical region,proficiencyoftheemployee, andany applicableFederal,State,orlocallegislation.

b. TheworktobeperformedunderthisAgreementshallbeinthe publicinterest.Innoevent shallworkbeconsideredtobeworkinthepublicinterestif(i)itisprimarilyforthe benefitofthemembersofalimitedmembershiporganization(suchasacreditunion,a fraternalorreligiousorder,or acooperative),rather than forthepublicatlarge,(ii)itisto be performedforanelectedofficialotherthanaspartoftheregularadministrationof Federal,State,orlocalgovernmentor,(iii) itisworkforwhichthepoliticalsupportor affiliationofthestudentisaprerequisiteof,orconsiderationfor,employment.

c. Inorderforapositiontobeconsideredeligibleemployment underthisAgreement,itmust beoneforwhichtheOrganizationnormallypayscompensation. If itisanewposition,it

·mustbeonenormallycompensated byotheremployerssimilartotheOrganization.

3.a. ThesalaryofeachstudentshallbepaidbytheInstitution.TheOrganizationshallpay fortypercent(40%)ofthestudent’sgrosswagestothe Institution,whichamountshallbe utilizedto paythestudentandreimbursetheInstitutionforpermittedadministrative expenses. TheInstitutionshallpaytheremainingsixtypercent(60%)ofthestudent's grosswagesfromFederalWork-Studyfunds.

b. Studentswillbepaidonlyforactualtimeworked,excluding suchthingsaslunch,orthe "break"describedinthisparagraph. AllpersonsemployedunderthisAgreementshallbe givenahalf-hourunpaid"break"aftersixconsecutive workhours.

c. StudentswillbemadeavailabletotheOrganizationbytheInstitutionforperformanceof specificworkassignments. Studentsmayberemoved fromworkinaparticular assignmentsorfromtheOrganizationbytheInstitution,eitheronitsowninitiative,orat therequestoftheOrganization.

d. NostudentmayperformworkonanyprojectundertheFederalProgramformorethan anaverageof20hoursperweekinanysemester(orotheracademictermonthebasis ofwhich creditsare awarded)inwhich classesin which thestudent isregularly enrolledareinsession, unlessspecialexceptionismadeforaspecificstudentby his/hercollege.

e. TheInstitutionwillinformtheOrganizationofthemaximumnumberofhoursperweek astudentmaywork during the summer orother periods ofnon-regular enrollment duringwhichthestudentisnotscheduledtobeattendingclasses. Innocasemaythis exceedforty(40)hoursinoneweek.

f. Anauthorizedofficial oftheOrganizationwillsetforthandsignontheFederalWork­ StudyJobDescriptionFormadescriptionoftheworktobeperformedby students under thisAgreement, the estimated numberof students the Organization will employ,the averagenumberofhoursperweekeachstudentwill beutilizedandthetotallengthoftime theprojectisexpected torunduringtheFederalWork-Studyyear(e.g.,June1,2004to August 31, 2004 or September I, 2004 to May 31, 2005). A separateFWSJob DescriptionFormmustbesubmittedforeachjob.

4.Nostudentwillbedeniedworkorsubjected todifferenttreatmentordiscriminationunder this Agreementonthegroundsofrace,creed,color,nationalorigin,sex,ageordisability,andthe OrganizationcertifiesthatitwillcomplywithprovisionsintheCivilRightsActof1964as amended(P.L.88-352;78Stat.252)andin20U.S.CodeAnnotated,Section1681,(TitleIX ofP.L.92-318)andtheRegulationsoftheDepartmentofEducationwhichimplementthese Acts.

5.Transportationforstudents toandfromworkassignmentswillnotbeprovidedbyeitherthe

Institution ortheOrganization.

6.TheOrganizationshallbedeemedtheemployerforpurposesofthisAgreement. Ithasthe righttocontrolanddirecttheservicesofthestudents,notonlyastotheresult tobe accomplished,butalsoastothemeansbywhich theresultistobeaccomplished. The Institutionshallbelimitedtodeterminingthatthestudentsmeettheeligibilityrequirements foremployment undertheFederalProgram,toreferringstudentstoworkfortheOrganization, andtodeterminingthatthestudentsareperformingworkforwhichtheyareassignedtothe Organization.

7.a. Wagesduestudentsfor workperformedonaprojectunderthisAgreementwillbedisbursed bytheCollegefromwhichthe student was referred.

b.The Organization, at its sole cost, will pay 100% student gross wages for hours worked beyond the students budgets

8.a. TheOrganizationwilldelivertotheInstitutioneverythirdweek(orsuchotherperiod asthe Institutionmayrequest uponduenoticetotheOrganization),accordingtoaschedulewhich theInstitutionwillestablish, inaformsatisfactorytotheInstitution,timereportsindicating thetotalhoursworked eachweekandcontainingtheOrganization'ssupervisor'scertification oftheaccuracyof the hoursreported and ofsatisfactory performanceonthe partofthe student. TheOrganizationshallretainforaperiodoffiveyearsforitsrecordsacopyofevery timereport(timesheet)submittedtotheInstitution.TheOrganizationshallmaintainrecords identifyingtheperiodofwork,thenameofeachstudent,therateofpay perhour,thenumber ofhoursworked,thegrosspayfortheperiod,andalldeductionsandnetearnings.

9.aItistheresponsibility oftheOrganizationtonotifytheInstitutionwithinoneweekof receiptofinvoicesofanydiscrepanciesbetweentheinvoicesitreceives andthe Organization'sown records. Otherwise,theOrganizationisdeemedtohaveacceptedthe Institution'sinvoiceascorrect Inaddition,theOrganizationshallmakefullpaymentonallundisputedportionsofthebillwithinten(10)daysofreceiptofsuchinvoices. TheOrganizationwillalsoretainforaperiodoffiveyearsforitsrecords,acopyofeachinvoiceitreceivesfromtheinstitution.

Inaddition,theOrganizationagreesthatifit becomesnecessaryfortheInstitutiontopursue collectionproceduresorlitigationinorder torecovertheOrganization's40%shareoftheProgram(or otherapplicablecostssuchas F.I.C.A.),theOrganizationshallberesponsibleforandshallpayallcollectioncostsand thefullcostofsuchlitigation inclusiveofreasonableattorney's fees.

b. TheInstitutionreservestherighttoinstitutealatefeeof$15foranyinvoiceover90 (ninety)dayspastdue.

c. The Institutionmay at its option discloseto credit bureauorganizationsthat the

Organization isninetyormoredaysinarrears.

10.a. TheOrganization,atitssolecost,willcarryWorker'sCompensationInsurancecovering allstudentsworkingfor it underthisAgreement The Organizationalsoagreesto indemnifyandsaveharmlesstheInstitutionfromWorker'sCompensationclaimsandany awardsmadeforinjuriesarisingoutoforsustainedbyanystudentduringthecourseof his/herworkfortheOrganization.

b. FORFEDERALAGENCIESONLY: Paragrapha)abovedoesnotapplytoFederal agencies.Insteadthefollowingwillbeapplicable."Itisunderstoodthatstudentsassigned bytheInstitutiontotheOrganizationareconsidered'Federalemployees'forpurposesof beingaffordedtheprotectionof U.S.C.A.Sees.8101etseq.'CompensationforWork Injuries.'"

11.TheOrganizationwillreimbursetheInstitutionforallemployer'srequiredcontributionsunder FederalorStatesocialsecuritylaws,andanyothersimilarcontributionsofanygovernmental bodyat anytimeduringthe lifeofthisAgreement orarenewalthereof. Anyliabilityorcost associatedwith unemploymentinsuranceisfullythe responsibilityof theparticipating Organization.

12.The Institutionreserves the right to make periodic on-site inspection visits to the

Organization.

13.This Agreementshall supersedeany andallpriorAgreementsbetweentheInstitution, includingbutnotlimitedtoagreementsbetweenanyoftheconstituentCollegeslistedin Paragraph17,andtheOrganization,regardingthemutualoperationofastudentwork-study programundertheprovisionsoftheFederalWork-StudyProgram.

14.TheOrganizationagreesthatastudentmaybecompensatedundertheFederalProgramonly untilthestudenthasearnedhisorher FWSaward.Anawardistheamountof moneyaFWS studentmayearninaFWSyearorpartthereofasdesignatedbythelnstitution.Theamount ofanFWSstudent'sawardshallbemadeknowntotheOrganizationinwritingprior tothat student beinghired. NothinginthisAgreementshallbedeemedtobeaguaranteefromthe InstitutiontotheOrganizationofthereferralofanystudentstotheOrganization.

15.TheOrganizationagreesthatit willserveallthosewhoseekitsservicesonastrictly non-preferentialbasis. Thatis,noonemaybedeniedservicesbecauseofracial,religious, age,sex,orethnicfactors,normaypriorityorpreferencebegiventoanyonebasedonsuch factors.

16.TheOrganizationshallinformtheInstitution,withintendaysthereof,ofanyemploymenton itsnon-FWSpayrollofaCUNYFWSstudent,eitherduringorafteremploymentofsuch studentunderthisAgreement.

17.a. ThefollowingunitsoftheInstitutionareparticipatingintheFederalProgram:Baruch

College,BoroughofManhattan CommunityCollege,BronxCommunityCollege,

BrooklynCollege,City College,CollegeofStatenIsland,GraduateSchoolandUniversity Center,HostosCommunityCollege,HunterCollege,JohnJayCollege, Kingsborough CommunityCollege,LaGuardiaCommunityCollege,LehmanCollege, MedgarEvers College,The New Community College, NewYorkCityCollegeofTechnology, QueensCollege,Queensborough CommunityCollege,YorkCollege,andCUNYLawSchoolatQueensCollege.

b.EachparticipatingCollegeshalldesignateofficialstoreferFWSstudentstotheOrganization.

18.ThisAgreementshalltakeeffect ______andshallterminate May31,20______EitherpartymayterminatetheAgreementupon30dayspriorwrittennotice.
