CONSTITUTION

OF THE

WOOSTER SOCCER ASSOCIATION

NOVEMBER 1993

ARTICLE I

Name

The name of the organization shall be the Wooster Soccer Association, hereafter called the WSA. WSA is organized to support and promote both recreational and traveling youth soccer programs.

ARTICLE II

Objectives

  1. WSA is a non profit organization.
  2. WSA shall promote youth soccer and encourage good sportsmanship.
  3. WSA shall be charitable through volunteer cooperation of adults reaching and training youth in the game of soccer.
  4. WSA’s income shall be used for operating, training, and scholarship expenses, with no part of the income being used for the personal benefit of officers, directors, or the general membership.

ARTICLE III

Membership

  1. Membership in WSA shall be parents or guardians of registered soccer players, all coaches of WSA teams, and persons accepted by the board as an active participant in WSA.
  2. Membership in WSA entitles a person to vote at annual general membership meeting and at any special membership meetings.

ARTICLE IV

Board of Directors and Officers

  1. WSA shall be governed by a Board of Directors, hereafter called the Board, elected at the annual general membership meeting in May. Each Board member will serve a one-year term from July 1 through June 30.

Parks & Recreation Representative- Ex Officio member

  1. The duties of WSA Board members shall include, but not be limited to, the following areas of responsibility:

President- Preside over general membership and board meetings; set agendas for all meetings; appoint a nominating committee; pay approved bills in absence of Treasurer.

President-Elect- Assist the President and preside at all meetings in the absence of the President; recruit and direct formation of youth traveling soccer teams.

Treasurer- Maintain custody of all WSA funds; disburse funds approved by the Board; keep records of all receipts and disbursements; report monthly to the Board on the financial status of WSA; recommend an annual budget.

Secretary- Keep and preserve a recordof the proceedings of WSA and all other records, except those of the treasury; arrange for Board meeting places, times, and dates; prepare summaries of monthly and annual meetings of the WSA for Board and the newspaper.

Director of Grounds and Facilities- Survey the fields and make recommendations to the Board for improvements or additions; serve as liaison with WoosterParks and Recreation Dept.; supervise maintenance agreement with City of Wooster.

Director of Membership/ Registration- Serve as liaison with City of Wooster in gathering and distributing information about team registration, clinics, and camps; maintain up-to-date membership roll; chair nominating committee.

Director of Personnel- Recruit and train interested parties to serve as coaches, referees and linemen; schedule referees for all home WSA soccer games.

Director of Equipment- Inventory and manage WSA equipment and uniforms; report inventory regularly to the Board.

League Representative(s)- Serve as liaison with member traveling soccer leagues; report regularly to Board and traveling team coaches.

Additional Board Members- Serve as ad hoc chairmen as needed.

  1. If any Board member is not in attendance at a Board meeting, their vote is forfeited. A quorum will be met if six voting Board members are in attendance at a meeting. A simple majority will decide the vote. In event of a tie vote, the matter at hand will be referred to the Executive committee, whose decision will be final. The President’s vote is the final tie breaker.
  2. One person may serve in more than one position on the Board of Directors.

ARTICLE V

Elections

  1. The Nominating Committee is responsible for notifying members of election of Board positions in a timely manner.
  2. The nominating Committee shall seek to identify all potential candidates for Board positions and present a list of all candidates for all Board positions to the general membership meeting.
  3. All WSA members present at the General Membership meeting shall elect Board membership.
  4. Each position shall be determined by a majority of those members present and voting.

ARTICLE VI

Resignation and Appointment

  1. Any Board member may resign by oral or written notification to such effect at any meeting of the Board. Such resignation will take place immediately or at such time as the individual specifies.
  2. Vacancies on the Board will be filled by appointment by the Board as quickly as possible. The position will be filled by election at the next general membership meeting.

ARTICLE VII

Powers of the Board

  1. Funding. The WSA may fund any expenses necessary and proper for the operation of the Association for the attainment of the stated purposes.
  2. Advisory. In conjunction with the Wooster Parks & Recreation Department and / or appropriate youth soccer leagues, the Board may:
  3. Determine player eligibility for recreational and traveling teams.
  4. Regulate fees and procedures for both
  5. Determine equipment, maintenance and other purchases needed
  6. Management. The WSA shall establish operational policies necessary for the attainment of the stated purposes of the Association.

ARTICLE VIII

Meetings

  1. Annual General Membership Meeting will be held in May of each year, time and date to be announced on or before the prior month’s Board meeting, and will replace the regular monthly Board meeting. At such annual meeting the list of nominees for Board membership shall be presented to the general membership for a vote. In addition to electing and installing Board members, the general membership shall vote on a proposed budget for the following fiscal year, consider reports, and shall vote on such business as may be properly brought before the annual meeting.
  2. Regular monthly meetings- The Board of Directors of the WSA shall meet regularly on a day and at a time determined by the Board at the Annual Membership meeting. At east eight such meetings shall be held during each fiscal year. All regular monthly meetings of the Board of Directors of the WSA shall be open to the general membership.
  3. Special General Membership Meetings- Special meetings of the WSA may be called by any member of the Board of Directors by resolution at a regular meeting, provided that not less than seventy-five percent of the Board members present vote affirmatively for such special meeting. Such resolution shall specify the time, place and the purpose of such special meeting, which shall be held not less than seven nor more than thirty days after the passage of such resolution.

ARTICLE IX

Players

  1. WSA players shall be boys or girls, healthy enough to stand the physical demands of soccer.
  2. WSA shall have on record registration papers including permission slip for each player which must be signed by the youth’s parent or guardian.
  3. WSA youth registration papers shall release WSA from all injury claims.

ARTICLE X

Funding

  1. Funding for recreational and traveling teams will come from registration fees, sponsorships, donations and fund-raising projects.

ARTICLE XI

Amendments

  1. Any general or Board member of WSA may propose amendments to this Constitution at any regular Board meeting. All proposed amendments must be approved by an affirmative vote of seventy-five percent of the Board of Directors before it is presented to the general membership for approval.
  2. Such approved amendments then will be presented to the general membership for approval by a 2/3 vote of members in attendance and voting. This vote will take place at the annual general membership meeting or at a Special general membership meeting.
  3. Duly approved amendments will take place immediately after approval by the general membership vote.

ARTICLE XII

Operating Policies

  1. The Board shall develop written operating policies to direct the daily operation of the Association. These policies shall be reviewed annually and revised as needed.
  2. A majority vote of Board members in attendance at any monthly Board meeting may approve recommended amendments to the operating policies.
