EMPLOYMENTAGREEMENTCONCERNINGPATENTSANDCOPYRIGHTS

PREAMBLE:UIusesthefollowingformofemploymentagreementconcerningpatentsandcopyrights.ThissectionwasaddedtotheHandbookinJuneof1988andrevisedinJulyof1992andgivenatemporaryrevisioninApril2003.Forfurtherinformation,contacttheTechnologyTransferOffice(208-885-4630ortheOfficeoftheFacultySecretary(208-885-6151).

SPECIALNOTICE:TheApril2003revisionisonlytemporaryandallowsthepatentandcopyrightpracticestocontinueunderrevisedguidelinesuntilthefinallanguageisdraftedbyanadhoccommitteethatwasformedinApril2003.IfthatrevisionhasnotbeenapprovedbythefacultybyMay2004thispolicywillrevertbacktoits1992revision.AoneyearextensionwasapprovedbythefacultyattheApril27,2004,facultymeeting.[ed.7-04]

ADDITIONALNOTICE:TheUIusestheMemorandumofUnderstandingformofagreementconcerningpatentsandcopyrightswithnon-employeestudentsandvisitorsparticipatinginuniversityresearchactivities.Thisallowsthenon-employeestudenttoparticipateintheuniversity’spatent/copyrightincomedistributionprogram(FSH5300)whileprotectingtheinterestsofthefaculty,staff,student,anduniversity.ThissectionwasaddedtotheHandbookinMay2003.Forfurtherinformation,contacttheResearchOffice(208-885-6651).

AsanemployeeoftheUniversityofIdaho(University),IacknowledgethatIamsubjecttothepoliciesandrulesoftheRegentsoftheUniversityofIdaho(Regents)publishedattheIdahoStateBoardofEducation’swebsite

Pursuanttothosepolicies,Iherebyagreetothefollowing:

Withregardtoinventions:

A-1.IunderstandthatunderUIpolicyFSH5300,theUniversityownsallpatentableinventionsmadebyUIemployeesatanyofitsfacilitiesinthecourseofprojectsorresearchprogramscarriedonbyUIormadebypersonsinthecourseofworkingonsuchprogramsorprojectsundercontractsoragreementswithUI.Iwilldisclose exercisemybesteffortinnotifyingtheUniversityResearchOfficeof totheUniversityallpotentiallypatentableinventionsconceivedorfirstreducedtopracticeinwholeorinpartinthecourseofmyUniversityresponsibilities.Ifindoubtaboutthepatentabilityofaninvention,IwillconferwiththeUniversity'sResearchOffice.

A-2.IalsowillexercisemybesteffortinnotifyingtheUniversityResearchOfficeofdiscloseallpotentiallypatentableinventionsconceivedorfirstreducedtopracticeinwholeorinpartthroughtheuseofUniversityresourceswhenthatuseismorethanincidental(FSH5300).Again,ifindoubtastowhatisincidentaluseIwillconferwiththeUniversity'sResearchOffice.

A-3.IfurtheragreetocollaboratewiththeUniversityintheassignment,asrequiredbythepoliciesoftheRegentsandtheUniversity,ofallmyrights,titleandinterestsinsuchpatentableinventions.

A-4.IalsowillexercisemybesteffortinprovidingrelevantdocumentationprovidecompleteddocumentsandfullyparticipateinactionsthatallowtheUniversitytopromptlycompletetheassignmentofrights,titleandinterestsinsuchpatentableinventions. suchassignment.

IacknowledgethatintheStateBoardofEducationPoliciesandProceduresSectionV.M.3.b.,theBoardofRegentsandtheUniversityofIdahoclaimnoownershipinterestinworkssubmittedforpublicationbyfaculty,students,andcontractors. Employees,students,andcontractorsretaintherighttocopyrightandpublishtheirownworks. Thatis,asageneralrule,allrightstocopyrightablematerialarethepropertyofthecreator. Thedistributionofroyalties,ifany,isamatterbetweenthecreatorandhis/herpublishersandlicensees. However,theuniversitymayelect,bycontractorpolicy,toclaimaninterestinthecopyrightablematerialproduced,inwholeorinpart,bytheiremployeesandcontractors. Forexample,differenttreatmentmaybeaccordedbytheuniversityincasesofspecificcontractsprovidingforanexceptionwheretheuniversitymayemploypersonnelforthepurposeofproducingaspecificwork. Differenttreatmentmaybedeemednecessarytoreflectthecontributionoftheuniversitytotheworkasinthecaseofsoftware,maskworksformicrocircuitchips,oraudiovisualmaterial,orwhereasponsoredagreementrequiresotherwise. Specifically,theUniversitypolicyisthatallrightsincopyrightshallremainwiththecreatorunless:RegentsUniversitypolicystatesthatallrightsincopyrightshallremainwithmeasthecreatorunlessthework:

B-1.isawork-forhire(andcopyrightthereforevestsintheUniversityundercopyrightlaw),

B-2.issupportedbyadirectallocationoffundsthroughtheUniversityforthepursuitofaspecificproject,

B-3.iscommissionedbytheUniversity,or

B-42.isotherwisesubjecttocontractualobligations.

IwillcollaboratewiththeUniversityofIdahotoassignorconfirminwritingright,titleandinterest,includingassociatedcopyright,inandtocopyrightablematerialsfallingunderabove.

IagreetoobtainfrominformallstudentsandvisitingscholarswishingtoparticipateinmyUniversityresearchprograms,andwhoarenotemployeesoftheUniversity,about signedcopyoftheUniversity“MemorandumofUnderstandingRegardingResearchParticipationandtheUniversityPatentRightsandCopyright”availablefromtheTechnologyTransferOfficeandabouttheFSH2300ArticleII.2StudentCodeofConduct. IwillnotallowanystudentorvisitingscholartoparticipateinmyUniversityresearchprogramwhohasnotsignedacopyofthe“MemorandumofUnderstandingregardingresearchParticipationandtheUniversityPatentRightsandCopyrights”.IwillprovidetheTechnologyTransferOfficewithacopyofthesignedMOU.

IcertifythatIamundernoconsultingorotherobligationtoanythirdperson,organizationorcorporationthatis,orcouldbereasonablyconstruedtobe,inconflictwiththisagreementwithrespecttorightstoinventionsorcopyrightablematerials.

Iwillnotenterintoanyagreementcreatingcopyrightorpatentobligationsinconflictwiththisagreement.

Thismemorandumofunderstandingisenteredintoby______,astudentattheUniversityofIdaho(“participant”),______,aprofessor/researcheratUniversityofIdaho(“faculty”),andtheRegentsoftheUniversityofIdaho(“university”).

Theparticipantisinvolvedinresearchactivitiesorenrolledin______,whichmayinvolveworkingonresearchordesignprojects.Theseactivitiesorprojectsmayormaynotresultinthedevelopmentofpatentablesubjectmatterand/orcopyrightableworkproductsinwhichtheuniversityand/orasponsormayhaveaproprietaryinterest.

a.Theparticipantacknowledgesreceiptofcopiesoftherelevantpatent/copyrightpoliciesoftheRegentsoftheUniversityofIdahoandtheUniversityofIdaho.

b.Theparticipantagreestomakehis/herbestefforttopromptlydiscloseingtotheTechnologyTransferOfficeanyofhis/herdiscoverieshe/shemakesthatmaybepatentable/copyrightabletotheTechnologyTransferOffice.

c.Theparticipanthastherighttosubmitanythesis,dissertation,orotheracademicproductbaseduponorresultingfromhis/herworkaspartofthefulfillmentoftherequirementsforobtaininganundergraduate,master’s,ordoctoraldegreefromtheuniversityorresultingfromcollaborationwiththeuniversity.

d.Inexchangefortheopportunitytoparticipateintheseprojectsandtherighttoreceiveroyalties,theparticipantagreestoassignhis/herright,title,andinterestinanyresearchorotherprojectoutcome,includingcopyrightorpatentrights,derivedfromtheparticipant’sworkinthisclassorresearchactivitiestotheuniversity.Thisassignmentvestsrightsintheuniversityasprovidedforintheuniversity’scopyrightandpatentpoliciesattachedheretoandissubjecttotheparticipant’srighttoshareinroyaltiesinthesamemannerasemployeesoftheuniversity.
