COMPLIMENTARY PROGRAMMING

AUTHORIZATION AGREEMENT

This COMPLIMENTARY PROGRAMMING AUTHORIZATION AGREEMENT (the “Agreement”) is entered into as of the date referenced below, by and between DIRECTV Inc., a Californiacorporation (“DIRECTV”), and the person whose name, addresses, home telephone number, and social security number are referenced at the end of this Agreement (“Participant”).

Participant currently is employed by (Dealer Name) as an employee,or is a principal/owner of (Dealer Name). Participant has been selected to receive certain complimentary DIRECTV programming at his/her principal residence. Accordingly, pursuant to the terms and conditions herein, Participant will receive DIRECTV’s Premier programming package at no charge so long as Participant meets and maintains certain qualifications and (Dealer Name) remains eligible to participate in the Complimentary Programming Program (the “Program”).

Participant Qualifications and Responsibilities. Participant, by completing and signing this Agreement, makes the following representations and warranties to DIRECTV:

1. As of the date of signature of this Agreement, Participant (other than Participants who are a principal/owner of (Dealer Name)) is and has been employed by (Dealer Name) as a full-time permanent employee. Participant is an employee in good standing, as reasonably defined by (Dealer Name) management. For the purpose of this Agreement, “full-time, permanent employee” shall mean employment of at least thirty scheduled hours per week.

2.Participant has taken all legal action, if any, necessary to permit the installation, maintenance and service of theDIRECTV Equipment at Participant’s dwelling unit and property.Notwithstanding the foregoing, as between DIRECTV and Participant, Participant is solely responsible for all costs related to the acquisition and installation (and removal, if applicable) of DIRECTV Equipment.

3. Participant agrees that his/her household will:

(i)Timely remit payment to DIRECTV for programming ordered by Participant or Participant’s household that is not provided free of charge to Participant pursuant to this Agreement, if any (including, but not limited to, pay-per-view or sports packages purchased by Participant), or any lease or other service fees; and

(ii)If Participant relocates during his/her employment, or during his/her time as a principal/owner with (DealerName), Participant must immediately notify (Dealer Name) of such relocation and Participant’s new address, remove the DIRECTV Equipment from Participant’s old residence and install the DIRECTV Equipment at Participant’s new residence (or have the DIRECTV Equipment professionally removed and installed), all at Participant’s sole cost and expense. Notwithstanding anything to the contrary in the preceding sentence, Participant shall not install, or have installed, the DIRECTV Equipment at Participant’s new residence unless and until Participant has taken all legal action necessary to permit the installation, maintenance, service and removal of the DIRECTV Equipment at or from the Participant’s new dwelling property.

4.Participant understands and agrees that the complimentary programming is provided on a month to month basis and no complimentary programming shall be provided by DIRECTV from such time as (i) Participant no longer is employed in good standing by (Dealer Name) on a full-time permanent basis or a principal/owner of (Dealer Name), or (ii) in the event Participant fails to meet certain performance standards specified by (Dealer Name) and/or DIRECTV in writing, or (iii) in the event DIRECTV is no longer using (Dealer Name)’s services, or (iv) in the event (Dealer Name) fails to qualify for the Program, or (v) in the event DIRECTV notifies (Dealer Name) of the discontinuation of the Program. Participant shall be fully responsible for all DIRECTV programming costs incurred after such date.

5.Participant shall not sell, give, or otherwise transfer the DIRECTV Equipment to any person and shall keep the DIRECTV Equipment at his/her dwelling unit for the duration of his/her use of the DIRECTV Equipment, pursuant to the terms of this Agreement.

6.In the event that Participant elects to acquire DIRECTV Equipment at a retail location, Participant shall be bound by ALL terms and conditions of that transaction, including, but not limited to, a minimum, paid subscription period of certain DIRECTV programming as well as any early subscription termination fees. In such case, Participant will not be eligible for, nor be provided, free DIRECTV programming pursuant to the terms hereunder until the expiration of any minimum subscription period.

7.Participants with active or inactive DIRECTV accounts may not have any past due balances as of the date of request for complimentary services. In the event that Participant becomes delinquent with respect to any additional programming or other services ordered from DIRECTV, DIRECTV, at its sole discretion, may terminate the complimentary programming.

8.In order to remain eligible to receive complimentary programming, Participant must (a) pay his/her DIRECTV bill via recurring credit card or electronic funds transfer, and (b) have an active phone line to each DIRECTV receiver in his/her home.

Miscellaneous. DIRECTV and Participant further agree as follows:

1.Participant is responsible for the payment of any taxes imposed upon Participant in connection with Participant’s receipt of the DIRECTV programming services.

2.This, along with DIRECTV’s standard customer agreement provided to Participant within his/her first monthly DIRECTV Service statement and the Lease Addendum, is the entire Agreement between DIRECTV and Participant concerning use of the DIRECTV Programming by Participant. This Agreement may not be changed or amended, nor may any provisions be waived, except in writing signed by the party to be charged.
