VANDERBILTUNIVERSITY PROFESSIONAL SERVICESAGREEMENT
ThisProfessionalServicesAgreement(“Agreement”),isenteredintoasof ______20__, by and between a[corporation, limitedliabilitycompany, partnership,orsoleproprietor]withaprincipalplaceofbusinessat[ADDRESS],actingonitsbehalfandon behalfofitssubsidiaries(hereinafterreferredtoas"CONSULTANT"),andVANDERBILTUNIVERSITY,a Tennesseenotforprofitcorporation,locatedforpurposesofthisAgreementat2201WestEndAvenue, Nashville,TN37235(hereinafter"VANDERBILT”)setsforththeagreementwhereby CONSULTANTagreesto providetheServicesdescribedinthisAgreementtoVANDERBILTandVANDERBILTagreestoutilizesuch ServicesfromCONSULTANTaccordingtothetermsandconditionshereinafterprovided.
EachindividualassignmentunderthisAgreementshallbedefinedindatedproposalsintheformoftheattached ScheduleA(“Schedule”).EachScheduleistobeseparatelyexecutedandwhensoexecutedisincorporatedby referenceandshallbecomeapartofthisAgreement.TermsandconditionsineachScheduleshallsupersedeany conflictingtermsandconditionsinthisAgreementforonlythespecificassignmentdefinedintheSchedule.Each Schedule,togetherwiththetermsandconditionsofthisAgreement,shallconstituteandbeconstruedasaseparate agreement.
ARTICLEI- DEFINITIONS
The term"ProjectManager"shallmean the individualassigned byeach ofthe parties heretoto be the focalpoint forcommunicationswiththeotherpartyonaparticularassignment.
Theterm“HoursWorked”shallmeanhoursspentengagedinprovidingtheservicescontemplatedhereunder regardlessof whereperformed.
The term"FeeArrangement Type"shallmeanthemethodofpricingtheSchedule:a“FixedPriceAssignment”,a “BestEstimateAssignment”,an“HourlyServicesAssignment”,orothertypeasdefinedherein.
A"FixedPriceAssignment"shallmeanthatCONSULTANTshallassumeresponsibilityforthecompletionofthe projectforafixeddollaramountandby thedatespecifiedintheSchedule,providedVANDERBILThasmetallits responsibilitiesanddeadlinedatesspecifiedintheSchedule.ShouldCONSULTANTanticipatethattheresources currentlyassignedtotheproject arenot sufficient toensure its timelycompletion,CONSULTANTshallsupplement themasnecessaryatnoadditionalcosttoVANDERBILT.
A"BestEstimateAssignment"shallmeanthatCONSULTANTshallassumeresponsibilityforprojectmanagementandshallestimatethenumberofhoursrequiredtocompletetheCONSULTANTtasksidentifiedinthe Schedule,providedVANDERBILThasmetallitsresponsibilitiesanddeadlinedatesspecifiedintheSchedule. CONSULTANTshallbillVANDERBILTforHoursWorked.Iffewerthantheestimatedhoursofeffortare required,thenVANDERBILT’scostshallbelessthantheestimatedcharges.Ifmorethantheestimatedhoursare required,CONSULTANTshallnotifyVANDERBILTassoonasCONSULTANTbecomesawareoftheneedfor additionalhours.Atthattime,VANDERBILTmayterminatetheSchedulepayingforthehoursexpendedtodate, continuewiththeworkuptotheestimatedhoursofworkcontracted,orexercisetheformalchangecontrolprocess toamendtheScheduletoauthorizeadditional work.

An"HourlyServicesAssignment"shallmeanthatVANDERBILTshallretainprojectmanagementresponsibilities and CONSULTANTshallassistVANDERBILTwith specific tasks,someofwhichmaybe identified onthe Schedule(s).CONSULTANTshallprovideVANDERBILTwithanhourlyratetobechargedfor HoursWorked.
The“Deliverables”shallmeantheproducts,materialsorservicestobeprovidedbytheCONSULTANTto VANDERBILTandlistedintheattachedSchedule(s).
ARTICLEII–SCOPEOF WORK,CHANGECONTROL,ACCEPTANCE
2.1ScopeOfWork.Each proposal inthe formof theScheduleAattached hereto,togetherwithanyexhibits shall definethescopeofworkforaparticularassignmentunderthisAgreement.EachScheduleshallspecifythe ObjectiveandScopeofWork,VANDERBILTResponsibilities,Deliverables,DueDates,Fees,theparties’ ProjectManagers,anyconfidentialinformationtobeexchangedbytheparties,andanyotherinformation relevanttotheassignmentanditssuccessfulcompletion.TheSchedule,anyexhibits,anydetailedinstructions andanytaskdescriptionsagreedtoinwritingbytheparties'ProjectManagersshallcollectivelyconstitutethe complete"Specifications"fortheworktobeperformedbyCONSULTANT underanySchedule.
2.2ChangeControl.Duringthecourseofanassignmenthereunder,VANDERBILTmaydesireachangeinthe scopeof the effort.Requests for changes are to bemadeinwritinganddeliveredtotheCONSULTANT Project Manager.Uponcompletionofthereview,anychangesinSpecifications,pricesorothertermsacceptedbythe parties shallbe documented in a revised Schedule andsigned bytheparties.Changes in prices,terms andconditionsordurationmustbeapprovedbyVANDERBILT personnel withappropriatecontractsignatureauthority.
2.3Acceptance.AcceptanceshalloccurwhentheDeliverablesdescribedintheSchedulemeettheagreedupon acceptancecriteriaasdescribedintheSchedule. IftheDeliverablesdonotmeettheacceptancecriteriaas setforthintheSchedulewhenitisofferedbyCONSULTANTforVANDERBILT’sacceptance, VANDERBILTshallgive CONSULTANTdetailed written notification ofthe non-conformance within ten (10) businessdaysofdelivery.Withinthirty(30)daysofreceiptofsuchwrittennotification,CONSULTANTshall correctthenon-conformanceandresubmittheDeliverables.UpondeliveryofthecorrectedDeliverables, VANDERBILThas10additionalbusinessdaystoaccept.Ifthenon-conformancehasnotcorrected, VANDERBILTmayelecttoterminatethisAgreementaccordingtothetermsofparagraph7.1Termination.
ARTICLEIII–PERSONNEL
3.1IndependentContractor.CONSULTANTanditsemployeesshallperformitsdutiesinthis Agreementas an independentcontractorandnotasemployeesofVANDERBILT.NeitherCONSULTANTnoranyagentor employeeofCONSULTANTshallbeor,shallbedeemedto be, an agentoremployee of VANDERBILTand CONSULTANTshallhavenoauthorization,expressorimplied,tobindVANDERBILTtoanyagreements, liability,orunderstanding.CONSULTANTshallhavethesoleresponsibilityfortheconductofitsemployees andagents,andforpaymentoftheirentirecompensation,includingsalary,withholdingofincomeandsocial securitytaxes,worker'scompensation,employeeanddisabilitybenefitsandthelike.CONSULTANTshallbe responsibleforallemployerobligationstowardsallofitsemployeesandagentsunderallapplicablelaws.This Agreementisnotintendedtobenorshallitbeconstruedasajointventure,association,partnership,orother formofabusinessorganizationoragencyrelationship.
3.2Conflictof Interest.CONSULTANTrepresents and warrants thatnone of its principals, noranyemployee or subcontractorofCONSULTANTperformingtheServices,isafacultymember,employee,postdoctoral scholar,student,oragentofVANDERBILT.NeitherCONSULTANT,noranyofitsprincipals,oranyofits employeesorsubcontractorsperformingtheServices,hasapersonalorotherbusinessrelationshipwithany
VANDERBILT department that is participating in this Agreement or has the authority to approve payment of the Services under this Agreement.
3.3SubcontractingRights.CONSULTANT maysubcontractspecificassignmentshereunderonlywith VANDERBILT’sprior writtenpermission.
3.4Hiring.Eachpartyagreesnottohireanyemployeeoftheotherwithwhomsuchpartyhascontactduringan assignmentunderaSchedulewithoutthepriorwrittenpermissionoftheotherpartyduringthetermoftheassignmentandcontinuingforaperiodofsix(6)monthsthereafter.However,thisprovisionshallnotapplyto
a.CONSULTANT’s employeeswho havebeencontinuouslyassignedtofull-timeVANDERBILTactivities inexcessoftwelve(12)consecutivemonths,
b.CONSULTANT’semployeesdesignatedonaScheduleas“ContractFor Hire”,
c.employeesofeitherpartyrespondingtoadvertisementsmadeatjobfairsorinmediacirculatedtothe generalpublicatlarge,orformeremployees,agents,orsubcontractorsof CONSULTANT.
3.5OnSiteActivity.CONSULTANTagreesthatwhiletheirpersonnelareonVANDERBILT’spremises,they willabidebyVANDERBILT’snormalworkrulesandstandardpracticesgoverningemployeebehavior.If VANDERBILThasawrittensetofrulesthatapplytocontractors,VANDERBILTshallfurnish CONSULTANTwithacopyofsuchworkrules.CONSULTANTalsoagreestorequiretheirpersonnelto workinamannercompliantwithcurrentapplicableOSHAregulationsandallotherapplicablelaws,rules and regulations.
ARTICLEIV-FEES,PAYMENTS,TERMS CONDITIONS
4.1Fees/Payments.Forallassignments hereunder, CONSULTANTshallprovide VANDERBILTwith fees based on:(i)aFixedPrice;ii)aBestEstimate;or(iii)an Hourly Services fee foreach assignment. Such classification shallbereflectedintheSchedule.
ForallFixedPriceAssignmentshereunder,CONSULTANTshallinvoiceVANDERBILTaccordingtothe "FixedFeeInvoicingArrangements"specifiedintheapplicableSchedule.ForallBestEstimateandHourly ServicesAssignments,CONSULTANTshallbillVANDERBILTforHoursWorkedondetailedinvoicessubmittedeverytwo(2)weeks.CONSULTANTshallinvoiceVANDERBILTforanytravelorotherexpensesas theyareincurred.
AllinvoicessubmittedbyCONSULTANTshallsetforththefollowing information:(i)thecontractnumberof thisAgreementandthenumberoftheSchedulebeingbilled;(ii)VANDERBILT'spurchaseordernumber,if applicable,(iii) CONSULTANT'sProjectManager'sname;and(iv)theamountbeingbilled.
PaymentTermsshallbeNet45Daysfromthedateof CONSULTANT’sinvoice.
4.2Expenses.VANDERBILTshallreimburseCONSULTANTforallmaterialsandreasonabletravelexpenses incurredbyCONSULTANTpersonnelforexpendituresidentifiedontheScheduleorwhichbothpartiesagree isrequiredtoperformthisAgreement. Allexpensechargesshallbebasedonactualout-of-pocketexpenses. No"service"chargeshallbeapplied. Copiesoforiginalreceiptsshallbeprovided.
4.3Duration of Agreement.This Agreement shall be in force and effect for a term commencing
(mm/dd/yyyy)andending(mm/dd/yyyy).

4.4OrderofPriority.Intheeventofinconsistencyoftermstheorderofpriorityshallbeeachattachedand incorporatedSchedule,thenthisAgreementandthenanyCONSULTANTdocumentsincludedasadditional attachments.
4.5PurchaseOrders.Notwithstandinganypriornegotiations,anysubsequentPurchaseOrders,intheform attachedhereto,issuedbyVANDERBILTinconnectionwiththisAgreementisanoffertobuytheServices andanyrelatedDeliverablesasdescribedherein.ByacceptingtheVANDERBILTPurchaseOrderorbyper- forming the Services, the CONSULTANTaccepts allof the terms and conditions setforth therein to the extent thatthesetermsandconditionsarenotinconsistentwiththosesetforthwithinthisAgreement.Intheeventof anyinconsistencythetermsofthisAgreementshallcontrol.VANDERBILT’sofferisexpresslyconditioned onacceptanceby CONSULTANTofVANDERBILT’stermsand conditions. No preprinted termon anyform ofCONSULTANTshallbe ofanyforce oreffectwhatsoever.
4.6Non-Exclusivity.Unlessspeciallyagreedtobythepartiesherein,thisAgreementisanon-exclusiveofferby VANDERBILT to buythe Services and Deliverables fromCONSULTANT.
4.7Taxes.CONSULTANT’sinvoicetoVANDERBILTshallincludeallapplicabletaxesresultingfromthis Agreement. Suchtaxesshallnotinclude taxes based on CONSULTANT’s income. VANDERBILTrepresents thatitisanon-profitcorporationandisexemptfromsalesandusetaxesintheStateofTennesseeandvarious otherstatesand,therefore,atleastwithrespecttosalesinTennessee,invoicesshouldnotincludesalesoruse taxes. VANDERBILT’Ssalesandusetaxexemptioncertificatenumberis100142007.
4.8BillingDisputes.Billingdisputesshallnotbecausefornon-performanceunderthisAgreement.
ARTICLEV-OWNERSHIPANDCONFIDENTIALITY
5.1IntellectualProperty.Allright,titleandinterestworldwideinanytangibleworkproductordeliverable createdbyCONSULTANTinthecourseofperformingthisAgreementshallbethesoleandexclusivepropertyofVANDERBILT.ItistheexpressintentofthepartiesthatallWorkProductordeliverablescreatedby CONSULTANThereundershallbeworkmadeforhireasdefinedinUnitedStatescopyrightlaw,17U.S.C.§101et.seq.IfforanyreasonCONSULTANT'Sworkproductordeliverablesaredeemednottoconstitute workmadeforhire,CONSULTANTherebyassignstoVANDERBILTallright,title,andinterestworldwide inandtotheworkproductanddeliverables,sinceitistheexpressintentofthepartiesthatVANDERBILT bethesolepartywiththerighttoexploitCONSULTANT’sworkproductanddeliverables.Asusedinthis Agreement,“WorkProduct”shallmeanallmaterials,inventions,ideas,researchresults,information,improvements,worksofauthorshipandanyotherworkproductcreated,developed,made,conceived,reduced topracticeordeliveredbyCONSULTANTinconnectionwiththisAgreement,inwholeorinpart,solelyor incollaborationwithothers,including,withoutlimitation,theDeliverables,andallintermediateandpartial versionsthereof,aswellasallprogrammaterials,flowcharts,notes,outlines,andthelikecreatedinconnectiontherewith;and“IntellectualPropertyRights”shallmeanallcopyrights,trademarks,tradesecrets,know- how,patents,patentapplications,continuations,continuationsinpart,divisions,reissuesandextensions,all foreigncounterparts,maskworkrightsandallotherproprietaryandintellectualpropertyrightsthroughout the world.
5.2ConfidentialityObligationsofCONSULTANT.CONSULTANTshalltreatanyinformationeitherclearly describedontheScheduleorclearlymarkedasVANDERBILTasconfidentialandproprietaryto VANDERBILT.CONSULTANTshalllimitaccesstotheConfidentialInformationtoCONSULTANT’spersonnelassignedtoVANDERBILThereunderandshallnotuse,copy,orremoveanyConfidentialInformation fromVANDERBILT'spremisesexcepttotheextentnecessarytocarryoutthepurposesofScheduleassignmentshereunder,withoutthepriorwrittenconsentofVANDERBILT.Uponcompletionorterminationofeachassignmenthereunder,CONSULTANTshall returntoVANDERBILT'sProjectManageralldocumentsorother materials,whichcontainVANDERBILTConfidentialInformationanddestroyallcopiesthereof.
5.3ConfidentialityExceptions. Confidentialinformationshallnotinclude,andtheseconfidentialityobligations shallnotoperateasarestrictiononCONSULTANT'srighttouse,disclose,orotherwisedealwithinformation which:
a.isorbecomes generallyavailabletothepublicthroughnowrongfulactof CONSULTANT;
b.wasinCONSULTANT'spossessionpriortothetimeitwasacquiredfromVANDERBILTandwhich wasnotdirectlyorindirectlyacquiredfromVANDERBILT;
c.isindependentlymadeavailableasamatterofrighttoCONSULTANT byathirdparty;
d.isrequiredtobedisclosed,intheopinionofCONSULTANT’slegalcounsel,bycourtorderoroperationoflaw;or
e.isindependentlydevelopedbyorforCONSULTANTbypersonsnothavingexposuretoVANDERBILT'sConfidentialInformationnotexceptedabove.
5.4Period of Confidentiality.CONSULTANT’sobligationsofconfidentialityregardingVANDERBILT’s ConfidentialInformationshallsurvivetheterminationoftheScheduletothisAgreement.
ARTICLEVI-WARRANTIES
6.1GeneralWarranty.AllDeliverablessuppliedunderthisAgreementshallstrictlyconformtoall specificationsfurnishedtoCONSULTANTandapprovedby VANDERBILT.CONSULTANTwarrantsthat theDeliverablesareofgoodandmerchantablequality,freefromdefectsinmaterialsandworkmanshipand shallbe fitand suitable for the purposes intended.
6.2Originality.CONSULTANTrepresents,warrants,andcovenantstheoriginality ofany Deliverablesorwork it performs hereunderorthatanyDeliverables provided underthis Agreementare appropriatelylicensed ordo not violateanyU.S.patent,U.S.copyright,tradesecret,orotherintellectualpropertyrightofanythirdparty.
6.3Releases.NeitherCONSULTANToritspermittedsubcontractors,noranyoftheirrespectiveemployees, agents,ordesignatedrepresentatives,byenteringintothisAgreement,usinginformationormaterials,and performingtheDeliverableshereunder,hasorwillviolateanyconsulting,employment,non-competition,proprietaryinformation,confidentialityorotheragreement,arrangement,understanding,orrestrictionbetweensuch partyandapresentorformeremployer,principal,clientorotherindividualorentity. CONSULTANTshall assistVANDERBILTin allreasonable respects to obtain releases orothernecessary ordesirable information or documentationregardinganyoftheforegoing.
6.4ComplianceWithLaws.CONSULTANTrepresents,warrants,andcovenants that itisinfullcompliancewith theImmigrationReform andControlActof1986, as amended, and willonly provide Vanderbiltwith personnel whoseemploymenteligibilityhasbeenverified.CONSULTANTexplicitlywarrantsthatitisincompliance withallapplicableFederal,stateandlocallaws,asamended,including 41CFR60-1.4,41CFR60-250.4and 41CFR 60-741.4,withrespecttonondiscriminationinemploymentonthebasisofrace,religion,color, nationaloriginorsex,equalopportunity,affirmativeaction,employmentofdisabled veterans and veterans of the Vietnamera, and employmentof the handicapped.
6.5InsuranceCoverage.DuringthetermofthisAgreement,CONSULTANTshallmaintainthefollowing insurancecoverageswithlimitsnotlessthantheamountspecifiedand,ifsubcontractingispermitted, CONSULTANTshallrequireitssubcontractortomaintainsimilarinsurancecoveragewheneversubcontractors'personnelare upon Customer's premises:
a.Workers'Compensation with statutorylimits and Employers Liabilitywith limits of$500,000 per accident, $500,000 per illness peremployee and $500,000 per illness aggregate.
b.CommercialGeneralLiabilitywith a limitof$1,000,000 peroccurrence and $2,000,000 in the aggregate coveringbodilyinjuryand tangible propertydamage (excludingmoneyand securities) claims and includingproducts and completed operations, and contractual liability.
c.Automobile liabilityinsurance (includingowned, non-owned, and hired vehicles)with limits as required bylaworwith a combined single limitforbodilyinjury, death, and propertydamage ofnot less than $1,000,000 peroccurrence, whichever is greater;
d.Umbrella/Excess Liabilitywith a $5 million per incidentand shallbe excess ofcoverages CommercialGeneralLiabilityand Automobile Liability.
VANDERBILTshouldbeincludedasadditionalinsuredonthegeneralliabilityandautoliabilitypolicies. Thefollowing istheproperwording thatwillneed to be used:VANDERBILT, for the benefitof itselfand its affiliatedentitiesandtheirrespectiveofficers,directors,employees,representativesandagents,arenamed additionalinsureds.Theliabilitycoveragesshownonthiscertificateareprimary,non-contributingandcontainwaiversofsubrogationagainstanycoverageheldbyVANDERBILT.CONSULTANTshallfurnish VANDERBILTwithcertificatesofinsurance,whichprovidesufficientinformationtoverifythat CONSULTANThas complied with theseinsurance requirements.
6.5.1Intellectual Property Insurance.Supplier shall also have Intellectual Propertyinfringement claim coverage underan Errorand Omissions policyofat least$1,000,000 perclaim, $2,000,000 aggregate.
6.6Indemnification.CONSULTANTagreestoindemnifyandholdVANDERBILTharmlessfromandagainst allliability,injuries,claims,damagesorloss,includingcosts,expenses,andattorneys’fees,whicharisein connectionwith,inrelationto,orasaresultofCONSULTANT’snegligentactsoromissionsunderthis AgreementorinconnectionwithCONSULTANT’s breach ofwarranties orrepresentations under this Agreement.Theforegoingagreementtoindemnifyandholdharmlessshallnotapplytotheextentsuchliability,injuries,claims,damages,orlosswascauseddirectlybytheintentional,willful,orrecklessactsof VANDERBILT.
6.7InfringementIndemnity.Both parties agree thatifany person orpartyclaims that anyDeliverableor anypart thereofsuppliedbyCONSULTANTinfringesthepatent,copyright,orotherintellectualpropertyright,the CONSULTANTshallindemnify,defend,protectandholdVANDERBILTharmlessfromandagainstanyand allclaims,liabilities,demands,damages,judgments,awards,settlements,expensesorlosses,costsoflitigation, andreasonableattorneys’feesinconnectionwiththatclaim,providedthatVANDERBILT:
a.promptlynotifiesCONSULTANTinwritingoftheclaim;
b.allowsCONSULTANTtocontrolthedefenseoftheclaim;and
c.cooperateswithallreasonablerequestsforassistancetoCONSULTANTinthedefenseoftheclaim andanyrelatedsettlementnegotiations,atnocosttoVANDERBILT.
Ifa judgmentorsettlement is obtained orreasonablyanticipatedagainstVANDERBILT’suseofany DeliverableforwhichCONSULTANThasindemnifiedVANDERBILT,CONSULTANTshallat CONSULTANT’ssolecostandexpensepromptlymodifytheitemoritemswhichweredeterminedtobe infringing,acquire a license orlicenses on VANDERBILT’s behalftoprovidethenecessaryrightsto VANDERBILTtoeliminatetheinfringement,orprovideVANDERBILTwithanon-infringingsubstitute thatprovidesVANDERBILTthesamefunctionality.AtVANDERBILT’selection,theactualoranticipated judgmentmaybetreatedasabreachofwarrantybyCONSULTANT,andVANDERBILTmayreceivethe remediesprovidedunderparagraph7.1Termination.Notwithstandingtheabove,CONSULTANTshallhave noobligationforanyclaimbasedonthefollowing:
a.modificationoftheDeliverablesmadebysomeoneotherthanCONSULTANTifsuchinfringement wouldhavebeenavoidedintheabsenceofsuchmodification;or
b.combination,operation,oruseoftheDeliverableswithotherDeliverables,data,ormaterialsnot providedbyCONSULTANT,ifsuchinfringementwouldhavebeenavoidedintheabsenceofsuch combination,operationoruse.
c.useofotherthantheversionoftheDeliverablesmostrecentlyprovidedtoVANDERBILTby CONSULTANT,ifsuchinfringement wouldhavebeenavoidedbytheuseofsuchmostrecentversion.
ARTICLEVII- GENERALPROVISIONS
7.1Termination.VANDERBILTmayterminatethisAgreementwithorwithoutcauseuponthirty(30)days written notice toCONSULTANT.Inthe event that eitherpartybreachesamaterialtermofthisAgreementthat isnotcuredwith30daysofreceiptofawrittennoticespecifyingthebreach,thenon-breachingpartymayterminate the Agreementimmediately upon expiration ofthe 30-daynotice.Inthe event that thebreachcannotbe curedwithin 30 days,thebreachingpartymustdemonstrate thatitisdiligentlymakingreasonableeffortstocure thebreachwithinareasonableperiodoftime.
Ifeitherpartyfilesapetitionforbankruptcy,isadjudicatedbankrupt,becomesinsolvent,makesanassignment forthe benefitofits creditors, has a receiverappointed foritorits business, orhas apetitionin bankruptcyfiled againstinthatisnotdischargedwithin30days,thentheotherpartymayterminatethisAgreementuponnotice.
IntheeventthateitherpartyterminatesaSchedule,VANDERBILTshallbeentitledtoownershipofanywork inprocessandCONSULTANTshallbeentitledtofaircompensationfortimeandmaterials,includingany charges from3rdparties incurred byCONSULTANTin terminatingthe DeliverableorSchedule,ataprice to be negotiatedin goodfaithbythepartiesusingCONSULTANT’scurrentpublishedratesitchargesforsuchwork.
7.2DisputeResolutionProcess.Intheeventofanydisagreementregardingperformanceunderorinterpretation ofthisAgreement,andpriortothecommencementofanyformalproceeding,thepartiesshallcontinueperformanceassetforthinthisAgreementandshallattemptingoodfaithtoreachanegotiatedresolutionby designatinganappropriatelyauthorizedrepresentativefromeachpartytoresolvethedispute. Theparties mayalso agree to employmediation to resolve the dispute prior to initiatingformalproceedings.
7.3Assignment. NeitherpartymayassignthisAgreementoranyScheduleshereunderwithouttheotherparty's prior writtenconsent.
7.4Entire Agreement, Partial Invalidity.Themaking,execution,anddeliveryofthisAgreementby CONSULTANTandVANDERBILT havebeeninducedbynorepresentations,statements,warranties,or agreementsotherthanthosehereinexpressed.ThisAgreementembodiestheentireunderstanding oftheparties heretorelatingtoCONSULTANT'sservicesregardingthesubjectmatterhereofandsupersedesanyprevious agreementsorunderstandings,writtenororal,ineffectbetweenthepartiesrelating thereto.Ifany part,term,or provision ofthisAgreementshallbeheld illegal,unenforceable,or in conflictwithanylawofafederal,state,or localgovernmenthavingjurisdiction overthis Agreement, the validity of the remainingportion orportions shall notbeaffectedthereby.
7.5ChangesInWriting, Notices.This Agreement, includingany Schedules, may be amended ormodified onlyin awrittendocumentsignedbydulyauthorizedrepresentativesoftherespectiveparties.Allnotices,requests, demands,orothercommunicationshereunderotherthanday-to-daycommunicationswithinthedutiesofthe ProjectManagersshallbeinwritingandshallbedeemedgivenifpersonally deliveredormailedtotheaddress setforthbelow:

7.6WaiverofBreach.ThewaiverofabreachofthisAgreementorthefailureofapartytoexerciseanyright underthisAgreementshallinnoeventconstituteawaiverastoanyotherbreach,whethersimilarordissimilar innature,orpreventtheexerciseofanyrightunderthisAgreement.
7.7NoAdditionalAuthority.Neitherpartyshallhaveanyright,power,orauthoritytoassume,create,orincur anyexpense,liability,orobligation,expressedorimplied,onbehalfoftheotherparty,exceptasexpressly providedherein.
7.8ChoiceofLaw.ThisAgreementshallbeconstruedandthelegalrelationsbetweenthepartiesdeterminedin accordancewiththelawsofthestateofTennesseeandthevenueforanyformalactioninitiatedinconnection withthisAgreementshallbeinNashville,DavidsonCounty,Tennessee.
7.9Audit.VANDERBILTmay,uponitsrequestandatitscost,auditanyandallworkorexpenserecordsof CONSULTANTrelatingtomaterialsand/orservicesprovidedhereunder.CONSULTANTshallhavetheright to excludefromsuchinspectionanyofitsconfidentialorproprietaryinformation,whichwasnototherwise providedtoVANDERBILTasapartofanassignment.CONSULTANTfurtheragreestomaintainitsbooks andrecordsrelatingtomaterialand/orservicesprovidedhereunderforaperiodoftwo(2)yearsfromthedate suchworkwascompleted,andtomakesuchbooksandrecordsavailabletoVANDERBILT,duringnormal businesshours,atanytimeortimeswithinthetwoyearperiod.CONSULTANTshallhavetherighttobill VANDERBILTanhourlyrateforitsstaff whoareinvolvedinsuchaudit.
7.10ForceMajeure.Neitherparty shallbeliableforadelay initsperformanceofits obligations and responsibilities underthisAgreementduetoextraordinarycausesbeyonditscontrol,suchasbutnotlimitedtowar, embargo,nationalemergency,insurrectionorriot,actsofthepublicenemy,fire,floodorothernaturaldisasterprovidedthatsaidparty hastakenreasonablemeasurestonotify theother,inwriting,ofthedelay.Failure ofsubcontractorsandinabilitytoobtainmaterials(unlesssuchsubcontractorsand/ormaterialsarespecified byVANDERBILT) shallnotbeconsideredasaforcemajeuredelay.Further,intheeventeitherpartyis unabletomeetitsobligationshereunderbecauseofsuchforcemajeure,andsuchinabilitycontinuesfora periodof30daysor more,theneitherpartymayterminatethisAgreementeffectiveimmediatelywithout furtherobligationtotheotherexceptastodeliveryofandpaymentforProductsand/orServicesconsistent with the terms ofparagraph 7.1 Terminationof this Agreement.
7.11UseofVANDERBILTName.CONSULTANTisentitledtoreferenceanddescribeworkdonehereunderin summaryandgeneralform,withoutrevealinganyofVANDERBILTConfidentialInformationoranyspecific resultsofany assignmenthereunder.However,CONSULTANTshallnotuse VANDERBILT’s name, logos or otherindiciainanymarketingoradvertisingmediawithoutVANDERBILT’swrittenapprovaltodoso.
7.12HeadingsNotControlling.HeadingsusedinthisAgreementareforreferencepurposesonlyandshallnotbe usedtomodifythemeaningofthetermsandconditionsofthisAgreement.
INWITNESSWHEREOF,thepartiesheretohavecausedthisAgreementtobeexecutedbytheirrespective authorizedrepresentativestobeeffectiveasofthedatefirstabovewritten.
