CHARTERING ENQUIRY NO. : SHIPPING/CRUDE/COA/01/2012 DT: 30.03.2012

HPCL INVITES OFFERS AGAINST THE FOLLOWING ENQUIRY FOR COA AS PER THE TERMS AND CONDITIONS STATED BELOW:

  1. PERIOD : 11 MONTHS, EXTENDABLE FOR FURTHER 1 YEAR PERIOD CHOPTION. TO START TENTATIVELY W.E.F MAY 2012 LAYCAN
  1. VESSEL TYPE : DOUBLE HULL AFRAMAX VESSELS WITH PETRONAS APPROVAL
  1. SHIP-OWNERS : REPUTED INDIAN OR FOREIGN SHIP-OWNERS WITH AT LEAST 4 NOS VESSELS UNDER OWNERSHIP OR LONG TERM CHARTER, LESS THAN 15 YEARS OF AGE AND HAVING CURRENT PETRONAS APPROVAL. DETAILS OF THE VESSELS INCLUDING Q-88 TO BE SUBMITTED WITH THE OFFER
  1. LOADPORT: 1-2 SP/SB/SA/SBM/STSFAR EAST PORTS IN CHOPTION
  1. DISPORT: 1-2 SB/SP/SA/SBM EAST COAST OF INDIA / WEST COAST OF INDIA INCLUDING STS INTENTION VIZAG / MUMBAI
  1. CARGO/QTY: PARCEL SIZES FROM 69000 MTS – 85000 MTSNO HEAT CRUDE OIL 1 -2 GRADES WVNS CHOPTION , UPTO FULL CAPACITY OF THE VESSEL CHOPTION

Each parcel under this contract shall be Min 69000MT. Owners shall be entitled to dead-freight, basis Min Qty, less qty loaded as per B/L at the applicable freight rate for the voyage. For quantities loaded over min quantity, 50% overage shall be applicable

In case, the vessel is not able to load NOMINATED quantity, charterers have a right to claim an amount equal to dead-freight calculated at the freight rate applicable for the voyage and deduct the same from freight

  1. NO OF VOYAGES :TO COVER ANNUAL CONTRACT QTY OF 1.25 MMT OUT OF WHICH 0.50 MMT IS FIRM & 0.75 MMT OPTIONAL. AS THE COA STARTS WEF MAY 2012, THE ANNUAL QTY WOULD BE PRO-RATED FOR 11 MONTHS
  1. LAYTIME FOR EACH VOYAGE: 72 HRS SHINC BASIS 1-1 , 12 HRS EXTRA FOR EACH ADDITIONAL PORT/STS, IF ANY
  1. Freight Rate: Owners to quote a fixed discount over Baltic Exchange Dirty Tanker Index TD-14 (e.g. applicable freight rate = TD 14 minus20) for the entire period of COA.

OFFERS WITH rates quoted based on different slabs/range will not be considered

For further details please see NOTE-I (below).

  1. Demurrage:Owners to quote a fixed DEMURRAGE factor to be used for arriving at demurrage rate by multiplying with the applicable WS rate (i.e. TD 14 minusdiscount) for all loadingS irrespective of loadport / DISPORT

For example, if applicable TD 14 (i.e.average of 7/6 days) is 100, the agreed discount is 20 and the demurrage factor is 250 the applicable demurrage will be (100 - 20) x 250 = USD 20000 PDPR

  1. Laycan & vessel nomination: Charterers shall advise laycan latest by20th of each month for loading during the following month or 25 days in advance from the first day of commencement of laycan whichever is later (e.g. if 27-29 th April be the laycan, advice of laycan can be made latest by 2nd April). Owners will accept laycans without any deviations and arrange for suitable tonnage and ensure cargo is lifted as per charterers schedule.Owner SHAll nominate suitable vessel:

(i)at least 15 days in advance of the commencement of1st day of the lay-can (i.e. if 20th April is the first day of laycan, nomination has to latest by 5th April).

or

(ii)within 3 days of HPCL's intimation of the laycans

(i.e. if advised on 20th April nomination to be made latest by 23rd April).

Whichever is later.

In case, nominated vessel is not accepted by Suppliers/ Terminals or vessel misses laycan, owners will be required to substitute the vessel within 3 days from the date of such advise by charterers (i.e. if advised on 24th April, alternative nomination to be made available by 27th April)

Failure by ownerS to nominate vessel in the above cases will result into in-chartering of suitable vessel by HPCL OR HPCL’S SUPPLIERS. The additional cost of such in-chartering vis-a- vis agreed COA rate (freight, demurrage & lighterage cost, if any) will be recovered from Owners.

  1. Other Terms:AS PER HPCL ADAPTED ASBATANKVOY CP (APPENDED BELOW) ALONGWITH RIDER CLAUSES FOR THIS TRADE INCL. FLWG. IF IN CONFLICT WITH CP, THE MAIN TERMS SHALL APPLY.

  3. In the eventuality of bad weather half time to count aslaytime or time on demurrage
  4. Owners confirm vesselS having valid P&I certificates andadditional P&I or Insurance covers for STS / Lighterage operation AND ALSO COVERING THIRD PARTY LIABILITIES INCLUDING OIL POLLUTION AND WRECK REMOVAL. COPIES OF THE SAME ARE TO BE SUBMITTED TO CHARTERERS AND TO THE PORT PRIOR ARRIVAL OF VESSEL
  5. OWNERS CONFIRM VESSELS/OWNERS COMPLY WITH ISM / ISPS CODE/REQUIREMENT. CHEVRON ISPS CLAUSE TO APPLY.
  6. OWNERS CONFIRM VESSEL COMPLIES WITH OCIMF GUIDELINES
  7. Owners will provide necessary documentation on case-to-casebasis as required by ports/authorities and for obtaining licenses from DG(Shipping)
  8. director General (Shipping) Circular No.1 of 2004 bearing ref SD-9/CHART(47)/03 dt January 14, 2004 will be followed for awarding this COA
  9. FOREIGN VESSEL OWNER WILL HAVE TO FURNISH INFORMATION REQUIRED FOR REMITTANCE TO NON RESIDENTS AS PER THE INDIAN INCOME TAX ACT BEFORE PAYMENT OF FRT/DFRT/DEM
  10. OWNERS TO MENTION IN THEIR OFFER WHETHER THEIR SHIP IS ELIGIBLE FOR ‘RIGHT OF REFUSAL’ AS PER GUIDELINES OF DG-SHIPPING, INDIA. (THE INDIA FLAG VESSELS SHALL HAVE THE RIGHT OF FIRST REFUSAL AS PER POLICY OF GOVERNMENT OF INDIA. IN THE EVENT OF THE RIGHT OF FIRST REFUSAL NOT GETTING EXERCISED BY ANY BIDDER, RIGHT OF REFUSAL WILL BE EXERCISED BY THE FOLLOWING TWO CATEGORIES OF VESSELS IN THAT SEQUENCE: (1) INDIAN CITIZENS / COMPANIES / CO-OPERATIVE SOCIETIES, HAVING BBCD VESSELS, FAILING WHICH (2) ANY OTHER OWNER OR HIS AGENT OFFERING FOREIGN FLAG VESSEL BUILT IN INDIA) .
  11. ADDRESS COMMISSION 2.5% PAYABLE TO HPCL ON FREIGHT / DEADFREIGHT / DEMURRAGE
  12. OWNERS TO CONFIRM VIZAG REQUIREMENTS:

OSTT:

(i)VESSEL CAN LOAD THE NOMINATED QTY FOR 16.8 MTRS DRAFT

(ii)VESSEL SHOULD NOT HAVE LOA MORE THAN 280 MTRS & BEAM MORE THAN 48 MTRS. VESSELS WITH BEAM UPTO 50 MTRS CAN BE ACCEPTED SUBJECT TO SPECIAL PERMISSION FROM PORT AUTHORITIES.

(iii)VESSEL SHOULD HAVE MINIMUM 3 NOS SUITABLE REDUCERS TO SUIT LOADING ARM COUPLER FLANGE (16" X 300# ANSI FLANGE)

(iv)VESSEL SHOULD PROVIDE MOT GANGWAY ON STARBOARD SIDE

(v)VESSEL SHOULD HAVE AT LEAST 10 ROPES EACH ON FORWARD AND AFT. (OSTT CAN ACCEPT VESSELS WITH WIRE ROPES). RECOMMENDED MOORING PATTERN ON EACH SIDE IS 5 HEAD ROPES, 3 BREST ROPES & 3 SPRING ROPES

  1. For any political or reasons of civil unrest or any othersimilar reason, in case loadings are curtailed or disrupted, the contract will be terminated or reduced proportionately after mutual discussion between the contracting parties

NOTE-1:

Freight rate under this COA will be based on average of published TD-14 of 7 days. The 15th day before the starting of laycan (excluding the date of starting of laycan) will be taken as base date and published TD-14 of previous 3 days to the base date, the base date and next 3 days to the base date will be averaged out. For example, in case 25th April is the starting of laycan, base date will be 10th April and the averaging shall be done for the TD14 quotes published on previous 3 days to 10th April + 10th April + TD14 of next 3 days from 10th April, i.e. average of 7 days. In case, TD 14 is not available for the 15th day before starting of laycan (base date), the available TD-14 of previous 3 days and next 3 days will be averaged out i.e. average of 6 days instead of 7 days.

The TD14 quote on the date of opening of enquiry/last published TD14 (in case of non-availability of TD14 on the date of opening of the enquiry) shall be used for evaluation of the offers.
