Whereas Carpet Weaver’s, Inc. has entered into a contract with this customer for the installation of carpet and/or other floor or wall covering by which Carpet Weaver’s, Inc. is authorized to select an independent contractor for such installation services. And whereas subcontractor represents that it is willing and desires to perform such installation services as a subcontractor to Carpet Weaver’s and that it is experienced, qualified and competent to perform such services: Now therefore it is mutually agreed as follows.
1. Subcontractor agrees to perform the installation services covered by this contract at the place and on the date designated, in a neat and workmanlike manner in accordance with the job specifications applicable to this contract and established trade practices and in compliance with all applicable laws, rules, regulations, ordinances, and other requirements, including licensing requirements by law. 2. Carpet Weaver’s, Inc. shall furnish subcontractor with sufficient carpeting and/or other floor or wall covering necessary to complete the installation services covered by this contract. Subcontractor shall provide all other material and supplies and all tools necessary to the performance of the installation service. 3. Subcontractor shall reimburse Carpet Weaver’s, Inc. for any loss or damage to Carpet Weaver’s, Inc. coverings caused by subcontractor’s negligence. 4. Subcontractor guarantees that its workmanship shall be free from defects for a period of one year from the date of completion of installation services covered by this contract. Upon notice by Carpet Weaver’s, Inc., subcontractor shall promptly remedy any defect in workmanship and if it fails to do so Carpet Weaver’s, Inc. may correct the defect itself or by engaging another subcontractor at the subcontractor’s expense and in addition to any other legal or equitable remedy against subcontractor Carpet Weaver’s may withhold any monies then or thereafter due to subcontractor as a setoff against such expenses. 5. Subcontractor is an independent contractor and not an agent or joint venture of Carpet Weaver’s, Inc., and shall so represent itself and shall hold itself to the public. Subcontractor shall have sole and exclusive right and responsibility to determine the method, manner and control of any work it performs to the contract. Subcontractor shall not use or display Carpet Weaver’s, Inc. name or other Carpet Weaver’s, Inc. identifying symbols at any time or in any way, including but not limited to signs, vehicle markings, advertisements and telephone directory listings. 6. All job specifications applicable to the contract are set forth above and/or on the work sheets, if any, attached hereto. The contract price for the installation services payable by Carpet Weaver’s, Inc. to subcontractor shall be the specified contract price set forth above. It is expressly understood that Carpet Weaver’s, Inc. shall not reimburse or pay subcontractor for any additional services (including changes or additions requested by Carpet Weaver’s, Inc. customers) unless same have been approved in advance by Carpet Weaver’s, Inc.. 7. Subcontractor shall, at its own expense, obtain and maintain the following insurance coverage during all periods in which it is performing installation services covered by this contract. Insurance with limits of liability not less than $100,000/$300,000 bodily injury and $100,000 property damage or combined single limits of $300,000 with respect to comprehensive general liability and automobile liability, and Worker’s compensation insurance with $100,000 employer’s liability limits. Subcontractors shall furnish Carpet Weaver’s, Inc. with certificates of insurance designating Carpet Weaver’s, Inc. as an additional insured. Subcontractor shall elect coverage under any applicable workman’s compensation laws which provide for coverage pursuant to election. 8. Subcontractor shall pay all contributions, taxes and assessments on payrolls or other charges under all applicable federal, state and local laws, including withholding from wages from its employees where required. Subcontractor shall elect or become subject to any applicable unemployment compensation act which permits such election. Subcontractor shall comply with all federal, state, local laws and regulations, hours of work or other conditions of employment including but not limited to all laws and regulations regarding minimum compensation, overtime pay and equal employment opportunities. 9. Subcontractor shall protect, defend, hold harmless and indemnify Carpet Weaver’s, Inc., its agents and employees from and against any and all claims suffered by any person, including, but not limited to, injury to or death of persons or damages to property rising out of or in any way relating to the work, services or activities of subcontractor or any of its officers, employees or agents. The insurance provisions shall not reduce, eliminate or limit the application of this paragraph. 10. This contract is personal to Carpet Weaver’s, Inc. and subcontractor and may not be assigned or transferred by either party either voluntarily or by operation of law. 11. Subcontractor agrees that Carpet Weaver’s, Inc. is not the Employer of Subcontractor or any of its employees and is not responsible for any employment insurance or taxes for subcontractor or its employees.
