ThisorganizationshallbeknownastheCaroline County Little League,Inc.,hereinafter referredtoas“CCLL.”

2.0ARTICLEII–PURPOSE

2.1SECTION1–Objective

TheobjectiveoftheCCLLshallbetoimplantfirmlyinthechildrenofthecommunitythe idealsofgoodsportsmanship,honesty,loyalty,courageandrespectforauthority,so thattheymay bewelladjusted,stronger,andhappierchildrenandwillgrowtobegood,decent,healthyandtrustworthycitizens.CCLLwillpromotethedevelopmentofthese idealsthroughtheorganizationandmanagementofyouthrecreationalbaseballand softball.

2.2SECTION2–Plan

Toachievethisobjective,theCCLLwillprovideasupervisedprogram undertheRules andRegulationsofLittleLeagueBaseball,Incorporated.AllDirectors,Officers,and Membersshallbearinmindthattheattainmentofexceptionalathleticskillorthe winningofgamesissecondary,andthemoldingoffuturecitizensisofprime importance.InaccordancewithSection501-c-(3)oftheFederalInternalRevenue Code,theCCLLshalloperateexclusively asanon-profiteducationalorganization providingasupervisedprogramofcompetitivebaseballandsoftballgames.Nopartofthenetearningsshallinuretothebenefitofany privateshareholderorindividual;no substantialpartoftheactivitiesofwhichiscarryingonpropaganda,orotherwise attemptingtoinfluencelegislation,andwhichdoesnotparticipateinorinterveneinany politicalcampaignonbehalfofanycandidateforpublicoffice.

3.0ARTICLEIII–MEMBERSHIP

3.1SECTION1–Eligibility

Anypersonsincerelyinterestedinactiveparticipationtofurthertheobjectiveofthe CCLLmayapplytobecomeaMember.

3.2SECTION2–ClassesofMembership

AllapprovedmembersoftheCCLLshallbesubjectedtoabackgroundcheck.There shallbethefollowingclassesofmembers.

A.PlayerMembers–AnyplayercandidatemeetingtherequirementsofLittle LeagueRegulationIVshallbeeligibletocompeteforparticipation.Player Membersshallhavenorights,dutiesorobligationsinthemanagementorinthe propertyoftheCCLL.

B.RegularMembers–Anyadultpersonactivelyinterestedinfurtheringthe objectivesoftheLocalLeaguemaybecomeaRegularMemberuponelection and paymentofdues ashereinafterprovided.Regular Membersmaybeissued a cardnumberedinsequentialorderannually.Thesecretaryshallmaintaintheroll ofmembershiptoqualifyvotingmembers.OnlyRegularMembersingoodstandingareeligibletovoteatGeneralMembershipMeetings.AllOfficers,BoardMembers,andManagers,mustbeRegularMembersingoodstanding.Note:RegularMembersoftheleagueautomaticallyincludeallcurrentManagers,Coaches,VolunteerUmpires,BoardMembers,OfficersoftheBoard andanyotherpersonwhoisrecognizedbytheBoardasavolunteerintheLocal League.

C.HonoraryMembers(Optional).AnypersonmaybeelectedasHonoraryMember bytheunanimousvoteofallDirectorspresentatanydulyheldmeetingofthe BoardofDirectorsbutshallhavenorights,dutiesorobligationsinthe managementorintheproperty oftheLocalLeague.

D.(d)SustainingMembers(Optional).AnypersonnotaRegularMemberwho makesfinancialorothercontributiontotheLocalLeaguemaybyamajorityvote oftheBoardofDirectorsbecomeaSustainingMember,butsuchpersonshall havenorights,dutiesorobligationsinthemanagementorinthepropertyofthe Local League.

E.Asusedhereinafter,theword“Member”shallmeanaRegularMemberingood standingunlessotherwisestated.

3.3SECTION3–OtherAffiliations

A.Members,whetherRegularorPlayer,shallnotberequiredtobeaffiliatedwith anotherorganizationorgrouptoqualify asmembersoftheCCLL.

3.4SECTION4–SuspensionorTermination

Membershipmaybeterminatedby resignationoractionoftheBoardofDirectorsas follows:

A.TheBoardofDirectors,byatwo-thirdsvoteofthosepresentatanyduly constitutedBoardmeeting,shallhavetheauthoritytodisciplineorsuspendor terminatethemembershipofany memberofany class,includingmanagersand coaches,whentheconductofsuchpersonisconsidereddetrimentaltothebestinterestoftheCCLLand/orLittleLeagueBaseball,Incorporated.Themember involvedshallbenotifiedofsuchmeeting,informedofthegeneralnatureofthe

chargesandgivenanopportunitytoappearatthemeetingtoanswersuch charges.

B.TheBoardofDirectorsshall,incaseofaPlayerMember,givenoticetothe manageroftheteam forwhichtheplayerisaPlayerMember.Saidmanager shallappear,inthecapacity ofanadvisor,withtheplayerbeforetheboardofDirectorsoradulyappointedcommitteeoftheBoardofDirectors.Theplayer’s parent(s)orlegalguardian(s)mayalsobepresent.TheBoardofDirectorsshall havefullpowertosuspendorrevokesuchplayersrighttofutureparticipationby two-thirds(2/3)voteofthosepresentatanydulyconstitutedmeeting(quorum is required).

4.0ARTICLEIV–DUESFORREGULARMEMBERS(NOTPLAYERS)

4.1SECTION1

DuesforRegularMembersmaybefixedatsuchamountsastheBoardofDirectorsshalldetermineforaparticularfiscalyear.(SeeArticleXI,Section7forfiscalyearofthisleague.).MembershipwillextenduntilOctober31stofthecurrentcalendaryear.Note:DuesforRegularMembersareseparatefromregistrationfeesforPlayerMembers,whicharedeterminedannuallybytheBoardofDirectorsinaccordancewithRegulationXIII(c).IfnoduesforRegularMembershiparecollected,Section2belowdoesnotapply.

TheannualduesshallbepublishedintheBy-laws.

4.2SECTION2

RegularMemberswhofailtopay theirfixeddueswithinthirty(30)daysofapplicationto becomeamembermay,by majorityvoteoftheBoardpresentataBoardmeeting,be droppedfromtherollsandshallforfeitallrightsandprivilegesofmembership.

5.0ARTICLEV–GENERALMEMBERSHIPMEETINGS

5.1SECTION1–Definition

AGeneralMembershipMeetingisanymeetingofthemembershipoftheCCLL (includingSpecialGeneralMembershipMeetings,Section7).Aminimumofoneper year(AnnualMeeting,seeSection6)isrequired.

5.2SECTION2–NoticeofMeeting

NoticeofeachGeneralMembershipMeetingshallbedeliveredpersonally, electronically,orbymailtoeachMemberatthelastrecordedaddressatleast fourteen

(14)daysinadvanceofthemeeting,settingforththeplace,timeandpurposeofthe

meeting.Inlieuoftheabovemethods,noticemaybegiveninsuchformasmaybe authorizedbytheMembers,fromtimetotime,ataregularlyconvenedGeneral MembershipMeeting.

5.3SECTION3–Quorum

AtanyGeneralMembershipMeeting,thepresenceinpersonorby absenteeballotofonefifth(20%)ofthemembers(asdefinedinArticleIII-Membership)shallbe necessarytoconstituteaquorum.Ifaquorum isnotpresent,nobusinessshallbe conducted.

5.4SECTION4–Voting

OnlyRegularMembersingoodstandingshallbeentitledtomakemotionsandvoteatGeneralMembershipMeetings.However,theBoardofDirectorsmayinvite,admitand recognizeguestsforpresentationsorcommentsduringGeneralMembershipMeetings.(ThoseeligibletotakepartatmeetingsoftheBoardofDirectorsaredescribedinArticle VI,Section4).

5.5SECTION5–AbsenteeBallot

FortheexpressedpurposeofaccommodatingaRegularMemberingoodstandingwho cannotbeinattendanceattheAnnualMeeting,oranyGeneralMembershipMeeting,atwhichnewBoardmemberswillbeelected,anabsenteeballotmayberequestedand obtainedfromtheSecretaryoftheCCLL.Theabsenteeballotshallbeproperly completed,signedandreturnedinasealedenvelopetotheSecretary priortothedate ofelection.TheSecretary shallpresentallabsenteeballotstotheElectionChairman (appointedatthemeeting)onthedateofthemeeting,priortothevotingportionofthe electionprocess.

5.6SECTION6–AnnualMeetingoftheMembers

TheAnnualMeetingoftheMembersoftheCCLLshallbeheldinthemonthofOctober ontheSecondThursdayofthemonthat7:00pmeachyearforthepurposeofelecting newMembers,electingtheBoardofDirectors,receivingreports,reviewingthe Constitution,appointingcommittees,andforthetransactionofsuchbusinessasmay properlycomebeforethemeeting.

A.TheMembershipshallreceiveattheAnnualMeetingoftheMembersofthe CCLLareport,verifiedbythePresidentandTreasurer,orbyamajorityofthe Directors,showing:

1.TheconditionoftheCCLL,tobepresentedbythePresidentorhis/her designate;

2.AgeneralsummaryoffundsreceivedandexpendedbytheCCLLforthe previousyear,theamountoffundscurrentlyinpossessionoftheCCLL,andthenameofthefinancialinstitutioninwhichsuchfundsare maintained;

3.ThewholeamountofrealandpersonalpropertyownedbytheCCLL,wherelocated,andwhereandhowinvested;

4.Fortheyearimmediatelypreceding,theamountandnatureofthe propertyacquired,withthedateofthereportandthemannerofthe acquisition,theamountapplied,appropriatedorexpended,andthe purposes,objectsorpersonstoorforwhichsuchapplications,appropriationsorexpenditureshavebeenmade;

5.Thenamesofthepersonswhohaveadmittedtoregularmembershipin theCCLLduringsuchyear.ThisreportshallbefiledwiththerecordsoftheCCLLandenteredintheminutesoftheproceedingsoftheAnnual Meeting.AcopyofsuchreportshallbeforwardedtoLittleLeague International.

B.AttheAnnualMeeting,theMembersshalldeterminethenumberofDirectorstobe electedfortheensuingyearandshallelectsuchnumberofDirectors. Thenumber ofDirectorselectedshallbenotlessthanseven(7).

C.AftertheBoardofDirectorsiselected,theBoardshallmeettoelecttheofficers.

Aftertheelection,theBoardofDirectorsshallassumetheperformanceoftheir dutiesonthesecondFridayofOctoberintheyearofelection.TheBoard’stermofofficeshallcontinueuntilitssuccessorsareelectedandqualifiedunderthissection.

D.TheOfficersoftheBoardofDirectorsshallinclude,ataminimum,thePresident,oneormoreVicePresidents,Treasurer,Secretary,oneormorePlayerAgents,a SafetyOfficer,andaCoachingCoordinator.TheBoardshallalsoincludea minimumofonemanagerandonevolunteerumpire.Onlyvolunteerumpiresmay beelectedtotheBoard.

5.7SECTION7–SpecialGeneralMembershipMeetings

SpecialGeneralMembershipMeetingsoftheMembersmaybecalledbytheBoardofDirectorsorbytheSecretaryorPresidentattheirdiscretion.Uponthewrittenrequestof(choose one)... ten(10) fifteen (15) _X_twenty (20)... Members, the PresidentorSecretaryshallcallaSpecialGeneralMembershipMeetingtoconsiderthesubjectspecifiedintherequest.Nobusinessotherthanthatspecifiedinthenoticeofthe meetingshallbetransactedatanySpecialGeneralMembershipMeeting.SuchSpecial

GeneralMembershipMeetingshallbescheduledtotakeplacenotlessthan(choose one)... ten(10) fourteen(14) twentyone(21)_X_thirty(30)...daysafter therequestisreceivedbythePresidentorSecretary.

5.8SECTION8–RulesofOrderforGeneralMembershipMeetings

Robert’sRulesofOrdershallgoverntheproceedingsofallGeneralMembership Meetings,exceptwhereconflictswiththisConstitutionofCCLL.

6.0ARTICLEVI–BOARDOFDIRECTORS

6.1SECTION1–Authority

ThemanagementofthepropertyandaffairsoftheCCLLshallbevestedintheBoardofDirectors.

6.2SECTION2–IncreaseinNumber

ThenumberofBoardofDirectorssofixedattheAnnualMeetingmay beincreasedatanyGeneralMembershipMeetingorSpecialMeetingoftheMembers.Ifthenumberis increased,theadditionalDirectorsmaybeelectedatthemeetingatwhichtheincrease isvoted,oratanysubsequentGeneralMembershipMeeting.Allelectionsofadditional Directorsshallbeby majority voteofallRegularMemberspresentorrepresentedbya properlyexecutedandsignedabsenteeballotfiledwiththeSecretary priortothe electionmeeting.

6.3SECTION3–Vacancies

Ifanyvacancy occursintheBoardofDirectorsduetodeath,resignation,orotherwise,thevacancy maybefilledby amajority voteoftheremainingDirectorsatany regular Boardmeetingoratany SpecialBoardMeetingcalledforthatpurpose.

6.4SECTION4–BoardMeetings,NoticeandQuorum

RegularmeetingsoftheBoardofDirectorsshallbeheldimmediately followingthe AnnualMeetingandonsuchdaysthereafterasshallbedeterminedbytheBoard.

A.ThePresidentortheSecretarymay,whenevertheydeemitadvisable,or the Secretaryattherequestinwritingofthree(3)Directors,issueacallforaSpecial BoardMeeting.InthecaseofSpecialBoardMeetings,suchnoticeshallinclude thepurposeofthemeetingandnomattersnotsostatedmay beacteduponatthemeeting.

6.5NoticeofeachBoardmeetingshallbegivenbytheSecretarypersonally,

electronicallyorbymailtoeachDirectoratleast_7

day(s)beforethe

timeappointedforthemeetingtothelastrecordedaddressofeach

TheBoardofDirectorsshallhavethepowertoappointsuchstandingcommitteesasitshalldetermineappropriate,andtodelegatesuchpowerstothemastheBoardshall deemadvisableandwhichitmay properly delegate.

TheBoardmay adoptsuchrulesandregulationsfortheconductofitsmeetingsandthe managementoftheCCLLasitmaydeem proper,providedsuchrulesandregulations donotconflictwiththisConstitution.

TheBoardshallhavethepowerbyatwo-thirds(2/3)voteofthosepresentatany regularBoardorSpecialBoardmeetingtodiscipline,suspendorremoveany Director orOfficerorCommitteeMemberoftheCCLLinaccordancewiththeproceduresetforth inArticleIII,Section4(a,b).

6.6SECTION6–RulesofOrderforBoardMeetings

Robert’sRulesofOrdershallgoverntheproceedingsofallBoardofDirectorsmeetings,exceptwheresameconflictswiththisConstitutionoftheCCLL.

7.0ARTICLEVII–DUTIESANDPOWERSOFTHEBOARD

7.1SECTION1–Appointments

TheBoardofDirectorsmay appointsuchotherofficersoragentsasitmay deem necessaryordesirable,andmay prescribethepowersanddutiesofeach.Appointed officersoragentsshallhavenovoteonactionstakenbytheBoardofDirectors,unless suchindividualshavebeenelectedtotheBoardbythemembership,orhavebeen electedtofillavacancyontheBoard.

7.2SECTION2–President

ThePresidentshall:

A.ConducttheaffairsoftheCCLLandexecutethepoliciesestablishedbythe BoardofDirectors.

B.PresentareportoftheconditionoftheCCLLattheAnnualMeeting.

C.CommunicatetotheBoardofDirectorssuchmattersasdeemedappropriate,andmakesuchsuggestionsasmay tendtopromotethewelfareoftheCCLL.

D.BeresponsiblefortheconductoftheCCLLinstrictconformitytothepolicies,principles,RulesandRegulationsofLittleLeagueBaseball,Incorporated,as agreedtoundertheconditionsofcharterissuedtotheCCLLbythatorganization.

E.Designateinwritingotherofficers,ifnecessary,tohavepowertomakeand executefor/andinthenameoftheCCLLsuchcontractsandleasestheymay receiveandwhichhavehadpriorapprovaloftheBoard.

F.Investigatecomplaints,irregularitiesandconditionsdetrimentaltotheCCLL,and reportthereontotheBoardorExecutiveCommitteeascircumstanceswarrant.

G.PrepareandsubmitanannualbudgettotheBoardofDirectorsandbe responsiblefortheproperexecutionthereof.

H.WiththeassistanceofthePlayerAgent,examinetheapplicationandsupportproof-of-agedocumentsofeveryplayercandidate,andcertifytoresidenceand age eligibilitybefore the playermaybe accepted for registration, evaluations,and selection.

I.CommunicateanysuggestionsorrequestsfromtheCCLLtotheCountyParks andRecreationrepresentative.

J.CommunicateanysuggestionsorrequestsfromthecountytotheBoardofDirectors/GeneralMembers.

K.Assistinschedulingpark/buildingusagebytheCCLL.

L.Beresponsiblefortheplanningandschedulingofallrelatednewfacility committeesandactivitiesand keeptheBoardofDirectorsupdatedonany new facilityprogress.

7.3SECTION3–VicePresident

TheVicePresidentshall:

A.PerformthedutiesofthePresidentintheabsenceordisabilityofthePresident,providedhe/sheisauthorizedby thePresidentorBoardsotoact.Whenso acting,theVicePresidentshallhaveallthepowersofthatoffice.

B.Performsuchdutiesasfrom timetotimemay beassignedbyBoardofDirectors orbythePresident.

7.4SECTION4–VicePresidentsofOperations

TheVicePresidentsofBaseball,Softball,andChallengerDivisionsshallsuperviseand coordinatespecificbaseballandsoftballoperationsin4YearOld,Tee Ball,Coach Pitch,Minors,Majors,Junior,Senior,andBigLeagueDivisions,asapplicable.ADivisionDirectormaybeappointedby theCCLLBoardofDirectorsforeachdivision.TheDivisionDirectorwillassisttherespectiveVicePresidentinthemonitoringand overallmanagementofteamswithintherespectivedivision.TheDivisionVice President,withtheassistanceoftheDivisionDirectorsshall:

A.Coordinatetheon-fieldoperationsofthe4YearOld, TeeBall,CoachPitch,Minor,Major,Junior,Senior,andBigLeagueBaseballDivisionsandtosupervise anyappointedDirectorsofthoseDivisions.

B.AssistthePresident,VicePresident,andSchedulerwithcoordination and schedulingofgamesandpractices.

C.SupervisethepreparationofthetournamentorAllStarteamsforalldivisions oncetheyareselected.

D.OrganizeManagers,Coaches,andTeamMoms.AssistAuxiliary/Events Coordinatorwithmakingsureallmanagersprovidethenameandphonenumber ofdesignatedTeamMoms.

E.Scheduleandcoordinatebaseballorsoftballskillsclinics.

F.AssistVicePresidentwiththeCoachesSelectionCommittee.

G.Ensuregamesthathavebeenpostponedordelayedarerescheduled.

H.AssistheadofUniform/EquipmentCommitteewiththetimelydisbursementand collectionofuniformsandequipmentfortheirrespectiveDivisions.

I.WiththePresident,investigateanycomplaintsfiledandreportfindingstothe CCLLBOD.

7.5SECTION5–Secretary

TheSecretaryshall:

A.BeresponsibleforrecordingtheactivitiesoftheCCLLandmaintainappropriate files,mailinglistsandnecessaryrecords.

B.Performsuchdutiesasarehereinspecificallysetforth,inadditiontosuchother dutiesasarecustomarilyincidenttotheofficeofSecretaryorasmaybe assignedbytheBoardofDirectors.

C.MaintainalistofallRegular,SustainingandHonorarymembers,Directorsand committeemembersandgivenoticeofallmeetingsoftheCCLL,theBoardofDirectorsandCommittees.

D.IssuemembershipcardstoRegularMembers,ifapprovedby theBoardofDirectors.

C.In conjunction with VP of Operations, Safety Officer and Chief Umpire determines if fields are in safe condition for play

D.Create a training program for proper field prep and use of power equipment in conjunction with the VP of Operations and Safety Officer.

E.Establish a grass cutting schedule for Fields and grounds to ensure the park is maintain during season and off season

F.Maintain an inventory of ALL equipment and supplies used to maintain fields

8.1SECTION1–Appointment

TheBoardofDirectorsmayappointanExecutiveCommitteewhichshallconsistofnotlessthanthree(3)normorethanfive(5)Directors,oneofwhomshallbethePresidentoftheCCLL.

8.2SECTION2–Functionality

TheExecutiveCommitteeshalladvisewithandassisttheOfficersoftheCCLLinall mattersconcerningitsinterestsandthemanagementofitsaffairs,andshallhavesuch otherpowersasmaybedelegatedtoitbytheBoard,butinnoeventwilltheExecutive CommitteehaveauthorityovertheBoardofDirectors.

8.3SECTION3–Quorum

AtanymeetingoftheExecutiveCommittee,amajorityofthetotalnumberofmembers theninofficeshallconstituteaquorumforthetransactionofbusiness,andtheactofa majoritypresentatany meetingatwhichthereisaquorumshallbetheactofthe Committee.

9.0ARTICLEIX–OTHERCOMMITTEES

9.1SECTION1–NominatingCommittee

TheBoardofDirectorsmayappointaNominatingCommitteeconsistingofthree(3) DirectorsandotherappointedRegularmembers.Thecommitteeshallinvestigateand considereligiblecandidatesandsubmitattheAnnualMeetingaslateofcandidatesfor theBoardofDirectors.TheCommitteeshallalsosubmitforconsiderationbytheBoard ofDirectorsaslateofOfficersandCommitteeMembers.

9.2MembershipCommittee.

TheBoardofDirectorsmayappointaMembershipCommitteeconsistingofthree(3) DirectorsandotherappointedRegularMembers.TheCommitteeshallreceivethe namesofprospectiveHonorary,SustainingandRegularMembers,investigatefor eligibilityandrecommendthosequalifiedforelectionattheannual,regularorany specialmeetingoftheMembersortheBoardofDirectorsasthecasemay be.

9.3SECTION3–FinanceCommittee

TheBoardofDirectorsmayappointaFinanceCommitteeconsistingofnotlessthan three(3)normorethanfive(5)Directors. TheTreasurershallbeanex-officiomember oftheCommittee.TheCommitteeshallinvestigatewaysandmeansoffinancingthe CCLL,includingsponsorships,andsubmititsrecommendations.Itshallberesponsible fortakingupcollectionsatgames,ifsuchcollectionsareauthorizedbytheCCLL,and shallturnoversaidcollectionstotheTreasurerimmediatelyaftereachgame.

9.4SECTION4–BuildingsandPropertyCommittee

TheBoardofDirectorsmayappointa BuildingandPropertyCommitteeconsistingofthree(3)Directorsandotherappointed RegularMembers or Members of the community.TheCommitteeshallinvestigateandrecommendavailable,suitable sitesandplansfordevelopment,includingwaysandmeans,thelatterincooperation withtheFinanceCommittee.Itshallberesponsibleforrepairandimprovementrecommendations,otherthannormalmaintenance,andsupervisetheperformanceofapprovedprojects.

9.5SECTION5–GroundsCommittee

TheBoardofDirectorsmay appointaGroundsCommitteewhichshallberesponsibleforthecareandmaintenance oftheplayingfield(s),buildingsandgrounds.Itshalloperatewithintheamountappropriatedintheapprovedbudgetforthatpurpose.

9.6SECTION6–PlayingEquipmentCommittee

TheBoardofDirectorsmay appointaPlayingEquipmentCommitteewhichshallsecure bidsonneededsuppliesandequipmentandmakerecommendationsfortheirpurchase totheBoard.TheCommitteeshallberesponsiblefortheproperissuanceofsuch suppliesandequipmentandfortherepair,cleaning,andstoragethereofatthecloseoftheseason

9.7SECTION7–ManagersandCoachesSelectionCommittee

TheBoardofDirectorsmayappointaManagersCommitteeconsistingofatleastthree

TheCommitteeshallinterviewandinvestigateprospectivemanagersandcoaches,

includingthosefortheMinorLeagueteamsandrecommendacceptablecandidatestothePresident,forappointmentandsubsequentapprovalbytheBoardofDirectors.Itshall,duringtheplayingseason,observetheconductofthemanagersandcoachesandreportitsfindingstothePresidentoftheLocalLeague.Itshall,attherequestofthePresidentorBoardofDirectors,investigatecomplaintsconcerningmanagersandcoachesandmakeareportthereoftothePresidentorBoardofDirectorsasthecasemaybe.

9.8SECTION8–UmpireCommittee

TheBoardofDirectorsmay appointanUmpireCommitteeconsistingofthree(3) DirectorsandotherappointedRegularmembers.TheChief Umpire shallbethe chairmanofanysuchcommittee.TheCommitteeshallrecruit,interviewand recommendtothePresidentastaffofumpires,includingachiefumpireand replacements.Whenappointed,thestaffofumpiresshallbeunderthepersonal directionoftheCCLLPresident,assistedbytheUmpireinChief,whoshalltrain,observe,andschedulethestaff.

TheBoardofDirectorsmayappointaUniformCommitteeconsistingofatleastone(1) DirectorandotherappointedRegularmembers.TheUniformCommitteewillbeunder thepurviewoftheUniform Coordinatorandwillsecurebidsonteam uniformsforthe regularseasonandtournamentseasontopresenttotheBoardofDirectorsfor approval.TheUniform Coordinator shallheadthiscommitteetocoordinateordering,pick-up,anddistributionofuniforms.

9.10SECTION7–SchedulingCommittee

TheBoardofDirectorsmayappointaSchedulingCommitteeconsistingofthe VP of Operations andotherappointedRegularmembers.TheSchedulingCommitteewill scheduleregularseasongamesforteamplay,practicefieldsandtimes.Thecommittee willpresenttheproposedscheduletotheBoardofDirectorsforapprovalandsubmitan approvedcopy totheUmpireinChief.

9.11SECTION8–RegistrationCommittee

TheBoardofDirectorsmayappointaRegistrationCommitteeconsistingofappointed RegularMembersandDirectorswiththePlayerAgentasthechairperson.The membersofthiscommitteewillcoordinateCCLLregistrationdates,andbepresentto assistwithplayerregistrationontheapproveddates.

9.12SECTION9–AllStarCommittee

TheBoardofDirectorsmayappointanAllStarCommitteeconsistingofthe President, Player agent and minimum of 2 other Board Members.ThisCommitteewillfollowtheprocessoutlinedintheBy-Laws.

10.0ARTICLEX–AFFILIATION

10.1SECTION1–Charter

TheCCLLshallannuallyapplyforacharterfromLittleLeagueBaseball,Incorporated,andshalldoallthingsnecessarytoobtainandmaintainsuchcharter.TheCCLLshall devoteitsentireenergiestotheactivitiesauthorizedbysuchcharter,anditshallnotbe affiliatedwithany otherprogram ororganizationoroperateanyotherprogram.

10.2SECTION2–RulesandRegulations

TheOfficialPlayingRulesandRegulationsaspublishedby LittleLeagueBaseball,Incorporated,Williamsport,Pennsylvania,shallbebindingontheCCLL.

10.3SECTION3–By-LawsandLocalRules

TheBy-LawsandLocalRulesofCCLLshallbeadoptedby theBoardofDirectorsata meetingtobeheldnotlessthanonemonthprevioustothefirstscheduledgameofthe season,butshallinnoway conflictwiththeRules,RegulationsandPoliciesofLittle LeagueBaseball,Incorporated,norshalltheyconflictwiththisConstitution.TheBy- lawsandLocalRulesofthisCCLLshallexpireattheendofeachfiscalyear,andare notconsideredpartofthisConstitution.(SeeArticleXI,Section7forfiscalyearofthis league)

11.0ARTICLEXI–FINANCIALANDACCOUNTING

11.1SECTION1–Authority

TheBoardofDirectorsshalldecideallmatterspertainingtothefinancesoftheCCLL,anditshallplaceallincomeincludingAuxiliary fundsinacommonCCLLtreasury,directingtheexpenditureoffundsinsuchamanneraswillgivenoindividualorteaman advantageoverthoseincompetitionwithsuchindividualorteam.

11.2SECTION2–Contributions

TheBoardshallnotpermitthecontributionoffundsorproperty toindividualteams,butshallsolicitfundsforthecommontreasuryoftheCCLL,therebydiscouragingfavoritism amongteamsandendeavoringtoequalizethebenefitsoftheCCLL.Allfundsraisedto supportAllStarTeamsshallbeinthenameofCaroline County Little League.

11.3SECTION3–Solicitations

TheBoardshallnotpermitthesolicitationoffundsinthenameofLittleLeague Baseball,IncorporatedunlessallofthefundssoraisedbeplacedintheCCLLtreasury.Allfundsraisedduringthecourseoftheregularseasonortournamentseasonshallbe placedintheCCLLtreasury.

11.4SECTION4–DistributionofFunds

TheBoardshallnotpermitthedisbursementofCCLLfundsforotherthantheconductofLittleLeagueactivitiesinaccordancewiththerules,regulationsandpoliciesofLittle LeagueBaseball,Incorporated.Alldisbursementsshallbemadebycheckordebit card.AllCCLLchecksshallrequiretwosignaturesforauthorization.TheCCLL TreasurerandPresidentshallsignallchecksforCCLLtomeetthe doublesignaturerequirement.

11.5SECTION5–Compensation

NoDirector,Officer,orMemberoftheCCLLshallreceivedirectlyorindirectlyany salary,compensationoremolumentfromtheCCLLforservicesrenderedasDirector,Officer,orMember.

11.6SECTION6–Deposits

Allmoniesreceived,includingAuxiliaryFunds,shallbedepositedtothecreditofthe Caroline County Little League,Inc.,attheUnion BankinCaroline, VA.

11.7SECTION7–FiscalYear

ThefiscalyearoftheCCLLshallbeginonOctober1andshallendonSeptember30.TheCCLLLeagueIDNumberis03461501anditsTaxIDNumberis54-184159.(Note:TheabovefiscalyearmustbechoseniftheLocalLeagueintendstoqualify undertheLittleLeagueBaseball,Incorporated,GroupTaxIDNumber.)

UpondissolutionoftheCCLLandafteralloutstandingdebtsandclaimshavebeen satisfied,theMembersshalldirecttheremainingpropertyoftheCCLLtoCaroline Youth Athletic Association (CYAA) a FederallyIncorporatedentitywhichmaintainsthesameobjectivesassetforthinArticle IIofthisConstitution,whichareormaybeentitledtoexemptionunderSection 501(c)(3)oftheInternalRevenueCodeorany futurecorrespondingprovision.

12.0ARTICLEXII–AMENDMENTS

TheConstitutionmay beamended,repealedoralteredinwholeorinpartby amajority voteatanyduly organizedmeetingoftheMembersprovidednoticeoftheproposed changeisincludedinthenoticeofsuchmeeting.Draftofallproposedamendments shallbesubmittedtoLittleLeagueBaseball,Incorporated,forapprovalbefore implementation.
