In this agreement the words YOU and YOUR mean the customer(s) who signs below. WE, US and OUR mean Brock Farms, Inc.

AGREEMENT: This is the agreement that covers your purchases from us and covers your payment for those purchases. When we agree to allow you to purchase goods but do not demand immediate payment we are relying upon the information you have given us in your application for deferred payment. You guarantee that this information is true and correct and that any future information you give us will be true and correct.

CANCELLATION AND AMMENDMENT: We have the right to cancel this agreement at any time or to amend its terms by notifying you in writing prior to any new purchase by you. This agreement shall remain in full force and effect as to all amounts you may already owe under this agreement and the terms of the agreement will continue in effect as to such amounts already owed until they are paid in full.

PROMISE TO PAY: You promise to pay us or anyone we designate all amounts plus interest (if any) for all purchases made under this agreement plus collection costs and any other amounts you owe us.

BILLING AND STATEMENTS: Each month we will mail you a statement which will show all of your purchases made under this agreement. All payments made by you and any interest charged by us to you under this agreement. Full payment of the entire balance you owe must be made within thirty (30) days of the date of your invoice. If you do not pay the entire balance within thirty (30) daysof date of the invoice we will add interest to the amount you owe at the rate of 1.5% per month (18% per annum/year).

DISCOUNTS: Discounts agreed upon will be shown on the face of the statement at the end of each month. This statement must be paid by the 10th of the month following purchase to be eligible for the discount. If you do not pay the entire balance by the 10th of the month following purchase, the discount may be cancelled at our option, and the full amount will be due within the thirty (30) days stipulated above.

ENTIRE BALANCE DUE: If you miss a payment under this or any other obligation you owe us or if you violate any of the terms of this agreement we can declare the entire balance of the amount you owe due and payable immediately with or without notice or demand to you. We can also do this if something happens that we feel will seriously affect your ability to repay what you owe us.

COLLECTION: If we are forced to start collection proceedings to recover amounts you owe under this agreement, you agree to pay all costs and expenses of collection including reasonable Attorney’s fees of 20% of the amount you owe us.

LAW THAT APPLIES: This agreement shall be governed by the law of the State of New Jersey.

DELEGATION OF AUTHORITY: You authorize us to sell goods to your agents and principals and agree that their purchases shall be your obligations under this agreement.

BASIC GUARANTEE: For one dollar ($1.00) and other good and valuable consideration the receipt of which is hereby acknowledged and in order to induce Brock Farms, Inc. to make available goods and/or services to the above referred to customer(s), the undersigned guarantee(s) repayment of all of the above customer’s obligations under this agreement.

RELIANCE BY BROCK FARMS, INC.: Brock Farms Nurseries, Inc. may continue to sell goods to above customer(s) under this agreement based upon this guarantee until the undersigned Guarantor(s) give written notice to Brock Farms Nurseries, Inc. not to do so, which written notice shall not be effective upon mailing, but shall only be effective upon actual receipt by Brock Farms Nurseries, Inc.
