ATTENTION: BY SIGNING THIS LEGAL DOCUMENT, YOU GIVE UP CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE. PLEASE READ CAREFULLY.

WHEREAS the undersigned (hereinafter the “Rights Holder”) holds the copyright to the Work set out below, alone or with one or more rights holder;

AND WHEREAS, for the advancement of research and education, the University of Manitoba wishes to make use of the Work;

NOW THEREFORE, in consideration of the care and maintenance of the Work while in the University’s possession, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Rights Holder hereby states:

1)I hereby grant a perpetual non-exclusive licence to the University of Manitoba to edit, copy, and otherwise use, in whole or in part, the Work. This includes the right to reproduce, re-publish, or re-print the Work in any format or media. Use of the Work shall be without notice or compensation to me.

2)I agree to indemnify and save harmless the University of Manitoba, its agents, employees, affiliates, subsidiaries, representatives, and all related parties from and against any and all damages, costs, judgments, and expenses (including reasonable attorney fees) that it may incur as a result of its use of the Work.

3)I have not assigned, mortgaged, sold, licensed or encumbered the copyright in the Work to any other party so as to conflict with this Release. I further state that I am not under any obligation to assign, mortgage, sell, license or encumber the copyright in the Work.

4)I represent and warrant that the Work is not subject to copyright or other rights except my own and those of any other Rights Holders, all of which are to be transferred or licensed to the University of Manitoba.

5)In signing this Form, I am not relying upon any oral or written representations or statements made by the University other than what is set forth in this Form. I have read and understood this Form, and I am aware that by signing this Form I am waiving certain legal rights which I or my heirs, next of kin, executors, administrators and assigns may have against the University.
