StorageIQ is the smart way to maximize performance, optimization and health of your tape library system environment. FUJIFILM Recording Media U.S.A., Inc. (“Fujifilm”) offers a free 90 day customer evaluation program to help you determine that StorageIQ is a good fit for your organization. Please follow the three easy steps below to apply for your free StorageIQ Trial Services.
Confirm Compatibility
StorageIQ uses the ReadVerify® Appliance (“RVA®”) in an out-of-band manner with no performance impact on servers or tape drives. No software is required for installation. Your environment must meet the below standards:
§ FC connectivity between the RVA and the switch connected to the drives and library
§ RVA must be in the same zone as the drives and library
§ 10/100/1000 Ethernet connectivity for RVA management interface
§ Windows XP/Linux client requirements:
o Connectivity to Ethernet segment where RVA is connected
o GUI requires MS IE 7.0+ or Mozilla Firefox 3.0+
Once you have confirmed that your environment meets the above standards, complete the one-page Pre-Install Checklist on the second page of this Application for StorageIQTM Trial Services. Complete and accurate responses to the questions in the Pre-Install Checklist will help us determine if the RVA can be configured to monitor your total library environment and will expedite the RVA installation process.

Installation requires approximately two hours with free installation support to be provided by telephone. In addition to scheduling a shipment date for delivery of the RVA to your location, you will also need to schedule a date and time for remote installation support. Prior to installation, please rack and connect the RVA to your network; please allow adequate time for connection. The RVA ships with a Pre-Configuration Worksheet that will help you ready the unit for installation.

TERMS AND CONDITIONS
These Terms and Conditions are made as of the date the Application for StorageIQTM Trial is signed by Customer. These Terms and Conditions and the Additional Terms and Conditions of Sale for StorageIQTM Services separately provided to Customer or otherwise made a part of Fujifilm’s invoice form the entire agreement between Customer and Fujifilm (the “Agreement”). Capitalized terms used but not otherwise defined in these Terms and Conditions shall have the respective meanings given to them in the Additional Terms and Conditions of Sale for StorageIQTM Services.

1. SERVICES. Subject to the terms of this Agreement, Fujifilm agrees to loan to Customer one (1) ReadVerify® Appliance unit, which consists of hardware (“Hardware”) and proprietary software and third party software (“Software”, and together with Hardware, the “RVA”) for use by Customer at no charge during the Trial Period (as defined below) for evaluation purposes only.
2. TRIAL PERIOD. The term of this Agreement will commence on the day the RVA is delivered to the Customer location identified on the Pre-Install Checklist made a part hereof or other such location provided by Customer and will continue for a period of ninety (90) days thereafter or for such longer period as Fujifilm may agree in writing (the “Trial Period”), unless earlier terminated pursuant to Section 9 below. Customer will notify Fujifilm at least fourteen (14) days before expiration of the Trial Period if Customer desires to lease or purchase the RVA in which event Customer and Fujifilm shall enter into a separate written agreement evidencing the transaction. At the expiration of the Trial Period, if the Customer does not wish to enter into a lease or purchase transaction with Fujifilm, Fujifilm shall have the right to immediate possession of the RVA pursuant to Section 9 below.
3. SERVICE SUPPORT. Customer shall be entitled to free RVA maintenance and service support during the Trial Period in accordance with the Standard Maintenance Package for the RVA, a copy of which shall be provided to Customer upon request; provided that the need for such maintenance or support is not due to Customer’s negligence or failure to use or maintain the RVA as recommended by Fujifilm. Notwithstanding the foregoing, Customer will be responsible, at its own expense, for maintaining the RVA in good operating condition, reasonable wear and tear excepted, at all times until the RVA is either returned to Fujifilm or purchased by Customer.
4. INSTALLATION; LOCATION OF RVA. Fujifilm, at its sole expense, will deliver the RVA to Customer's location and the RVA may not be removed therefrom without Fujifilm's express written consent. Customer will provide Fujifilm and its third party supplier with access to the RVA from time to time during the Trial Period.
5. FEEDBACK. In consideration of Fujifilm’s willingness to loan the RVA to Customer during the Trial Period, Customer agrees to participate in at least one teleconference call hosted by Fujifilm, not more than sixty (60) days from the date of installation, to provide product feedback and to identify and resolve any performance issues that may arise in connection with Customer’s evaluation of the RVA during the Trial Period. To ensure optimal performance of the RVA for the entire Trial Period, Customer shall promptly notify Fujifilm of any change to its tape environment during the Trial Period.
6. TITLE TO RVA; LICENSE. Fujifilm is and will remain the sole owner of the RVA and Customer will have no ownership interest in it. Customer will keep the RVA free from of all claims and liens. Fujifilm may mark the RVA as its property and Customer will not remove or obscure any markings of Fujifilm's ownership. Customer hereby grants to Fujifilm and its third party supplier a non-exclusive, non-sublicenseable, royalty-free, license to use, copy, store, modify and display the RVA database solely for the purposes of generating results and creating reports and performing any maintenance or support services hereunder.
7. LOSS AND DAMAGE. Customer bears the entire risk of loss, theft and damage to or destruction of the RVA (except as a result of actions by Fujifilm) as long as the RVA is under Customer’s care, custody and control. Customer shall maintain commercial general liability insurance in an amount sufficient to cover the replacement value of the RVA and shall name Fujifilm as an additional insured on such insurance. Customer will provide evidence of such insurance to Fujifilm upon request.
8. NO WARRANTIES; LIMITATION OF LIABILITY. ALL PRODUCTS AND SERVICES PROVIDED TO CUSTOMER HEREUNDER ARE PROVIDED “AS-IS” WITH ALL FAULTS, LATENT AND PATENT. FUJIFILM MAKES NO REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, WITH RESPECT TO THE RVA OR STORAGEIQ SERVICES, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF FITNESS OR MERCHANTABILITY, INFRINGEMENT OR RELATING TO THE QUALITY, DESIGN, CONDITION, CAPACITY, SUITABILITY, OR PERFORMANCE OF THE RVA. UNDER NO CIRCUMSTANCES WILL FUJIFILM OR ITS THIRD PARTY SUPPLIER BE LIABLE FOR SPECIAL, INDIRECT, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST BUSINESS, PROFITS OR DATA.
9. EXPIRATION OR TERMINATION OF TRIAL PERIOD. Either party may terminate this Agreement prior to expiration of the Trial Period upon ten (10) days prior written notice to the other party. Upon any expiration or termination of this Agreement, Fujifilm shall have the right to immediate possession of the Hardware, which Customer agrees to tender to Fujifilm within fourteen (14) days from the effective date of such termination or expiration. If Customer fails to deliver the Hardware to Fujifilm within such fourteen (14) day period, Customer shall thereafter be deemed to have purchased the Hardware and shall pay to Fujifilm immediately upon invoice the list price for the Hardware (which value shall be determined without depreciation due to any use hereunder by Customer) and such payment shall be addition to any other amounts due hereunder. The Hardware, when returned to Fujifilm, will be in the same condition as when delivered to Customer, reasonable wear and tear accepted. All rights of Customer to use the Software shall cease upon expiration or termination of this Agreement and Customer shall immediately thereafter purge all copies of Software from the RVA or storage media upon which Customer installed such Software. Termination or expiration of this Agreement will not relieve a party of any obligation accruing and owed by such party prior to such expiration or termination.
10. INDEMNITY. Customer shall defend, hold harmless and indemnify Fujifilm, its employees and agents from and against any and all damages, liabilities, expenses (legal and otherwise), suits, claims, judgments or fines arising from injury to person or property resulting from or based upon the RVA or its use, possession, or operation by Customer or other person (except Fujifilm), including, without limitation, as a result of any modifications or alterations thereof or thereto, except to the extent resulting from the negligence or willful misconduct of Fujifilm. The provisions of this Section 10 shall survive the expiration or earlier termination of this Agreement.
11. COSTS AND EXPENSES FOR ENFORCEMENT. The prevailing party in any litigation or proceeding arising under this Agreement shall be entitled to recover from the non-prevailing party all costs and expenses, including reasonable attorneys’ fees incurred by the prevailing party in connection with such litigation or proceeding.
12. GENERAL. Any notice shall be given by certified mail to the address of the receiving party identified on the Application for StorageIQTM Trial. This Agreement may only be amended by a written instrument executed by the parties hereto. The failure to enforce any of the provisions of this Agreement shall not be deemed or construed to be a waiver of any such provision, nor to in any way affect the validity of this Agreement or any provision hereof or the right of any parties hereto to thereafter enforce each and every provision of this Agreement. All remedies of Fujifilm specified herein are non-exclusive and cumulative and are in addition to all other remedies in Fujifilm’s favor. This Agreement is the entire agreement between the parties regarding the subject matter hereof and supersedes any other written or oral agreement thereon. This Agreement shall be governed by the laws of the State of New York (without giving effect to its principles of conflict of laws). This Agreement is binding on the parties hereto and shall inure to the benefit of the parties, their respective successors and permitted assigns.
