In consideration of the mutual promises set forth below, intending to be legally bound, THE SCHOOL DISTRICT OF PHILADELPHIA, a body corporate and political subdivision formed and existing under the laws of the Commonwealth of Pennsylvania (the “School District”), located at the Education Center, 440 North Broad Street, Philadelphia, Pennsylvania 19130-4015, and ______, a ______(the “Contractor”), located at ______, ______, ______, who each have determined to amend original Contract No. ____/F__ (the “Original Contract”), have executed and delivered this Amendment to Agreement for Services (the “Amendment”) as of ______, 201_.

1.Amendment of the Contract. The School District and the Contractor agree to modify certain of the terms and conditions of the Original Contract, as set forth in this Amendment. From and after the date of this Amendment, the term “Contract” shall mean the Original Contract as amended by this Amendment. Terms used but not otherwise defined in this Amendment have the meanings set forth in the Original Contract. The Parties have attached hereto as Exhibit “A” the Original Contract.

2.Resolution. The School Reform Commission authorized this Amendment by its resolution number _-__, dated ______, 201_. The Parties have attached the resolution to this Contract as Exhibit “B” for reference but have not made the resolution a part of this Contract. The School District has no power to contract for the Work outside the scope of the resolution.

3.Term of the Contract. The School District and the Contractor hereby amend Section 3, Contract Term, of the Original Contract by extending the ending date of the Term from ______to ______.

4.Compensation under the Contract. The School District and the Contractor hereby amend Section 4, Compensation, as follows:

a. Subject to the terms and conditions set forth in the Contract, the School District hereby agrees to pay the Contractor in arrears an additional amount (the “Additional Compensation”) not to exceed ______Dollars ($______), in addition to the Compensation provided for in the Original Contract. The Additional Compensation shall accrue and become payable hereafter to the Contractor at the rates set forth in, and in the same manner as provided in, the Original Contract.

b.The Parties hereby amend “Compensation” as defined in Section 4 of the Original Contract. Upon the execution and delivery of this Amendment, the Compensation shall equal ______Dollars ($______) that is, the sum of the Additional Compensation set forth in subsection 4.a. above, plus the Compensation as stated in the Original Contract.

5.Ratification; Interpretation, Integration, Further Amendment. Except as expressly modified by the terms and conditions of this Amendment, the Parties ratify and confirm each and every one of the terms and conditions of the Contract which, the Parties acknowledge and agree, remain in full force and effect, including without limitation all remedies reserved to the School District under the Contract. In the event of a conflict between the terms and conditions of this Amendment and the terms and conditions of the Original Contract, the terms and conditions of this Amendment shall govern. This Amendment, together with the Original Contract, represents the complete understanding between the School District and the Contractor with respect to the subject matter hereof, and supersedes all prior and contemporaneous negotiations, representations, guaranties, warranties, promises, statements or agreements, whether written or oral, between the School District and the Contractor as to the matters set forth in this Amendment and the Original Contract. The Parties may amend this Amendment and the Contract by, and only by, an instrument in writing executed and delivered by the duly authorized representatives of the School District and the Contractor.
