  1. Listing Price:Seller agrees to sell the above captioned aircraft for the sum of

  1. Term: This listing agreement will commence on the date executed by the

Seller below and will expire six months thereafter unless canceled

by either party upon 30 days written notice.

5.Agent’s Fee:Seller will pay Agent a fee of Six Percent (6%) of the sales price. The fee is earned and payable at the time of closing.

6.Expenses:Cost of advertising, sales and marketing shall be borne by Agent.

  1. Access:To facilitate the showing of the Aircraft, Seller authorizes Agent

to access the Aircraft at reasonable times.

8.Agent’s Authority:

A.Agent will make reasonable efforts and act diligently to sell the Aircraft.

B.In addition to other authority granted to the Broker by this listing agreement, Seller authorizes Broker to:

-- advertise the Aircraft by means and methods Broker determines;

-- place information about the Aircraft on the internet;

-- disseminate information about the Aircraft to other Brokers;

-- hold the Aircraft “open” from time to time for public display.

C.Broker is not authorized to execute any document in the name of or on behalf of the Seller with respect to the Aircraft.

9.Seller’s Representations:

A.Seller has fee simple title to and peaceable possession of the Aircraft, and has the authority and legal capacity to sell it.

B.Seller is not now a party to a listing agreement with another broker for the sale, exchange, or lease of the Aircraft.

10.Attorney’s Fees:If Seller or Agent is a prevailing party in any legal proceeding brought as a result of a dispute under this Listing or any transaction related to or contemplated by this Listing, such party will be entitled to recover from the non-prevailing party all costs of such proceeding and reasonable attorney’s fees.

11.Notices:All notices between the parties under this listing must be in writing and are effective when hand-delivered, mailed, or sent by electronic transmission either party at the addresses set forth in Paragraph 1 above.

12.Agreement:This Listing contains the entire agreement between the parties and may not be changed except by written agreement. It may not be assigned by either party without the written approval of the other party. This Listing is binding upon the parties, their heirs, administrators, executors, successors, and permitted assigns. The laws of the State of Texas govern the interpretation, validity, performance, and enforcement of this listing. If any clause of this listing is found to be invalid or unenforceable by a court of law, the remainder of this Listing will not be affected and all other provisions of this Listing will remain valid and enforceable.
