SHANGAVI LOGISTICS PRIVATE LIMITEDand AGENT COMPANY NAME. have appointed each other as their agent and have
agreed to start a working cooperation in the field of Ocean/Air shipment on non-exclusive agency agreement.
1. TERRITORY
The cooperation is to the following territories;

PURPOSE OF THE AGREEMENT:
The purpose of this agreement is to develop and maintain ocean and air shipment activities between the territories of
the parties and to maximize benefits for both parties.
2. SALES
All partners will exchange sales leads, perform sole and common sales calls in both territories, follow up sales leads and
obtain present routing orders in favors of the partners.
3. OPERATIONS
a. All ocean and air shipments for the respective countries will be addressed to the partner for customs clearance and
delivery unless instructions from Government, banks and / or customers prohibit same.
b. All parties will exchange details of operational procedures, names of key personnel, tariffs and any further
information necessary to maintain and increase the cooperation.
4. COMMUNICATION
a. Communication cost related to sales and operations shall be for the account of the sender.
b. Parties shall inform each other by pre-advice per fax or by way agreed on with full detail of any forwarded
shipment such as number B/L / HAWB/ MAWB, number of pieces, gross and net weight, terms of delivery, name of
final consignee and any further information needed by the receiving party to exercise customs clearance and
delivery of the respective shipment(s).
5. IRREGULARITIES
In case of irregularities, each party should inform the other party immediately and take action to resolve the
problem(s). Any document needed by the other party will be sent immediately or will be kept on file to handle any
claim that may arise.
6. PROFIT SHARE
a. For nominated shipment(s). by the party, the profit & loss will be shared on 50/50 between buying rates and
selling rates.
b. For free-hand shipment(s) by the party, the profit & loss will not be shared with the other party. In this case, the
party will give handling charges (H/C) to the other party as agreed amount on both parties if necessary.
7. SETTLEMENT OF ACCOUNT
a. The SETTLEMENT OF ACCOUNT requires both parties cleared all the payment with the effect from the agreementsigned date.
b. Each party shall provide invoices/debit notes/credit notes along with the shipping documents.
c. The SHANGAVI LOGISTICS PRIVATE LIMITED offers AGENT COMPANY NAME . is USD 1000 on confirmation, if theamount of money exceeds USD 1000 at any time in one month, then the party who owes money to the other mustremit all the amount of money immediately firstly and send the Bank Slip once remittance finished.
d. Each company shall submit a monthly statement of account showing all amounts due to the other party no later than5th of the following month.
e. Discrepancies in the statements of accounts should be notified by each party to other party immediately.
f. Both parties shall reconcile the statement of account and confirm the balance no late than 10th of the following month.
g. The payment must be arranged by T/T remittance and including bank charges no later than 15th of the following month
and send the Bank Slip.
h. Each party shall prepare a Monthly Statement of Account (S/A). The related invoices, B/L copies, HAWB, Manifest and
other pertinent documents should be sent together with S/A if necessary.
i. If there is any discrepancy in the S/A, such discrepancy should be advised immediately to the other party for
confirmation adjustment.
j. Both parties have the right to hold the shipment(s) of which is(are) claimed payment not received by real shipper(s).
k. The payment shall be settled in currency of U.S. Dollars.

9. TERMINATION
This Agency Agreement shall be in force unless otherwise terminated by either party. Three months notice by
registered letter shall effect such termination and both parties shall be settled pending account if remain in S/A.
10. CONFIDENTIAL INFORMATION
Both parties agree that no information whatsoever will be disclosed to third parties regarding the nature of business,
volume, price, customer’s list etc.
IN WITNESS WHEREOF, the parties hereto have executed this agreement at the date of signature and continued to be
force to be until termination by either party.
