I. NAME OF SPONSOR

The Scotts Company LLC (“Scotts”), 14111 Scottslawn Road, Marysville, OH 43041, ESPN Radio Dallas (“ESPN Radio”), 400 East Las Colinas Blvd Suite, 103.3 Irving, TX 75039, and its licensee Sports Radio Dallas, LLC (“Sports Radio Dallas”) (Hereinafter, Scotts, ESPN Radio and Sports Radio Dallas shall be collectively referred to as “Sponsor”).

II. ELIGIBILITY

Entrants must be legal residents of Texas, 18 years of age or older at time of entry. Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six months, performed services for Scotts, ESPN Radio or Sports Radio Dallas, or any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the contest or supplying the prize, and their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, are not eligible to enter or compete in the Scotts Turf Builder Cornhole Classic (defined below). "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses. "Household members" shall mean people who share the same residence at least three months a year.

III. HOW AND WHEN TO ENTER

To enter, you must register online at WWW.ESPNDallas.com (“Site”) for the “ugliest lawn contest” (“contest”) brought to you by Scotts. To register for the contest, you must take one (1) photo (any size) of your “ugliest lawn” (“Photo”), complete the entry form, attach/upload your Photo and click the “submit” button. Entries must be received between 12:01 am CT on March 26, 2010 and 11:59 pm CT on April 13th, 2010. Limit one (1) entry per person. Photo and entry form shall be collectively referred to herein as “Submission.” Sponsor reserve the right, in their sole and absolute discretion, to disqualify any Submissions that are inappropriate for any reason, including without limitation, for depicting or mentioning sex, violence, drugs, alcohol and/or inappropriate language.

By entering, each entrant warrants and represents the following with respect to his/her Submission: (a) entrant is the sole and exclusive owner of the Submission; (b) the Submission is entrant’s own creation; and (c) the Submission will not infringe on any rights of any third parties.

ESPN Radio will select a minimum of three (3x) winners (each a “First Place winner”). First Place winners will be determined based on the entrant whose lawn is most deserving of Scotts Green MAX products (“Judging Criteria”). Each First Place winner in the ugliest lawn contest will receive (i) one entry (team of two (2)) into the qualifying round of the Scotts Turf Builder Cornhole Classic bean bag tournament scheduled to take place on April 17th, and (ii) grandstand tickets from Scotts to the Samsung Mobile 500 scheduled to take place on April 18th. Grand Prize Winner of the contest will be the team that wins the Scotts Turf Builder Cornhole Classic championship round on Sunday, April 18th. Only the top 4 teams from each qualifier round on Saturday April 17th will move on to the championship round to take place on Sunday, April 18th. Other teams that will be competing in the Scotts Turf Builder Cornhole Classic will register on-line at www.speedwaycharities.org or at Texas Motor Speedway on April 17th. First Place winner of ‘ugliest lawn contest’ and one (1) guest could win the Grand Prize based on how they perform in the Scotts Turf Builder Cornhole Classic. The Grand Prize winner (team of 2) of the Scotts Turf Builder Cornhole Classic will receive $500, two (2) suite tickets to the AAA Texas 500 on November 7th, one (1) Camping space in the victory circle campgrounds for November race weekend and two (2) trophies.

IV. HOW AND WHEN WINNERS WILL BE SELECTED AND NOTIFIED

Three (3x) First Place winners will be selected based on the Judging Criteria from all eligible entries received on or about April 14, 2010. First Place winners will be contacted by telephone on or about April 14, 2010. Limit one (1) First Place prize per person. First Place winners must attend the Scotts Turf Builder Cornhole Classic on date specified by Sponsor, or prize will be forfeited and may be awarded to an alternate. Grand Prize winner will be notified of his/her winning status at the Scotts Turf Builder Cornhole Classic. In the event any winner is deemed ineligible, fails to comply with contest procedures, or is not available to claim prize (by being present at the Scotts Turf Builder Cornhole Classic) during dates specified by Sponsor, then winner will forfeit prizes. All winners will have to sign a release in order to receive prize. Decisions of the Sponsor shall be final and binding in all matters relating to the contest. If any winner cannot be contacted, if any prize or prize notification is returned as undeliverable, if any winner rejects his/her prize or in the event of noncompliance with these contest rules and requirements, such prize will be forfeited and may be awarded to the Submission with the next highest score. Upon prize forfeiture, no compensation will be given.

V. PRIZE

Each First Place winner will receive two (2x) tickets to the Samsung Mobile 500 scheduled to take place on April 18th, 2010 (for winner and guest) and one entry (team of two (2) ) into the qualifying round of the Scotts Turf Builder Cornhole Classic scheduled to take place on April 17th. Total of (3) three First Place winners. Approximate retail value (“ARV”) of each First Place prize (two (2) tickets and one (1) Scotts Turf Builder Cornhole Classic qualifying entry): $280. One (1) Grand Prize winner of the Scotts Turf Builder Cornhole Classic will receive $500, two (2) Suite tickets to the AAA Texas 500 on November 7th, 2010, one (1) Camping space in the victory circle campgrounds for the November race weekend and two (2) trophies. ARV of Grand Prize: $2,860. ARV of all prizes combined: $3,140. Prizes are non-transferable. No substitutions or cash redemptions. In the case of unavailability of any prize, Sponsor reserves the right to substitute a prize of equal or greater value. All expenses not specifically listed herein are the responsibility of winners.

VI. RELEASES

By participating, entrants agree to be bound by these official rules and the decisions of the Sponsor/Judges and contest administrator, which shall be final in all respects. By participating in this contest and accepting any prize that they may win, entrants agree to release ESPN Radio, Sports Radio Dallas, and Scotts, and their respective parent, subsidiary, affiliated and successor companies, advertising and promotion agencies and prize suppliers, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the “Released Parties”) from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, travel to, or participation in contest, or possession, acceptance and/or use or misuse of prize or participation in any contest-related activity and for any claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement or any other intellectual property-related cause of action. Entrants authorize Sponsor and anyone who receives permission from Sponsor to use their name, voice, likeness, biographical data, city and state of residence and entry materials in programming or promotional material, worldwide in perpetuity, or on a winner’s list, if applicable, without further compensation unless prohibited by law. Sponsor is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation. Entrants acknowledge that such materials may be included and/or discussed in a broadcast, that such discussion may include statements or opinions by the broadcast talent or others about the entrants, the entrants’ appearances and/or the materials, and that those statements and opinions may be considered surprising, humiliating, embarrassing, derogatory, defamatory or otherwise offensive or injurious to them, Sponsor’s employees, its studio or at-home audience and/or other third parties. Entrants release the Released Parties from any actions, claims, injury, loss or damage allegedly caused, directly or indirectly, by any such statements or opinions made during a broadcast. To claim prize: (a) winner must provide proof of age, identity and residency; (b) winner must sign and return affidavit of eligibility/compliance with rules, publicity/liability release and indemnification in the time designated by Sponsor; and (c) winner’s intended guest(s) or travel companion(s), if any, must sign liability/publicity release, all within the time period specified by Sponsor. Sponsor is not responsible if contest cannot take place or if prize cannot be awarded due to travel cancellations, delays or interruptions due to acts of God, acts of war, natural disasters, weather or acts of terrorism. Any attempted form of entry other than as set forth above is prohibited; no automatic, programmed; robotic or similar means of entry are permitted. Sponsor, its affiliates, partners and promotion and advertising agencies are not responsible for technical, hardware, software, telephone or other communications malfunctions, errors or failures of any kind, lost or unavailable network connections, web site, Internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of entry information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed computer transmissions which may limit one’s ability to enter the contest, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participating in this contest or downloading any materials in this contest.

VII. USE OF DATA. Sponsor will be collecting personal data about entrants online, in accordance with its privacy policy. Please review the Sponsor’s privacy policy at www.ESPN.com. By participating in the Contest, entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s privacy policy.

VIII. MISCELLANEOUS; WINNERS’ LIST

Void outside of the state of Texas and where prohibited. All federal, state and local laws and regulations apply. Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process and to cancel, terminate, modify and/or suspend the contest in the event of tampering or other circumstances, including but not limited to acts of God or civil disturbance that render it impractical or impossible to complete or fulfill the contest as originally planned. Sponsor may prohibit an entrant from participating in the contest or winning a prize if, in its sole discretion, it determines that said entrant is attempting to undermine the legitimate operation of the contest by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other entrants or Sponsor representatives.
