MEDIA CONSENT FORM
I (“Participant”) hereby grant and assign to American International Group Inc., its U.S. and international subsidiaries and other affiliated companies, and their respective successors and assigns (“AIG”), the worldwide, irrevocable, perpetual, transferable, sublicensable, fully paid-up right to record me, my appearance, name, performance, statements, likeness, movements, personal characteristics, biographical data, image and voice (collectively, the “Likeness”), rendered or performed by me on film, video, motion pictures, photographs and by any other means of fixation or recording in any media formats (whether now known or developed in the future) (collectively, “Recordings”). Any such Recordings will be taken in a professional context.
I acknowledge and agree that, as between AIG and me, and without additional compensation paid by AIG to me, AIG is the owner of the Recordings, and I hereby assign and agree to assign to AIG any and all right, title or interest that I may have in the Recordings, and agree to execute any documents and take any acts that AIG deems appropriate to effect or enforce such rights and any other rights granted herein. If I receive any print, negative or other copy of any Recording (including for portfolio purposes), I shall not authorize its use by any third party.
Without limiting the foregoing, I hereby grant to AIG the worldwide, irrevocable, perpetual, transferable, sublicensable, fully paid-up right to use the Likeness and Recordings (including Recordings taken by AIG before execution of this Media Consent Form, and any Likenesses therein), in whole or in part (including as modified by or for AIG in its discretion), alone or in combination with other materials, an unlimited number of times, in any publications, newsletters, brochures, recruitment materials and any promotional materials (whether internal or external, and whether in electronic, digital, print or any other form) (the foregoing, collectively, “Materials”) for promotional and communications purposes, in each case without additional compensation to me. I understand that the Likeness, Recordings and Materials may be accessible to anyone worldwide. I also understand that certain third-party providers (e.g., printing companies and PR agents) may have access to and use the Likeness and Recordings in order to assist AIG in creating Materials, including for AIG’s promotional purposes. I agree that AIG will have sole discretion in determining the extent and manner of use of, and that AIG is not obligated to use, the Likeness, Recordings and Materials. I further agree that AIG is not obligated to submit to me for approval any of the Recordings or the Materials and that it may freely alter, distort and create illusory effects in connection with use of the Recordings or the Materials, in whole or in part, including, without limitation, any individual photographs or images of me.
I hereby waive any “moral rights” and any similar rights with respect to attribution of authorship or integrity that I may have in the Recordings or the Materials, either now or in the future, anywhere in the world. I acknowledge and agree that I have received full consideration for the rights I have granted in this document, and AIG is not obligated to pay me any additional compensation for use of the Likeness, Recordings or Materials.
I HEREBY KNOWINGLY AND VOLUNTARILY: (A) RELEASE AIG AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, REPRESENTATIVES AND LICENSEES FROM ANY CLAIM, ACTION, SUIT OR DEMAND OF ANY KIND OR NATURE WHATSOEVER ARISING FROM THE USE OF THE LIKENESS OR RECORDINGS AS PERMITTED HEREIN, INCLUDING, BUT NOT LIMITED TO, CLAIMS BASED ON DEFAMATION, INVASION OF PRIVACY, RIGHT OF PUBLICITY, COPYRIGHT AND OTHER INTELLECTUAL PROPERTY RIGHTS, “MORAL RIGHTS” AND SIMILAR RIGHTS WITH RESPECT TO ATTRIBUTION OF AUTHORSHIP OR INTEGRITY, AND OTHER CIVIL, PERSONAL AND PROPERTY RIGHTS; (B) WAIVE ALL RIGHTS TO SEEK INJUNCTIVE OR OTHER EQUITABLE RELIEF IN CONNECTION WITH THIS MEDIA CONSENT FORM, THE LIKENESS AND/OR RECORDINGS; AND (C) WAIVE ALL RIGHTS TO ROYALTIES, FEES AND OTHER COMPENSATION FOR ANY EXPLOITATION OF THE LIKENESS AND/OR RECORDINGS.
I acknowledge that the Recordings may contain personal data protected under applicable data protection laws. The Recordings will be processed and used by AIG for the purposes described in this Media Consent Form and as permitted under applicable law and agreement, and may be accessed by AIG subsidiaries, branch offices, and their respective service providers, including from countries where data protection laws differ from the country of my employment and/or residency. I acknowledge that this Media Consent Form constitutes the entire understanding between AIG and me regarding the subject matter hereof and cannot be terminated, rescinded or amended, except by written agreement signed by both AIG and me.
