Terms and Conditions
The following Terms of Use Agreement (the "Agreement") describes the terms and conditions applicable to your use of the GreenerEnergy.ca services. This Agreement is entered into between you the client (the
"Client") and GreenerEnergy.ca. ("GREENERENERGY.CA"). Any person who wishes to use GreenerEnergy.ca's Service must agree to the terms and conditions of this service's Terms of Use, which includes the (collectively, the "Agreement"), as well as all other policies and guidelines incorporated
by reference in this Agreement. The Agreement is a binding agreement between you and GreenerEnergy.ca.
We are not involved in the actual transaction between buyers and sellers. As a result, we have no control over the ability of sellers to sell items. We cannot ensure that a buyer or seller will actually complete a transaction. Consequently, we do not transfer legal ownership of items or services from the seller to the buyer, and nothing in this agreement shall modify the provisions under which legal ownership of an item is transferred upon physical delivery of the item to the buyer by the seller.
Each Client acknowledges that it is fully assuming the risks of purchase and sale transactions when using GREENERENERGY.CA services to conduct transactions, such risks shall include, but not limited to, mis-representation of products and services, unsatisfactory quality, failure to meet specifications, defective products, delay or default in delivery or payment, cost mis-calculations, breach of warranty, breach of contract
and transportation accidents ("Transaction Risks").
Each Client agrees that GREENERENERGY.CA shall not be liable or responsible for any damages that may arise a result of or in connection with any Transaction Risks. Clients are solely responsible for all of the terms and conditions of the transactions conducted on, through or as a result of use of GREENERENERGY.CA services, including, without limitation, terms regarding payment, returns, warranties, insurance, fees, taxes, title, licenses, fines, permits, handling, transportation and storage.
Identity Verification
Client Participation in GREENERENERGY.CA RFQ Process
When, as a Client, you submit information which forms the basis of an RFQ, you have extended an offer to Suppliers to meet the requirements specified in the RFQ, including but not limited to price, payment terms,
time constraints, contractual conditions. If we determine in our discretion you have failed to comply with the terms of this User Agreement, we shall have the right, in addition to all other available remedies, to investigate such failure and in the course of our investigation you agree to provide all information requested by us.
Time is of the essence for the Suppliers who will participate in bidding events. Once we have received notification from you of your selection, we will then give you the Supplier contact information and you may
contact the winning Supplier. You will have 30 days ("Due Diligence Period") to complete sufficient due diligence and negotiations with the Supplier to confirm the anticipated amount of a quote. If you terminate
negotiations with the Supplier who is initially awarded the bid during the Due Diligence Period, you may request that the bid be awarded to an alternate Supplier who participated in the bidding event who can meet
the criteria stated in your RFQ.
The Client retains the right to exercise the current contract for any length of time for any reason. All bids are final once submitted. All sales and delivery disputes are to be settled directly between the Client and the Supplier.
Client's Representations and Warranties
As a Client, you represent and warrant that:
(1) all information provided to GREENERENERGY.CA shall be accurate and complete and shall accurately represent your ability to accept the products or services as requested;
(2) no information you provide to GREENERENERGY.CA shall be fraudulent or counterfeit; and
(3) you are 18 years of age or older.
Fraud
Without limiting any other remedies, GREENERENERGY.CA may suspend its services if we suspect that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with GREENERENERGY.CA. Please be aware that even if you do not give us your real name, your Web browser transmits a unique Internet address to us which can be used by law enforcement officials to identify you. Fraudulent bidders may be prosecuted to the fullest extent of the law. Internet fraud cases may be investigated by both the RCMP.
Definition
"Your Information" is defined as any information you provide to us in the registration process, through any email feature. You are solely responsible for Your Information, and we act as a passive conduit for your online distribution and publication of Your Information.
Resolution of Disputes
In the event a dispute arises between you and GREENERENERGY.CA, our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. Accordingly, you and GREENERENERGY.CA agree that any claim or controversy at law or equity that arises out of this Agreement or our services ("Claims") shall be resolved in accordance with one of the subsections below or as otherwise mutually agreed upon in writing by the parties. Before resorting to these alternatives, we strongly encourage
you to first contact us directly to seek a resolution and we will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation, as an alternative to litigation. Binding Arbitration For any Claim (excluding Claims for injunctive or other equitable relief) where the total amount of the award sought is less than $10,000, you or GREENERENERGY.CA may elect to resolve the
dispute through binding arbitration conducted by telephone, on-line and/or based solely upon written submissions where no in-person appearance is required. Any judgment on the award rendered by an
arbitrator may be entered in any court having jurisdiction thereof.
Limitation of Liability
THE FEATURES AND SERVICES PROVIDED BY GREENERENERGY.CA IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND GREENERENERGY.CA HEREBY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF CONDITION, QUALITY, DURABILITY, PERFORMANCE, ACCURACY, RELIABILITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ALL SUCH WARRANTIES, REPRESENTATIONS, CONDITIONS, UNDERTAKINGS AND TERMS ARE HEREBY EXCLUDED. GREENERENERGY.CA MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE VALIDITY, ACCURACY, CORRECTNESS, RELIABILITY, QUALITY, STABILITY, COMPLETENESS OR CURRENTNESS OF ANY INFORMATION PROVIDED ON OR THROUGH THEIR SERVICES. Under no circumstances shall GREENERENERGY.CA be held liable for an delay or failure or disruption of the content or services delivered through its services resulting directly or indirectly from acts of nature, forces or causes beyond its reasonable control, including without limitation, Internet failures, computer, telecommunications or any other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, flood, storms, explosions, Acts of God, war, governmental actions, orders of domestic or foreign courts or tribunals or non-performance of third parties. Each Client hereby agrees to indemnify and save GREENERENERGY.CA, its affiliates, directors, officers and employees harmless, from any and all losses, claims, liabilities (including legal costs on a full indemnity basis) which may arise from such Client's use of services or from its breach of any of the terms and conditions of this Agreement.
GREENERENERGY.CA reserves the right; at it own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with GREENERENERGY.CA in asserting any available defenses. Each Client will be limited to one RFQ through GREENERENERGY.CA except by the decision of GREENERENERGY.CA to allow otherwise. The Client is
obligated to notify GREENERENERGY.CA within 24 hours of contract signing with any supplier which had submitted a quote to the Client through GREENERENERGY.CA services. GREENERENERGY.CA shall not be liable for any special, direct, indirect, punitive, incidental or consequential damages or any damages whatsoever (including but not limited to damages for loss of profits or savings, business interruption, loss of information), whether in contract, negligence, tort, strict liability or otherwise or any other damages resulting from the use or the inability to use GREENERENERGY.CA services; any defect in goods, samples, data, information or services purchased or obtained from a Supplier through GREENERENERGY.CA services.
