MAINTAININGYOURCHAPTER CHARTER

TheNACENationalBoardandstaffarecommittedtoensuringthelongevityandhealthofyourchapter.Thecriticalcomponentsofyoursuccessarefosteringleadership,presentingqualityprograms,communicatingeffectively,andmaintaininghighstandardsofmembershipandethics.

TherequirementstomaintainaNACEChapterCharterprovidea“checkandbalance”thatthestandardsarebeingmaintained.Thiscommunicationandreportingbetweenyourchapter,ChapterLeaders’Council(CLC)andNACEHeadquartersstrengthensandbuildstherelationshipbetweenyourchapterandthenationalorganization.

AlldocumentslistedinthisCharterWatchcanberequestedatanypointbyNACENational(chapterpolicies,statements,etc.).

Procedure

1.EachChaptermustbere-certifiedeveryyear. ThetraditionalCharterWatchchecklisthasbeensplitintotwoparts.AremindernoticewillbesenttoallchapterpresidentsandCLCChairpriortotheduedateofchaptermaterials.

2.PartIoftheCharterWatchapplicationwill bedueSeptember30,2017andpertainstoJanuarythroughJune2017.PartIIoftheCharterWatchapplication willbedueFebruary28,2017andpertainsto JulythroughDecember2017.

3.TheChapterwillsubmitallrequiredelectronicdocuments(notalreadyonfile)andthecertificationlettertoNACEHeadquartersbytheposteddeadlines.NACEHeadquarterswillsendCharterWatchdocumentstotheCLCChairforreviewandverification.

4.TheCLCChairwillreviewthechaptermaterialsandChapterStatementofCertification.IftheCLCChaircannotrecommendre-certificationforachapter,thenhe/shemustsubmitawrittenlettertoNACEheadquartersoutliningthechapterissuesandwhytheycannotberecommendedforre-certification.

5.NACEHeadquartersstaffwillreviewthematerialandStatementofCertification,andcompleteatrackingformformonthlychapterreportsandbankstatements.ThechapterwillreceivenotificationconfirmingtheirrecertificationafterthecompletionofbothPartIandPartIIoftheCharterWatch.

6.AnychaptersnotreceivingarecommendationfromtheCLCChairforre-certificationwillbebroughttotheattentionoftheNACENationalBoardofDirectors.Ifachapterisfoundinviolationofitscharter,theBoardmayelecttorevokethecharterpertheassociation’sNationalBylawslistedbelow:

ArticleX,Section1.Bstates:“ChapterChartersmayberevokedbytheBoardofDirectorswheretheconductoftheChapterisinviolation ofthe Bylawsand/or prejudicialtothebestinterestsoftheAssociation.Noticeofchargesshallbemailedto theChapterPresidentwithcopiestotheChaptermembers ofrecordandany member or membersof theChaptermayappearinitsdefense.UponrevocationoftheCharter,allfullypaid-upmembersmaybeconsideredMembers-At-LargeasprovidedbyArticleIV,Section2.C.

Requirements

ThefollowingdocumentsmustalsobesenttoNACEnational:

□Chaptertaxfiling(annuallyasfiledorwithCharterWatchI)

□Chapterboardlisting(asupdated)

□Chapterbylaws(asupdated)

□CharterWatchStatementofCertification(biannually)

Ifyourchapterhasnotyetsentadocumentlistedabove,pleasesenditwiththeStatementofCertification.IfthesematerialsarealreadyonfilewithNACE nationalyouareNOTrequiredtosendtheminagain.

Inadditiontocompletingthedocumentationrequirements,youarealsoaskedtocompleteallactionslistedontheStatementofCertification.

FailuretoMeetCharterWatchRequirements

Inorderforachaptertomaintainitscharter,allrequirementsonthebiannualStatementofCertificationmustbecompleted.Ifanyoftherequirementsarenotmet,thefollowingstepsaretakentoensureadherencetothechaptercharter.

ForallCharterWatchrequirements:

Step1:Ifanyoftherequirementsarenotmet,aletterofexplanation mustbesenttoNACEnationalandtheCLCchairalongwiththecompletedStatementofCertification.

Step2:Pendingreviewofletterofexplanationandcompletionofstepsbelow(dependentonrequirement)chapterrebateswillbesuspended.

Step3:Ifletterofexplanationnotacceptedandrequirementnotcompleted(stepsbelow),chapterrebateswillberevoked for6-monthCWtimeperiodandchapterwillbeputonprobationarystatusfor3months.

Step4:Certifiedlettertothechapterleadersexplainingrebateforfeitureandprobationarystatus,copiedtotheCLCchairandchaptermembers.

Step5:Chapterwillremainonprobationarystatusforupto1yearifrequirementsarenotmet.After1yearofprobation,chaptercharterwillberevoked.Certifiedlettertochapterleadersexplainingcharterrevocation,copiedtotheCLCchairandchaptermembers.

Additionally,ifyourchapterhasfailedtocompleteoneofthefollowingrequirements,furtherstepsmustbecompleted:Chapterprograms–failuretoholdaminimumof8peryear

Step1:Hostadditionalin-personmeetingoreducationalwebinar–atcostofchapter–formembersinplaceofmissed

meeting.

Chapterboardmeetings–failuretoholdaminimumof10peryear

Step1:Hostadditionalconferencecallorwebinarscheduledinplaceofmissedboardmeeting.

Chaptertaxreturn–failuretofileannuallyStep1:Extensionmustbefiledbydeadline.

Step2:Ifdeadlineismissed,chaptermusthireaccountanttofiletaxes.Chapterisresponsibleforpayingforaccountant

andanyIRSfeesincurred.

Step3:IRSwillrevoke501(c)6not-for-profit status.

Chaptermembership–failuretomaintainminimumof15

Step1:CreateactionplantorecruitadditionalmemberswithguidancefromNACEheadquartersandCLC.

Step2:Lettersent toallchaptermemberstonotifychapterstatus.

Step3:Hostfreemember eventtoincreaseawarenessofNACEandrecruitmembers.

Step4:Ifchaptermembershipremainsbelowrequired15fortwomonthsormore,chapterwillbeplacedonprobationarystatusforsixmonths.

ChapterrepresentationatEvolveand/orExperience!governanceday–failuretoattendbothsessions:Step1:Chaptermembersarenotifiedthatchapterrepresentativewasnotsenttosummit/conference.

Step2:Chaptertoplanemergencyboardretreat.Chapterarrangestohaveheadquartersstaffpersonattendandexecutefullin-personboardtrainingortrainingwebinar.Chaptertoassumeallrelatedcostsoftraining,includingtravel,lodging,supplies,etc.

ProbationaryStatus

Whileonprobation:

□ChaptermustremaincurrentwithallchapterreportingandotherCharterWatchrequirements.

□Chapterrebateswillbeheld,theneithergiventochapterorrevokeduponendofprobationdependingonactionsofthechapter.

□Chapterpresident/leadershipmustattendbi-weeklyconferencecallwithheadquartersandCLCchairtodesignandmonitoractionplan.

□Atendofprobationaryterm,anassessmentofchapterstatuswillbemade–

oChapterisremovedfromprobation.

oChapterremainsonprobation.

oChaptercharterwillbeconsideredforrevocation.
