12Payments:

The seller shall open irrevocable and un-conditional PerformanceBond (Comply with URDG latest version) from first class bank, whose value is 2% of total value of goods described in this contract (Performance Bonds value equal with USD ______), within 3 Banking days from date of Contract sign. The Performance Bonds shall be valid 3 months from opening date.

The buyer shall open Irrevocable, transferable 100% L/C payable at sight within 5 banking days from receiving Performance Bonds.

1 Origin and 1 copy of Phytosanitary Certification

Certificate of fumigation:

1 Origin and 1 copy of Fumigation Certification.

SGS Quality and Quantity certification:

1 Origin and 1 Copy of SGS Quality and quantity certification shall indicate the bill of lading No.

The specification results must comply with requirement in this contract,.

BL (Bill of landing):

Full set (3/3) of clean shipped on Board Marine/Ocean Bill of Lading and 3 Non-Negotiable copies, showing actual shipper, consigned to the order of LC issuing bank and endorsed. And Bill of lading issued by freight forwarder is not acceptable, No matter the Freight forwarder acts as a carrier or as an agent for another named Carrier. Notify party description shall be designated by buyer.

14Obligations

The Buyer:

The buyer will be responsible for arranging all the formalities and pay the taxes required in the regulations of international commerce in the country of destination of the goods, to complete the formalities required from the arrival of the goods at the port of departure of the goods. Any delay generated is the responsibility of the buyer.

The seller:

The seller is responsible for completing the formalities and pays all taxes linked to the export of the goods in accordance with the legislation of the country of origin of the goods to the port of departure chosen by both parties it is understood that delivery is spanking in containers. Any delay generated is the responsibility of the buyer.

15Force Majeure:

In case the execution of this contract is delayed or prevented in whole or in part by either party for some reason (war, riot, labor dispute, official statement of loss, flood, fire, force majeure), it will proceed to the extension delivery time to one month (30 days).

If at the end of this period the delivery encounters difficulties both parties may agree to an extension of time in writing.

Any time a certificate issued by the Chamber of Commerce of the country will be considered as part thwarted parts sufficient justification for the existence of the duration of the force majeure.

16Claims:

The Buyer will claim 1% of each batch goods value as the liquidated damage in every delayed day as per Clause 9, and if the amount of compensations is over 10%, the Buyer may unilaterally terminate the Contract, and the seller shall bear liquidated damages.

The buyer reserves the right to claim quality difference between shipment goods and samples in Clause 14, if applicable.

17Rules and Regulations:

This contract is governed by the arbitration rules of HongKong and subject to HongKong jurisdiction and the same shall be applicable in the unlikely event that the seller and the buyer are unable to resolve their disputes through amicable mutual discussions.
