Mission-WestValleyLandCorporation(LandCorporation)requeststhatfirmsprovidinglanddevelopmentandoperationalmanagement("Respondents")submitwritten responses to thisRFP.

1.RequestforQualificationsandFee Proposals

1.1Purpose of RFP. ThisRFPisapartoftheprocessfortheLandCorporation selectionandretentionofafirmthatcanprovidetheLandCorporation withlanddevelopmentandoperationalmanagement.TimelysubmittedRFPResponseswillbeevaluatedbytheLandCorporationtoascertaintheRespondents'.respective qualifications, basedonthecriteriaestablishedinthisRFP.Thedeterminationof whichRespondentsmeetorexceedthequalificationsstandardssetforth,inthis·RFPisthesoleandexclusivediscretionof theLandCorporation.Respondentsdeemedqualifiedmayberequestedto participateinaninterviewwiththeLandCorporationaspartoftheprocessforselectionandretentionofafirmthatcanprovidetheLandCorporationwithlanddevelopmentandoperationalmanagement.

1.2LandCorporationModifications to RFP. TheLandCorporationexpresslyreservestherighttomodifyanyportionofthisFPpriortothelatestdate/timeforsubmissionofRFPResponses,includingwithoutlimitation,thecancellationofthisRFP. Modifications,ifany,madebytheLandCorporationtothisRFPwillbeinwriting;potentialRespondentswhohaveobtainedthisRFPfromtheLandCorporationpriorto anysuchmodificationswillbeissuedmodificationsto theRFPbywritten addenda.

1.3No Oral Clarifications/Modifications. TheLandCorporationwillnotprovideany oralclarificationsormodificationstotheRFPortherequirementshereof;no employee,officer,agentorrepresentativeoftheLandCorporationisauthorizedto provideoralclarifications or modifications tothe RFP. No Respondent shall rely onanyoral clarificationormodificationtotheRFP.

1.4PublicRecords.ExceptformaterialsrelatingtoaRespondent'sFinancialStatement,materialsdeemedTradeSecrets(asdefinedinCaliforniaCivilCode§3426.1)andmaterialsspecificallymarked"Confidential"or"Proprietary,"allmaterialssubmittedinresponsetothisRFParedeemedpropertyoftheLandCorporation.UponconclusionofnegotiationsbetweentheandCorporationandRespondents,RFPResponsesshallbedeemedtobepublicrecords.Theforegoingnotwithstanding,theLandCorporationmayrejectfornon-responsivenesstheRFPResponseofaRespondentwhoindiscriminatelynotesthatitsRFPResponseorportionsthereofare"TradeSecret""Confidential"or"Proprietary"andexemptfromdisclosureasapublicrecord.TheLandCorporationisnotliableorresponsibleforthedisclosureofRFPResponses,orportionsthereof,deemedtobepublicrecords,ifdisclosureisbylaw,byanorderofCourt,orwhichoccursthroughinadvertence,mistakeornegligenceonthepartoftheLandCorporationoritsagentsorrepresentatives.IftheLandCorporationisrequiredtodefendorotherwiserespondtoanyactionorproceedingwhereinrequestismadeforthedisclosureofthecontentsofanyportionofaRFPResponsedeemedexemptfromdisclosurehereunder,bysubmittingaresponsetothisRFP,eachRespondentagrees todefend,indemnifyandholdharmlesstheLandCorporationinanyactionorproceedingfrom and against any liability, including without limitation attorneys' fees arising

therefrom.Thepartysubmittingmaterialssoughtbyanyotherpartyshallbesolelyresponsiblefor thecostanddefenseoftheLandCorporationinanyactionor proceedingseekingtocompeldisclosureofsuchmaterials;theLand Corporation'ssoleinvolvementinanysuchactionshallbethatofastakeholder, retainingtherequestedmaterialsuntilotherwiseorderedbyacourtofcompetentjurisdiction.

1.5Pre-RFPMeeting.TheLandCorporationwillconductavoluntaryPre-RFPMeetingbeginningat9:00 am, April 17, 2014 at the Board Room of the West Valley College Campus. It is highly encouraged that at least one representative from a prospective bidderattend the Pre-RFP meeting. ·'·

1.6Interviews.Respondentsdeemedqualifiedtoprovidetheseservicesmayberequiredtoparticipateinaninitialandfinal interviewswiththeLandCorporation.Interviewswillgenerallyconsistofashortpresentationby·theRespondentfollowedbyquestionsposedbytheLandCorporation.Totaltimeofeachinterviewwillbeapproximatelyonehour.IfrequestedbytheLandCorporation,anyRespondentinvitedtoparticipateintheinterviewprocessshallhavepresentattheinterviewitskeypersonnel.Theorderoffirmstobeinterviewedwillbeselectedrandomly.

2.SelectionCriteria

2.11General.TimelysubmittedRFPResponseswillbeindependentlyreviewedbytheLandCorporation.AResponseto theRFP,whichdoesnotcomplywiththerequirementsofthis RFP, will be subject to rejection for non-responsiveness. The foregoing

notwithstanding,theLandCorporationexpresslyreservestherighttowaiveminorirregularitiesinanyRFPresponsewhichdonotaffectthescopeofrequiredservices,proposedpricingforrequiredservices,anddonotaffordtheRespondentwithanunfaircompeitiveadvantag 11• 1·

2.2Land Corporation Discretion.TheLandCorporationreservestherighttoexercisediscretionintheweightandpriority oftheevaluationcriteria.

2.3Relevant Experie·nce and Ability.The Respondent willbeevaluatedbasedonexperienceinunderstandingpropertyvaluationtechniquesandpracticesinthegroundleasecontextandinunderstandingrealestatefinancialstatementsandreporting. TheRespondentshouldhave,amongotherskills,adetailedworkingknowledgeofgroundleasesandtheabilitytoeffectivelyparticipateincomplexcontractnegotiations.Also,the Respondentwillberequired toeffectivelyresolvedisputesandworkcloselywithlegal counselto arriveatthemostadvantageousoutcomefortheLandCorporation.

2.4Responsiveness to RFP. TheLandCorporationwillevaluatetheRespondent's RFPResponseforresponsivenesstotherequirementsof thisRFP.

2.5Client Responsiveness.TheLandCorporationwillevaluatethepriorexperienceand

success oftheRespondenttoestablisheffectiveandpositiveworkingrelationshipswithnon-profitorganizationsandwiththegroundlessees.

2.6Availability. The LandCorporation will evaluatethe availability ofthe Respondent to promptly provide land development and operational management, whether from a·locationincloseproximitytotheLandCorporationorotherwise.

2.7PriceProposal.TheLandCorporationwill evaluatethereasonablenessandfairnessofthepricingproposalsubmittedconcurrentlywitheachRFPResponse.TheLandCorporationexpresslyreservestherighttoawardthelanddevelopmentandoperationalmanagementtothemostqualifiedRespondent.

3.TheLandCorporation

3.1PrimaryPurpose.TheLandCorporationisanonprofitpublicbenefitcorporation.
