ADVERTISINGTERMSANDCONDITIONS

1.INTRODUCTION

1.1TheseTermsandConditions,theBookingFormtowhichtheyareattachedandtheAdvertisementConfirmation(asdefinedbelow)(togetherthe“Agreement”)setoutthetermsonwhichweagreetopublishyouradvertisement(the“Advertisement”)onourwebsite(the“Website”)and/orinanynewspaper,magazine or insertpublishedby us (the“Print Publication”). Please read theAgreementcarefullyandmakesureyouunderstanditbeforesigning.YouunderstandthatbysigningtheBookingForm, youagreetobeboundbythetermsofthisAgreement.

1.2TheAdvertisementsubmittedbyyouwillbemanagedandpublishedbybrandnamedinthefrontsheetaccompanyingthesestermsandconditions,tradingasMedia Business Insight Limited(acompanyincorporatedin Englandwithregistrationnumber8248880andwhoseregisteredofficeisat c/o Top Right Group Limited,TheProw,1WilderWalk,London,W1B5AP,andreferredtohereinas“MBI”).

1.3Inlightofthemeaningsgivenaboveto“we”,referencesto“us”and“our”shallbeconstruedaccordingly.

1.4Referencesto“you”,“your”andthe“Advertiser”shallbereferencestotheentityenteringintothisAgreementandsubmittingtheAdvertisementforpublication,whetherthisisarepresentativeoftheAdvertiseroranagentorthirdpartyactingonbehalfoftheAdvertiser.

1.5DefinedtermshavethemeaninggiventothemontheBookingForm orelsewithintheseTermsandConditions.

2.BOOKINGPROCEDUREANDORDERACCEPTANCE

2.1OnsignatureoftheattachedBookingForm byyou,youshallbedeemedtohaveplacedanorderforthepublicationoftheAdvertisementon theWebsiteand/orinthePrintPublication(assetouton theBookingForm).

2.2Weshallnotbedeemedtohaveacceptedyourorderforpublicationuntilwehavesubmittedwrittenconfirmation(forexample,bywayofemail)toyouofouracceptance(an"AdvertisementConfirmation").Unless otherwise specified in TheAdvertisementConfirmationthedatebywhichyoumustprovideuswithacopyoftheAdvertisementwill be 7 days prior to publication date(the"CopyDeadline").The Advertisement Confirmation willattachourRateCardwithdetailsofanyspecifications(e.g.deliveryformatand/orfileconfiguration)withwhichtheAdvertisementmustcomply.YouagreethattheAdvertisementwillcomplywithanysuchspecificationsandanyadditionalspecificationsorinstructionsthatwegiveyoufromtimetotime.

2.3YoushallsupplyuswithacopyoftheAdvertisementand,whereapplicable,confirmationofthewebsiteURLtowhichtheAdvertisementshalllink,onorbeforethe CopyDeadline.IntheeventthatyoufailtoprovideacopyoftheAdvertisementto usbytheCopyDeadline,weshallhavetherighttopublishtheAdvertisementatatimeofourchoosingortreatyourorderforpublicationoftheAdvertisementashavingbeencancelledbyyou as detailed in Clause 8 below.

2.4NotwithstandinganyotherprovisionoftheseTermsandConditions,nothinghereinshallrequireusto dooromit to doanythingwhichwouldinfringeanythird partyrights orcontravene anyapplicablelawsorregulationsincluding,butnotlimitedto,theDataProtectionAct1998,theGamblingAct2005andtheConsumerProtectionfromUnfairTradingRegulations2008.

2.5Youacknowledgeandacceptthatwehavetherighttopubliclyannounceourbusinessrelationshipwithyouwhichshallincludebutnotbelimitedtoannouncementsonsocialmedia.Suchannouncementsshallnotbedisparagingorotherwiseadverseto yourbusiness.

3.PUBLICATIONOFTHEADVERTISEMENT

3.1Weagreetopublishthe AdvertisementontheWebsiteand/orinthePrintPublicationforthedurationofthePublicationPeriod(asspecifiedintheattachedBookingForm).

3.2WeshallbeentitledatanytimepriortotheStartDatetorequireyoutoamendtheAdvertisementsubmitted,orrefuse(without notice)topublishanyAdvertisementineachcase soasto:

3.2.1avoidpublishinganythingwhichwouldnotbe,inourreasonableopinion,appropriatetopublishontheWebsitesand/orinaPrintPublication;

3.2.2avoidpublishinganythingwhichinourreasonableopinionisinaccurate,misleading orobjectionable;

3.2.3avoidtheinfringementoforcontraventionof(orlikelyinfringementorcontraventionof)(i)therightsofanythirdpartyor(ii)theBritishCodeofAdvertising,SalesPromotionandDirectMarketingandallotherrelevantcodesunderthegeneralsupervisionoftheAdvertisingStandardsAuthorityor(iii)anyotherapplicablelaw;and/or

3.2.4ensurethattheAdvertisementmeets(toourreasonablesatisfaction)(i)theproductionandqualityspecificationsstipulatedontheRateCard;or(ii)anyotherreasonableinstructionsthat weissueto you.

3.3Weshalluseourreasonableendeavours to(i)complywithyourreasonablewisheswithregardtothepositionoftheAdvertisementontheWebsiteorinthePrintPublication(wherethishasbeenrequestedinadvanceandisspecifiedontheBookingForm)and(ii)ensurethat theAdvertisementispublishedonthe Start Dateforthe durationofthe PublicationPeriod.However,wereservetheright,withoutliabilitytoyou,tochangethepositionoftheAdvertisement orthedurationofthePublicationPeriodwhere,inoursolediscretion,wedeemitnecessary.

3.4Wereservetherightatourdiscretionandwithoutnoticetoyoutodestroyallartwork,film,copyorothermaterialssubmittedbyyouandwhichhavebeeninourpossessionformorethansixmonthsfromthedateoftheirlastusebyus,unlessspecificwritten instructionshavebeenreceivedfromyoutothecontrary.

3.5YouacknowledgethatwedonotguaranteeanyresponseratestotheAdvertisement.Weshallnotbeliabletoyouinanywayinrespectofthenumberofresponses(ifany)thatyoureceivetotheAdvertisement.

4.ADVERTISEMENTCONTENT

4.1Youherebygranttousaworldwide,non-exclusive,royalty-free,sub-licensablelicencetouse,reproduce,modify,adapt,publish,createderivativeworksfrom,distributeanddisplaytheAdvertisement(inwholeorpart).

4.2Whereapplicable,youherebygranttoustheexpressrighttoreproducescreenshotsoftheWebsitecontainingallorpartoftheAdvertisementonorinanypromotionaloradvertisingmaterialsorinconnectionwithpromotingoradvertisingtheWebsiteoranypartorourbusiness.

4.3IftheAdvertisementcontainsalinktoanotherwebsiteyoushall:(i)maintaintheURLofthatwebsite;(ii)maintainandupdatethecontentofthatwebsite;and(iii)ensuretheavailabilityofthatwebsite. WemayremoveanyAdvertisementwhich containslinks toawebsitewhich,inourreasonableopinion,is(ormaybe)defamatory,objectionableormayotherwisebringusand/oranypartofourbusinessintodisrepute.

4.4WeshallnotbeliabletoyouinanywayforanyerrorsinanAdvertisementsubmittedbyyouforpublicationortherepetitionofanyerrorinan Advertisementorderedformorethanoneinsertion,andwehavenoobligationtocheckwhetherthecontentoftheAdvertisementthatyousubmittousiscorrect.

4.5IfwereceiveanybonafidethirdpartycomplaintaboutthecontentorappearanceoftheAdvertisementwemay,atoursolediscretion,removetheAdvertisementfromtheWebsite(and,whererelevant, fromanyfurthercopiesofthe PrintPublication) withoutnotice and withoutincurringanyliabilitytoyou.

4.6Allintellectual propertyrights(including, butnotlimited to,copyright, trademarkand designrights)in:(i)anymaterialscreatedbyusinconnectionwiththeAdvertisement;(ii)theWebsite; and(iii)thePrintPublicationshallbesolelyandexclusivelyownedbyusoroursuccessor,togetherwithanygoodwilltherein.

5.OUROBLIGATIONS

5.1IntheeventthatwefailtopublishtheAdvertisementbytheStartDate,weshall,onnotificationofthisfailurebyyou,either:(i)publish theAdvertisementassoonasisreasonablypracticableaftertheStartDate,foraperiodequaltothePublicationPeriod;or(ii)whereyouhavenotifiedusthatthepublicationoftheAdvertisementistimecriticalandthereforepublicationoftheAdvertisementatalaterdatewillnotbeanadequateremedy,refundtoyouallpaymentsmadebyyouinrespectoftheAdvertisement.

5.2SubjecttoClause5.3,ifanAdvertisementcontainsanerrorcausedbyusandtheerrordetractsmaterially fromtheAdvertisement,then providedyou senduswrittennoticeofsuch error withinfiveworkingdaysoftheStartDate,wewill,atoursolediscretion,either:

5.2.1refundyouthecostoftheAdvertisement;or

5.2.2re-publishtheAdvertisement(withouttheerror)onthesamebasiswithoutchargetoyou.

5.3SubjecttoClause10.4,theremediessetoutatClause5.2shallbeyoursoleremedyinrelationtoanerror, misprintoromissionintheprintingofany Advertisementcausedbyus.

5.4Wereservetherightatanytimetomodifyordiscontinue(temporarilyorpermanently)theWebsiteorPrintPublication(orpartthereof)withorwithoutnotice.WhereyouhavepaidforanAdvertisementandtheAdvertisementisnotpublishedbyusduetothemodificationordiscontinuation(temporarilyorpermanently)oftheWebsiteorPrintPublication,weshallrefundtoyouthecostofthe Advertisement.

5.5Whereapplicable,weshallnotbeliableforanylossordamagesufferedbyyouasaresultofanytotalorpartialfailureoftheWebsiteoranyinabilitytoaccesstheWebsite.

5.6WithregardtotheactualorintendedpublicationofanAdvertisementontheWebsiteorinthePrintPublicationweshallhavenoliabilitytoyoufor:

5.6.1the wording,representation,placementorqualityofcolour ormonoreproductionoftheAdvertisement;

5.6.2anylosswhatsoevercausedasaconsequenceofany instructions,artworkoranyothermaterialrelatingto theAdvertisementbeing submittedbyyouinelectronicformthat isinbreachofthewarrantyat6.1.7 below;

5.6.3subjectto5.1,any losswhatsoevercausedbyadelayorfailure byustoissuethePrintPublicationorupdatetheWebsiteontheStartDate;or

5.6.4anyfailureoftheAdvertisementtomeetorgenerateany targetresponselevelsorpageimpressions.

5.7IfatanytimeduringthePublicationPeriodyouwishtoremovetheAdvertisementthatisbeingdisplayedontheWebsiteyoumustgivewrittennoticetousrequestingtheAdvertisement'sremoval.

5.8We shalluseour reasonableendeavours to effectthe removal oftheAdvertisementfromthe WebsitewherethePublicationPeriodhasaperiodoftimeinexcessof14daysuntilitsexpiry.Weshallnotbeliabletoyouinthe eventthatweare unabletocomplywitharequestto removetheAdvertisementforanyreason.

5.9IntheeventthatweremovetheAdvertisementfromtheWebsitefollowingarequestfromyou,allFeesshallbenon-refundable.

6.YOUROBLIGATIONS

6.1Youherebywarrantthat:

6.1.1insigningtheBookingFormyouareauthorisedtobindtheAdvertiser(includingwhereyouareactinginthecapacityasagent)orinanyotherrepresentativecapacity;

6.1.2theuseoftheAdvertisement(oranyrelatedmaterials)includingthereproductionand/orpublicationoftheAdvertisementbyus(eitherinthePrintPublicationorontheWebsite(or both),asthecasemay be)intheform originallysubmittedbyyouwillnot

(i)breachanycontractwithathirdparty(ii)infringetheintellectualpropertyrights(includingcopyright,designrightsortrademarks)ofanythirdpartyor(iii)otherwisebeunlawfulorrenderusliabletoany proceedings,claims,demands,costsorexpensesoranyotherlosswhatsoever;

6.1.3inthecaseofanyAdvertisementsubmittedforpublicationbyyouwhichcontainsthenameorpictorialrepresentation,whetherphotographicorotherwise,ofanylivingpersonoranypartoftheanatomyofanylivingpersonoranymaterialbywhichanylivingpersonmaybeidentified,youhaveobtained theauthorityofthatlivingpersontomake useofthe sameinthatparticularcontext;

6.1.4inrelationtoanyfinancialpromotion(asdefinedundertheFinancialServicesandMarketsAct2000(the"Act")),theAdvertisementhasbeenapprovedby,anauthorisedpersonwithinthemeaningoftheActortheAdvertisementisotherwisepermittedundertheAct,undertheFinancialPromotionOrder2001orunderanyotherlegislationsubordinatetotheAct;

6.1.5theAdvertisementcomplieswiththerequirementsofallrelevantlegislationforthetimebeinginforceorapplicableintheUnitedKingdomandallrelevantcodesissuedbytheAdvertisingStandardsAuthority;

6.1.6anymaterials(includingtheAdvertisement)submittedtousbyelectronicmeansshallnotcontainsoftwarevirusesorany othercomputercode,filesorprogramsdesignedtointerrupt, damage, destroyor limitthefunctionalityofanycomputersoftware orhardwareortelecommunicationsequipment,becorruptedorotherwiseunreadable; and

6.1.7anyinformationsuppliedinconnectionwiththeAdvertisementisaccurate,completeandtrue.

6.2Intheeventthat youchangeyourcompanyname,address,oranyotherdetailsdisclosedbyyouto us,youagreethatyou will givewrittennoticetouswithinfiveworkingdaysofsuchchange(s).

6.3YoushallnotembedorattachorotherwiseuseorincludeintheAdvertisementanyfilerelatingtobehavioraladvertising,includingbutnotlimitedto,theuseoftrackingdevicesoranyformofcookies.

7.PAYMENTTERMS

7.1InconsiderationofusagreeingtopublishtheAdvertisementyoushallpaytoustheFeestotheaccountspecifiedontheBookingForm.PaymentoftheFeesisdueinadvanceoftheStartDateinaccordancewiththePaymentScheduleinClause7.2.

7.2Thefollowingpaymentsshallbe madebyyou:

7.2.150%oftheFees nolaterthan90 daysbeforetheStartDate;

7.2.2100%oftheFees nolaterthan 45daysbeforetheStartDate;and

7.3Wherewehavepreviouslyagreedinwritingtoopenacreditaccountforyou,andwhereacreditaccountisopened,thenpaymentoftheaccountshallbecomedue30daysafterthedateofourinvoiceandyou willensurethatpaymentisreceivedbyusnolaterthanthisduedate.If payment is not made in accordance with this Clause 7, interest on the overdue balances (including any period after the date of any judgment or decree against the Customer), and late payment fees, fall due and payable and are calculated upon the basis set out in the Late Payment of Commercial Debts (Interest ) Act 1998 (as amended).

7.4Youagreetoprovideuswithallinformationthatwerequest(including,butnotlimitedto,anyrelevant purchase ordernumber)in atimelymannersothatwemay generate ourinvoices.Failuretosupplysuchinformationinaccordancewithanysuchrequestorinstructionsshallnotexcuselateornon-payment.

7.5AllFees(andanyothercharges)payableundertheAgreementareexclusiveofanyapplicablesalestax(including,butnotlimitedto,ValueAddedTax)whichshallbechargedinadditionattheratefromtimetotimeinforce.

7.6AnycurrencyconversionsnecessarytoprepareaninvoiceshallbecalculatedattheratequotedbyMBIatthedateofinvoice.

7.7Withoutprejudicetoanyotherrightsorremediesavailabletous,we shallbeentitledto:

7.7.1chargeinterestonanyoutstandingbalanceowedtousaccruingonadailybasisfromthedatethattheinvoicebecamedueforpaymentuntilthedateitispaidin full(whetherbeforeorafterjudgmentandcompoundingevery50days);

7.7.2chargeanadministrationfeeof£25ifanychequedrawninitsfavourbyyouinpurportedsatisfactionofanyunpaidinvoiceisdishonouredonpresentation;and

7.7.3instructadebtcollectionagency(apartfromsolicitors)torecoveranysumdueandinthatcaseallchargesincurredbyusasaresultofsuchinstructionshallbepayablebyyouinanyevent upondemand.

7.8Wereservetherightatourdiscretionandwithoutnoticetoyou:

7.8.1tochargeyouforanyextraproductionandcolourprocessingcostsbecauseofanyactoromissionbyyoutosupplyartwork,film,copyorothermaterialsofsufficientqualityorotherwiseinaccordancewiththerelevantspecifications(assetoutontheRateCard);and

8.CANCELLATIONOFANADVERTISEMENT

8.1ShouldyouwishtocancelthepublicationofanAdvertisementyoumustgivenwrittennoticetous.

8.2IntheeventthatwereceiveyournoticeofcancellationmorethansevendayspriortotheStartDate,we shalluse ourreasonable endeavours toeffectthe cancellationandensure theAdvertisementisnotpublished.Weshallnotbeliableintheeventthatweareunabletocomplywitharequesttocancelthepublicationofthe Advertisementforanyreason.

8.3WithoutprejudicetoClause9.3,thefollowingcostsremaindueoncancellation,andyouacknowledgethatthesechargesrepresentagenuinepre-estimateofourlosses:

Displayadvertising:

8.3.1ifnotice of cancellation is received90 days ormore beforetheStartDate:50% oftotalbookingfeedue;or

8.3.2ifnoticeofcancellationisreceived89 daysbeforetheStartDate:100%oftotal booking fee is due.

Digitaladvertising:

8.3.3ifnotice of cancellation isreceived90 days ormore beforetheStartDate:50% oftotalbookingfeedue;or

8.3.4ifnoticeofcancellationisreceived 89daysbeforetheStartDate:100%oftotalbookingfeedue.

Recruitmentandclassifiedadvertising:

8.3.5ifnotice of cancellation isreceived90 days ormore beforetheStartDate:50% oftotalbookingfeedue;or

8.3.6ifnoticeofcancellationisreceived89daysbeforetheStartDate:100%oftotalbookingfeedue.

9.TERMINATION

9.1ThisAgreementshalltakeeffectonthedateoftheAdvertisementConfirmationissuedbyustoyouandshallcontinueuntiltheexpiryof thePublication Period(the“Term”),unlessterminatedearlyinaccordancewiththeprovisionsofthisAgreement.

9.2EitherpartyhastherightatanytimetoterminatethisAgreementimmediatelybygivingwrittennoticetotheotherintheeventthattheother:

9.2.1hascommittedamaterialbreach ofanyofitsobligationsunderthisAgreement(whichshallincludeafailuretopayanyamountsdueunderthisAgreement)andhasnotremediedanysuchbreach(ifcapableofremedy)withinsevendaysofbeingrequiredtodosobywrittennotice;or

9.2.2ceasesorthreatenstoceasetocarry onbusiness,isunabletomeetitsdebtsastheyfalldue,hasanordermadeoraresolutionpassedforitswinding-up,hasanadministrator,receiverormanagerappointed,makesanyarrangementorcompositionwithitscreditors,ormakesanapplicationfortheprotectionofitscreditorsinany way.

9.3UponterminationofthisAgreementbyusinaccordancewiththisClause9,alloutstandingsumsowingtousatthedateofterminationshallbecomedueandpayablewithoutdeductionorset-off.

9.4UponexpiryorterminationofthisAgreement,thepartiesagreethatourobligationtopublishtheAdvertisementshallimmediatelycease.

9.5Termination of thisAgreementbyeitherpartyforany reasonshall bewithoutprejudicetoanyrightsorobligationsthat mayhaveaccruedasatthedateofsuchtermination.

10.LIABILITY

10.1SubjecttoClause10.4,ouraggregateliabilitytoyou,whethersuchliabilityarisesincontract,tort(includingnegligence)orotherwise,foranydamages,loss,costs,claimsorexpensesofanykindhowsoever arising, out of or in connection with the terms of this Agreement (including the

publication ornon-publicationof theAdvertisement)shall belimitedtoasumequaltotheFees paidbyyouinrespectoftheapplicableAdvertisementtowhichtheliabilityrelates.

10.2SubjecttoClause10.4, weshallnotbeliabletoyoufor:

10.2.1anylossofprofit,lossofordamagetodataormaterials(includingthecopyoftheAdvertisementsubmittedbyyoutous),lossofanticipatedsavingsorinterest,lossofordamagetoreputationorgoodwill;

10.2.2anyindirect,specialorconsequentialdamages,loss,costs,claimsorexpensesofanykind;and

10.2.3subjecttoClause5.1,anylosswhatsoevercausedbyourdelayinpublishingtheAdvertisementbytheStartDatefor whateverreason.

10.3Youshallindemnifyusandkeepusindemnifiedagainstallcosts,claims,damages,expensesoranyotherlossessufferedorincurredbyus(oranyofourgroupcompanies)asaresultof:

10.3.1anyclaimsbrought by athirdparty againstusinrelationto:(i)theunauthoriseduseofanyintellectual propertyrights(including, butnotlimited to,copyright, trademarkanddesignrights);(ii)libel;(iii)breachofanystatutoryorregulatoryduty;or(iv)falseormisleadingadvertisingorsalespracticesineachcasearisingfromourdisplay orotherusageoftheAdvertisementand/oranymaterialstowhichuserscanlinkfromanyAdvertisement(inthecaseofanAdvertisementpublishedontheWebsite);

10.3.2(wheretheBookingFormhasbeenexecutedby an agentorotherthirdparty acting(orpurportingtoact)onbehalfoftheAdvertiser)anyclaimsmadebytheAdvertiseragainstusarisingfromthepublicationoftheAdvertisement;

10.3.3anyclaimsbroughtbyanindividualinrelationtoabreachofClause6.1.3;and

10.3.4anyotherbreachbyyouofyourobligationsunderthisAgreement.

10.4NothinginthisAgreementshalllimitorexcludeeitherparty'sliabilityfor:

10.4.1deathorpersonalinjurycausedbyitsnegligence,orthenegligenceofitsemployees,agentsorsubcontractors;

10.4.2fraudorfraudulentmisrepresentation;or

10.4.3anyotherliabilitywhichcannotbelimitedorexcludedbylaw.

11.FORCEMAJEURE

We shallnotbe deemed to be inbreachoftheAgreementor otherwiseliabletoyoufor any failure ordelayinperforminganyofourobligationsunderthisAgreementasaresultofaneventorseriesofconnectedeventsoutsideofourreasonablecontroland/orthereasonablecontrolofoursub-contractorsand/orsuppliersasapplicable.

12.NOTICES

12.1AnynoticeorotherdocumentrequiredtobegivenundertheAgreementoranycommunicationrequiredtobegivenbyeitherpartyshallbeinwritingandshallbeaddressedtotheindividualrepresentativesetoutintheBookingFormandbedeemeddulygivenifsignedbyoronbehalfofadulyauthorisedrepresentativeofthepartygivingthenoticeandifsentbyprepaidregisteredorrecordeddeliveryposttotheaddressofthepartysetoutontheBookingFormoras mayotherwisebenotifiedbytheparties or by email.

12.2Anysuchnoticeorothercommunicationshallbedeemedtohavebeengiventwodaysfollowing thedateof posting(orwherepostedonaSundayorpublicholiday twodaysfollowingthenextworkingday) or if by email then notice shall be deemed to be immediate.

13.ANTI-BRIBERY

13.1Youwarrantthatyoushall:

13.1.1complywithallapplicablelaws,statutesandregulationsrelatingtoanti-briberyandanti-corruptionincludingbutnotlimitedtotheBriberyAct2010;

13.1.2complywithsuchof ouranti-briberyandanti-corruptionpoliciesasarenotifiedtoyoufromtimetotime;and

13.1.3promptlyreporttousanyrequestordemand foranyunduefinancialorotheradvantageofanykindby oron behalf ofyouinconnectionwiththeperformance of thisAgreement.

13.2Breachofthisclause13shallbedeemedamaterialbreachofthisAgreement.

14.GENERAL

14.1ThisAgreement(andthedocumentsreferencedherein)containstheentireagreementandunderstanding between the parties andsupersedes all prior agreements,understandings, statements orarrangements(bothoralandwritten)relatingtothesubjectmatterofthisAgreement.

14.2NofailureordelaybyeitherpartytoexerciseanyrightorremedyprovidedunderthisAgreementorbylawshallconstituteawaiverofthatoranyotherrightorremedy,norshallitprecludeorrestrictthefurtherexerciseofthatorany otherrightorremedy.Nosingleorpartialexerciseofsuchrightorremedyshallprecludeorrestrictthefurtherexerciseofthatoranyotherrightorremedy.

14.3ThisAgreementshallnotcreate,norshallitbeconstruedascreating,anypartnershiporagencyrelationshipbetweentheparties.

14.4Youarenotpermittedtore-sell,transfer,assignorotherwisedisposeofanyofyourrightsorobligationsarisingunderthisAgreement.

14.5Noneoftheprovisionsofthis Agreementare intended toconferabenefitonorbe enforceablebyanythirdpartyundertheContracts(RightsofThirdParties)Act1999orotherwise.

14.6ThisAgreementandtherightsandobligationsofbothpartiesshallbegovernedbyandconstruedinaccordancewiththelawsofEnglandandWalesandthepartiesirrevocablyagreetosubmittotheexclusivejurisdictionofthecourtsofEnglandandWales.
