TCAP CERTIFICATION

The undersigned, ______, a ______("Sponsor")and ______, a ______("Borrower"), in order to induce The Commonwealth of Massachusetts acting by and through the Department of Housing and Community Development ("DHCD") to make an award to Sponsor under the federal Tax Credit Assistance Program ("TCAP") adopted in the American Recovery and Reinvestment Act of 2009 (Public Law 111-5)with respect to the project described in Sponsor’s application for TCAP funds dated of even date herewith (the "Project")to be owned and operated by Borrower, certify that:

(1)Borrower received a construction contract cost proposal with respect to the Project, a copy of which is attached hereto, and such proposal was based on wages prevailing in the locality of the Project, as predetermined by the Secretary of Labor pursuant to the Davis-Bacon Act (40 U.S.C. 276a-276a-5) ("Prevailing Wages").

(2)Every construction contract executed by Borrower in connection with the construction or rehabilitation of the Project contains or will contain (x)a provision requiring the payment of not less than Prevailing Wages to all laborers and mechanics employed in the rehabilitation or construction of any part of the Project and (y)a provision providing that the contract is subject to the overtime provisions, as applicable, of the Contract Work Hours and Safety Standards Act (40 U.S.C. 327-332).

(3)Borrower and Sponsor will comply with the Fair Housing Act (42 U.S.C. 3601-19) and implementing regulations at 24 CFR Part 100, 24 CFR 107 (Equal Opportunity in Housing) in the operation and leasing of the Project.

(4)Borrower and Sponsor will comply with Title VI of the Civil Rights Act of 1964 (42 U.S.C. 2000(d)) (Nondiscrimination in Federally Assisted Programs) and implementing regulations at 24 CFR Part 1.

(5)Borrower will comply with The Age Discrimination Act of 1975 (42 USC 6101-07) and implement regulations at 24 CFR Part 146 “Nondiscrimination on the Basis of Age in Programs or Activities Receiving Federal Financial Assistance.”

(6)Borrower accepts the requirements of the Department of Housing and Community Development’s affirmative fair housing marketing policy, will adopt an affirmative fair housing marketing plan acceptable to DHCD and will implement such plan in accordance with the terms thereof and of DHCD's policy.

(7)Borrower will comply with Section 504 of the Rehabilitation Act of 1973 (29 U.S.C. 794) and implementing regulations at 24 CFR Part 8 “Nondiscrimination Based on Handicap in Federally Assisted Programs and Activities of the Department of Housing and Urban Development.” In particular, if the Project involves new construction or substantial rehabilitation (projects with 15 or more units & alterations equal 75% of replacement cost), then Borrower will cause 5% of units to be accessible to persons with mobility impairments and 2% of units to be accessible to persons with hearing or vision impairments. If the Project is a substantial rehabilitation involving fewer than 15 units or alterations equal to less than 75% or replacement cost, then Borrower will comply with the above standards to the extent feasible.

(8)Borrower will comply with the Lead Based Paint Poisoning Prevention Act and the Residential Lead-Based Paint Hazard Reduction Act of 1992 and implementing regulations at 24 CFR Part 35.

(9)Borrower will not undertake any choice-limiting actions with respect to the Project prior to successful completion of theenvironmental clearance review for the Project (i.e., HUD approval of the Request for Release of Funds) under the National Environmental Policy Act of 1969 and implementing regulations at 24 CFR 58. (This prohibition begins the date of the submission of the TCAP application and includes leasing or disposition of real property and any activity that will result in a physical change to the property including demolition, movement, rehabilitation, conversion, repair, or construction. Performing a choice-limiting action prior to successful completion of the environmental clearance review may disqualify a project from receiving any federal funds, including TCAP.)

(10)Borrower and Sponsor will comply with all the provisions of Anti Lobbying Restrictions (31 USC 1352) and implementing regulations at 24 CFR 87.

(11)Borrower and Sponsor will comply with the Drug Free Workplace Act of 1988 (41 USC 701 et seq) and implementing regulations at 24 CFR 21.

(12)Borrower and Sponsor will comply with OMB Regulations and Circulars (2 CFR Part 2424 “Non-Procurement Debarment and Suspension”)

(13)The Project conforms with the Department of Housing and Community Development's Qualified Allocation Plan under Section 42 of the Internal Revenue Code of 1986, as amended (the "Code").

(14)Project financing will close within 120 days of the issuance of any TCAP commitment to the Project by DHCD.

(15)Sponsor accepts that any TCAP commitment for the Project by DHCD will be withdrawn if the closing does not occur in a timely fashion.

(16)Start of construction of the Project will begin within 45 days after closing of the financing for the Project.

(17)Sponsor accepts that any TCAP commitment for the Project by DHCD will be withdrawn if closing does not begin in a timely fashion.

(18)All information provided by Borrower and Sponsor in connection with the application for TCAP financing is true and accurate.

(19)Sponsor acknowledges that the 9% and 4% Low Income Housing Tax Credit award to the Project will be appropriately adjusted, in some cases to a nominal amount, if terms of any equity commitment are not acceptable to the Department of Housing and Community Development.

(20)Sponsor shall cause Borrower to enter into a written agreement that requires compliance with the Low Income Housing Tax Credit and TCAP requirements for the compliance period required by Section 42 of the Code.

Under the pains and penalties of perjury, the undersigned declares that the certifications set forth in this TCAP Certification are true, correct and complete.
