Incorporation

Cammeray Croquet Club Incorporated (“the Club”) was incorporated under that name on 2nd July 1990 under the Associations Incorporation Act 1984 and registered as Number Y1026211.

Objectives

The objectives of the Club were amended with effect from12thMay 2010 and are: (a)To promote the gameof croquet

(b)To provide rights, privileges and facilitiesto enable members of the Club to play the

game of croquet and engage in social activities of the Club

(c)To acquire such property and material as may be necessary for the above aims.

Governing Legislation

The Club is governed by the Associations Incorporation Act2009 (“the Act”. This constitution is based upon the model constitution set out in Schedule 1 of the 2010

Regulations of the Act.

Part 1 - Preliminary

1.Definitions

(1)Inthisconstitution:

AssociationmeansCammerayCroquetClubIncorporated.

Director-GeneralmeanstheDirector-GeneraloftheDepartmentofServices,Technologyand

Administration.

ordinarycommitteemembermeansamemberofthecommitteewhoisnotanoffice-bearer oftheassociation.

secretarymeans:

(a)thepersonholdingofficeunderthisconstitutionassecretaryoftheassociation,or

(b)ifnosuchpersonholdsthatoffice- thepublicofficeroftheassociation.

specialgeneralmeetingmeansageneralmeetingoftheassociationotherthananannual generalmeeting.

theActmeanstheAssociationsIncorporationAct2009.

theRegulationmeanstheAssociationsIncorporationRegulation2010.

(2)Inthisconstitution:

(a)areferencetoafunctionincludesa referencetoapower,authorityandduty,and

(b)areferencetotheexerciseofafunctionincludes,ifthefunctionisaduty,areferencetothe performanceoftheduty.

(3)TheprovisionsoftheInterpretationAct1987applytoandinrespectofthisconstitutioninthe samemannerasthoseprovisionswouldsoapplyifthisconstitutionwereaninstrumentmade undertheAct.

Part 2 - Membership

2.Membershipgenerally

(1)Apersoniseligibletobeamemberoftheassociationif: (a)thepersonisanaturalperson,and

(b)thepersonhasbeennominatedandapprovedformembershipoftheassociationin accordancewithclause3.

(2)Apersonistakentobeamemberoftheassociationif: (a)thepersonisanaturalperson,and

(b)thepersonwas:

(i) inthecaseofanunincorporatedbodythatisregisteredastheassociation-amember ofthatunincorporatedbodyimmediatelybeforetheregistrationoftheassociation,or

(ii)inthecaseofanassociationthatisamalgamatedtoformtherelevantassociation-a memberofthatotherassociationimmediatelybeforetheamalgamation,or

(iii)inthecaseofaregistrablecorporationthatisregisteredasanassociation-amember oftheregistrablecorporationimmediatelybeforethatentitywasregisteredasan association.

(3)Apersonistakentobeamemberoftheassociationifthepersonwasoneoftheindividualson whosebehalfanapplicationforregistrationoftheassociationundersection6(1)(a)oftheAct wasmade.

2A.ClassesofMembership

(1)Theclassesofmembershiparefull,life,restrictedplayingandsocialmembers.All nominationsformembershipshallstatetheclassofmembershipsoughtbythenomination. Theclassofmembershipofeachmembershallberecordedintheregisterofmembers.

(2)Allmembersirrespectiveoftheirclassofmembershipshallhavealltherights,privileges andobligationsofmembershipexceptthat:

(a)Onlyfullmembersandlifemembershavetherighttovoteandtobeanoffice-bearerof theassociationoranordinarymemberofthecommitteeandtorequisitiontheholding

ofaspecialgeneralmeeting,

(b)Entrancefeesandannualsubscriptionsforeachclass(andinthecaseofrestricted playingmembers,withintheclassaccordingtotheplayingrightsgranted)shallbe determinedbythecommitteefromtimetotimeandnoannualsubscriptionshallbe payablebylifemembers,

(c)Theplayingrightsofrestrictedplayingmemberstousetheassociationslawnsand facilitiesshallbeasdeterminedbythecommitteefromtimeto time,and

(d)Socialmembersshallnotbeentitledtousetheassociation’slawns.

(3)Amembershallbealifememberifthatmemberhasbeenelectedtothatpositionbya specialresolutionoftheassociationinwhichitisrecognizedthatthememberhasrendered meritoriousservicetotheassociation.Onlyonemembermaybeelectedasalifemember

inanyonecalendaryear.

(4)Fullmembersmayelecttobecomerestrictedplayingmembers,restrictedplayingmembers mayelecttobecomesocialmembersandsocialmembersmayelecttobecomerestricted playingmembersbynoticeinwritingtothesecretary.

(5)Restrictedplayingmembersandsocialmembersmayonlybecomefullmembersby makingapplicationtothesecretaryandthecommitteeapprovingtheapplication.

Thecommitteemayadjustmembershipfeespayablefortheyearofmembershipinwhicha memberchangesclassofmembership.

3.Nominationformembership

(1)Anominationofapersonformembershipoftheassociation:

(a)mustbemadebyamemberoftheassociationinwritingintheformsetoutinAppendix1to thisconstitution,and

(b)mustbelodgedwiththesecretaryoftheassociation.

(2)Assoonaspracticableafterreceivinganominationformembership,thesecretarymustrefer thenominationtothecommitteewhichistodeterminewhethertoapproveortorejectthe nomination.

(3)Assoonaspracticableafterthecommitteemakesthatdetermination,thesecretarymust: (a)notifythenominee,inwriting,thatthecommitteeapprovedorrejectedthenomination

(whicheverisapplicable),and

(b)ifthecommitteeapprovedthenomination,requestthenomineetopay(withintheperiodof

28daysafterreceiptbythenomineeofthenotification)thesumpayableunderthis constitutionbyamemberasentrancefeeandannualsubscription.

(4)Thesecretarymust,onpaymentbythenomineeoftheamountsreferredtoinsubclause(3)(b) withintheperiodreferredtointhatprovision,enterorcausetobeenteredthenominee’sname intheregisterofmembersand,onthenamebeingsoentered,thenomineebecomesamember oftheassociation.

4.Cessationofmembership

Apersonceasestobeamemberoftheassociationiftheperson: (a)dies,or

(b)resignsmembership,or

(c)isexpelledfromtheassociation,or

(d)failstopaytheannualmembershipfeeunderclause8(2)within3monthsafterthefeeis dueandthecommitteeresolvestonotifysuchpersontotheeffectthatthepersonhas ceasedtobeamember.

5.Membershipentitlementsnottransferable

Aright,privilegeorobligationwhichapersonhasbyreasonofbeingamemberoftheassociation: (a)isnotcapableofbeingtransferredortransmittedtoanotherperson,and

(b)terminatesoncessationoftheperson’smembership.

6.Resignationofmembership

(1)Amemberoftheassociationmayresignfrommembershipoftheassociationbyfirstgivingto the secretarywrittennoticeofatleastonemonth(orsuchotherperiodasthecommitteemay determine)ofthemember’sintentiontoresignand,ontheexpirationoftheperiodofnotice,the memberceasestobeamember.

(2)Ifamemberoftheassociationceasestobeamemberundersubclause(1),andineveryother casewhereamemberceasestoholdmembership,thesecretarymustmakeanappropriate entryintheregisterofmembersrecordingthedateonwhichthememberceasedtobea member.

7.Registerofmembers

(1)Thepublicofficeroftheassociationmustestablishandmaintainaregisterofmembersofthe associationspecifyingthenameandpostalorresidentialaddressofeachpersonwhoisa memberoftheassociationtogetherwiththedateonwhichthepersonbecameamember.

(2)TheregisterofmembersmustbekeptinNewSouthWales: (a)atthemainpremisesoftheassociation,or

(b)iftheassociationhasnopremises,attheassociation’sofficialaddress.

(3)Theregisterofmembersmustbeopenforinspection,freeofcharge,byanymemberofthe associationatanyreasonablehour.

(4)Amemberoftheassociationmayobtainacopyofanypartoftheregisteronpaymentofafee ofnotmorethan$1foreachpagecopied.

(5)Ifamemberrequeststhatanyinformationcontainedontheregisteraboutthemember(other thanthemember’sname)notbeavailableforinspection,thatinformationmustnotbemade availableforinspection.

(6)Amembermustnotuseinformationaboutapersonobtainedfromtheregistertocontactor sendmaterialtotheperson,otherthanfor:

(a)thepurposesofsendingthepersonanewsletter,anoticeinrespectofameetingorother eventrelatingtotheassociationorothermaterialrelatingtotheassociation,or

(b)anyotherpurposenecessarytocomplywitharequirementoftheActortheRegulation.

8.Feesandsubscriptions

(1)Amemberoftheassociationmust,onadmissiontomembership,paytotheassociationafee of$1or,ifsomeotheramountisdeterminedbythecommittee,thatotheramount.

(2)Inadditiontoanyamountpayablebythememberundersubclause(1),amemberofthe associationmustpaytotheassociationanannualmembershipfeeof$2or,ifsomeother amountisdeterminedbythecommittee,thatotheramount:

(a)exceptasprovidedbyparagraph(b),before1Januaryineachcalendaryear,or

(b)ifthememberbecomesamemberonorafter1Januaryinanycalendaryear-on becomingamemberandbefore1Januaryineachsucceedingcalendaryear.

9.Members’liabilities

Theliabilityofamemberoftheassociationtocontributetowardsthepaymentofthedebtsand liabilitiesoftheassociationorthecosts,chargesandexpensesofthewindingupoftheassociation islimitedtotheamount,ifany,unpaidbythememberinrespectofmembershipoftheassociation asrequiredbyclause8.

10.Resolutionofdisputes

(1)Adisputebetweenamemberandanothermember(intheircapacityasmembers)ofthe association,oradisputebetweenamemberormembersandtheassociation,aretobe referredtoacommunityjusticecentreformediationundertheCommunityJusticeCentresAct

1983.

(2)Ifadisputeisnotresolvedbymediationwithin3monthsofthereferraltoacommunityjustice centre,thedisputeistobereferredtoarbitration.

(3)TheCommercialArbitrationAct1984appliestoanysuchdisputereferredtoarbitration.

11.Discipliningofmembers

(1)Acomplaintmaybemadetothecommitteebyanypersonthatamemberoftheassociation: (a)hasrefusedorneglectedtocomplywithaprovisionorprovisionsofthisconstitution,or (b)haswilfullyactedinamannerprejudicialtotheinterestsoftheassociation.

(2)Thecommitteemayrefusetodealwithacomplaintifitconsidersthecomplainttobetrivialor vexatiousinnature.

(3)Ifthecommitteedecidestodealwiththecomplaint,thecommittee:

(a)mustcausenoticeofthecomplainttobeservedonthememberconcerned,and

(b)mustgivethememberatleast14daysfromthetimethenoticeisservedwithinwhichto makesubmissionstothecommitteeinconnectionwiththecomplaint,and

(c)musttakeintoconsiderationanysubmissionsmadebythememberinconnectionwiththe complaint.

(4)Thecommitteemay,byresolution,expelthememberfromtheassociationorsuspendthe memberfrommembershipoftheassociationif,afterconsideringthecomplaintandany submissionsmadeinconnectionwiththecomplaint,it issatisfiedthatthefactsallegedinthe complainthavebeenprovedandtheexpulsionorsuspensioniswarrantedinthe circumstances.

(5)Ifthecommitteeexpelsorsuspendsamember,thesecretarymust,within7daysafterthe actionistaken,causewrittennoticetobegiventothememberoftheactiontaken,ofthe reasonsgivenbythecommitteeforhavingtakenthatactionandofthemember’srightof appealunderclause12.

(6)Theexpulsionorsuspensiondoesnottakeeffect:

(a)untiltheexpirationoftheperiodwithinwhichthememberisentitledtoappealagainstthe resolutionconcerned,or

(b)ifwithinthatperiodthememberexercisestherightofappeal,unlessanduntilthe associationconfirmstheresolutionunderclause12,whicheveristhelater.

12.Rightofappealofdisciplinedmember

(1)Amembermayappealtotheassociationingeneralmeetingagainstaresolutionofthe committeeunderclause11,within7daysafternoticeoftheresolutionisservedonthe member,bylodgingwiththesecretaryanoticetothateffect.

(2)Thenoticemay,butneednot,beaccompaniedbyastatementofthegroundsonwhichthe memberintendstorelyforthepurposesoftheappeal.

(3)Onreceiptofanoticefromamemberundersubclause(1),thesecretarymustnotifythe committeewhichistoconveneageneralmeetingoftheassociationtobeheldwithin28days afterthedateonwhichthesecretaryreceivedthenotice.

(4)Atageneralmeetingoftheassociationconvenedundersubclause(3):

(a)nobusinessotherthanthequestionoftheappealistobetransacted,and

(b)thecommitteeandthemembermustbegiventheopportunitytostatetheirrespective casesorallyorinwriting,orboth,and

(c)thememberspresentaretovotebysecretballotonthequestionofwhethertheresolution shouldbeconfirmedorrevoked.

(5)Theappealistobedeterminedbya simplemajorityofvotescastbymembersofthe association.

Part 3 - The committee

13.Powersofthecommittee

SubjecttotheAct,theRegulationandthisconstitutionandtoanyresolutionpassedbythe associationingeneralmeeting,thecommittee:

(a)istocontrolandmanagetheaffairsoftheassociation,and

(b)mayexerciseallsuchfunctionsasmaybeexercisedbytheassociation,otherthanthose functionsthatarerequiredbythisconstitutiontobeexercisedbyageneralmeetingof membersoftheassociation,and

(c)haspowertoperformallsuchactsanddoallsuchthingsasappeartothecommitteetobe necessaryordesirableforthepropermanagementoftheaffairsoftheassociation.

14.Compositionandmembershipofcommittee

(1)Thecommitteeistoconsistof:

(a)theoffice-bearersoftheassociation,and

(b)sixordinarycommitteemembers,eachofwhomistobeelectedattheannualgeneral meetingoftheassociationunderclause15.

(2)Thetotalnumberofcommitteemembersistobeten. (3)Theoffice-bearersoftheassociationareasfollows:

(a)thepresident,

(b)thevice-president, (c)thetreasurer,

(d)thesecretary.

(4)Acommitteemembermayholdupto2offices(otherthanboththepresidentandvice- presidentoffices).

(5)Eachmemberofthecommitteeis,subjecttothisconstitution,toholdofficeuntiltheconclusion oftheannualgeneralmeetingfollowingthedateofthemember’selection,butiseligibleforre- election.

15.Electionofcommitteemembers

(1)Nominationsofcandidatesforelectionasoffice-bearersoftheassociationorasordinary committeemembers:

(a)mustbemadeinwriting,signedby2membersoftheassociationandaccompaniedbythe writtenconsentofthecandidate(whichmaybeendorsedontheformofthenomination), and

(b)mustbedeliveredtothesecretaryoftheassociationatleast7daysbeforethedatefixed fortheholdingoftheannualgeneralmeetingatwhichtheelectionistotakeplace.

(2)Ifinsufficientnominationsarereceivedtofillallvacanciesonthecommittee,thecandidates nominatedaretakentobeelectedandfurthernominationsaretobereceivedattheannual generalmeeting.

(3)Ifinsufficientfurthernominationsarereceived,anyvacantpositionsremainingonthe committeearetakentobecasualvacancies.

(4)Ifthenumberofnominationsreceivedisequaltothenumberofvacanciestobefilled,the personsnominatedaretakentobeelected.

(5)Ifthenumberofnominationsreceivedexceedsthenumberofvacanciestobefilled,aballotis tobeheld.

(6)Theballotfortheelectionofoffice-bearersandordinarycommitteemembersofthecommittee istobeconductedattheannualgeneralmeetinginsuchusualandpropermannerasthe committeemaydirect.

(7)Apersonnominatedasacandidateforelectionasanoffice-bearerorasanordinary committeememberoftheassociationmustbeafullorlifememberoftheassociation.

(8)Apersonshallnotbeeligibletobeelectedaspresidentoftheassociationifthatpersonhas heldtheofficeofpresidentforthethreeprecedingannualterms.Apersonwhohasbeen therebyrenderedineligiblemayonlybeelectedaspresidentifthatpersonhasnotheldthe positionofpresidentduringtheprecedingannualterm.

16.Secretary

(1)Thesecretaryoftheassociationmust,assoonaspracticableafterbeingappointedas secretary,lodgenoticewiththeassociationofhisorheraddress.

(2)Itisthedutyofthesecretarytokeepminutesof:

(a)allappointmentsofoffice-bearersandmembersofthecommittee,and

(b)thenamesofmembersofthecommitteepresentatacommitteemeetingorageneral meeting,and

(c)allproceedingsatcommitteemeetingsandgeneralmeetings.

(3)Minutesofproceedingsatameetingmustbesignedbythechairpersonofthemeetingorby thechairpersonofthenextsucceedingmeeting.

17.Treasurer

Itisthedutyofthetreasureroftheassociationtoensure:

(a)thatallmoneyduetotheassociationiscollectedandreceivedandthatallpayments authorisedbytheassociationaremade,and

(b)thatcorrectbooksandaccountsarekeptshowingthefinancialaffairsoftheassociation, includingfulldetailsofallreceiptsandexpenditureconnectedwiththeactivitiesofthe association.

18.Casualvacancies

(1)Intheeventofacasualvacancyoccurringinthemembershipofthecommittee,thecommittee mayappointamemberoftheassociationtofillthevacancyandthemembersoappointedisto holdoffice,subjecttothisconstitution,untiltheconclusionoftheannualgeneralmeetingnext followingthedateoftheappointment.

(2)Acasualvacancyintheofficeofamemberofthecommitteeoccursif themember: (a)dies,or

(b)ceasestobeamemberoftheassociation,or

(c)becomesaninsolventunderadministrationwithinthemeaningoftheCorporationsAct

2001oftheCommonwealth,or

(d)resignsofficebynoticeinwritinggiventothesecretary,or

(e)isremovedfromofficeunderclause19,or

(f) becomesamentallyincapacitatedperson,or

(g)isabsentwithouttheconsentofthecommitteefrom3consecutivemeetingsofthe committee,or

(h)isconvictedofanoffenceinvolvingfraudordishonestyforwhichthemaximumpenaltyon convictionisimprisonmentfornotlessthan3months,or

(i) isprohibitedfrombeingadirectorofacompanyunderPart2D.6(Disqualificationfrom managingcorporations)oftheCorporationsAct2001oftheCommonwealth.

19.Removalofcommitteemembers

(1)Theassociationingeneralmeetingmaybyresolutionremoveanymemberofthecommittee fromtheofficeofmemberbeforetheexpirationofthemember’stermofofficeandmayby resolutionappointanotherpersontoholdofficeuntiltheexpirationofthetermofofficeofthe membersoremoved.

(2)Ifamemberofthecommitteetowhomaproposedresolutionreferredtoinsubclause(1) relatesmakesrepresentationsinwritingtothesecretaryorpresident(notexceedinga reasonablelength)andrequeststhattherepresentationsbenotifiedtothemembersofthe association,thesecretaryorthepresidentmaysendacopyoftherepresentationstoeach memberoftheassociationor,iftherepresentationsarenotsosent,thememberisentitledto requirethattherepresentationsbereadoutatthemeetingatwhichtheresolutionis considered.

20.Committeemeetingsandquorum

(1)Thecommitteemustmeetatleast3timesineachperiodof12monthsatsuchplaceandtime asthecommitteemaydetermine.

(2)Additionalmeetingsofthecommitteemaybeconvenedbythepresidentorbyanymemberof thecommittee.

(3)Oralorwrittennoticeofameetingofthecommitteemustbegivenbythesecretarytoeach memberofthecommitteeatleast48hours(orsuchotherperiodasmaybeunanimously agreedonbythemembersofthecommittee)beforethetimeappointedfortheholdingofthe meeting.

(4)Noticeofameetinggivenundersubclause(3)mustspecifythegeneralnatureofthebusiness tobetransactedatthemeetingandnobusinessotherthanthatbusinessistobetransactedat themeeting,exceptbusinesswhichthecommitteememberspresentatthemeeting unanimouslyagreetotreatasurgentbusiness.

(5)Halfofthemembersofthecommitteeconstituteaquorumforthetransactionofthebusinessof a meetingofthecommittee.

(6)Nobusinessistobetransactedbythecommitteeunlessaquorumispresentandif,withinhalf anhourofthetimeappointedforthemeeting,aquorumisnotpresent,themeetingistostand adjournedtothesameplaceandatthesamehourofthesamedayinthefollowingweek.

(7)Ifattheadjournedmeetingaquorumisnotpresentwithinhalfanhourofthetimeappointedfor themeeting,themeetingistobedissolved.

(8)Atameetingofthecommittee:

(a)thepresidentor,inthepresident’sabsence,thevice-presidentistopreside,or

(b)ifthepresidentandthevice-presidentareabsentorunwillingtoact,suchoneofthe remainingmembersofthecommitteeasmaybechosenbythememberspresentatthe meetingistopreside.

(9)Anybusinessmaybetransactedatacommitteemeetingifallmembersofthecommitteeare presentandunanimouslyagreetothebusinessbeingsotransacted.

(10)Meetingsofthecommitteemaysubjecttonoticebeinggiventoallmembersunderclause

20(3)beheldinwholeorinpartbyelectronicmeansincludingteleconferenceandvideolink. Resolutionsofthecommitteemayalsobemadebyemailandbyhardcopysubjecttonotice beinggiventoallmembersunderclause20(3)andamajorityofthecommitteesignifyingtheir approvaloftheresolutionbyemailorsigninga hardcopyoftheresolution.Forthepurposesof thissubclausehardcopyincludesfacsimile.

21.Delegationbycommitteetosub-committee

(1)Thecommitteemay,byinstrumentinwriting,delegatetooneormoresub-committees (consistingofsuchmemberormembersoftheassociationasthecommitteethinksfit)the exerciseofsuchofthefunctionsofthecommitteeasarespecifiedintheinstrument,other than:

(a)thispowerofdelegation,and

(b)afunctionwhichisadutyimposedonthecommitteebytheActorbyanyotherlaw.

(2)Afunctiontheexerciseofwhichhasbeendelegatedtoasub-committeeunderthisclause may,whilethedelegationremainsunrevoked,beexercisedfromtimetotimebythesub- committeeinaccordancewiththetermsofthedelegation.

(3)Adelegationunderthisclausemaybemadesubjecttosuchconditionsorlimitationsastothe exerciseofanyfunction,orastotimeorcircumstances,asmaybespecifiedintheinstrument ofdelegation.

(4)Despiteanydelegationunderthisclause,thecommitteemaycontinuetoexerciseanyfunction delegated.

(5)Anyactorthingdoneorsufferedbyasub-committeeactingintheexerciseofadelegation underthisclausehasthesameforceandeffectasitwouldhaveifithadbeendoneorsuffered bythecommittee.

(6)Thecommitteemay,byinstrumentinwriting,revokewhollyorinpartanydelegationunderthis clause.

(7)Asub-committeemaymeetandadjournasitthinksproper.

22.Votinganddecisions

(1)Questionsarisingatameetingofthecommitteeorofanysub-committeeappointedbythe committeearetobedeterminedbyamajorityofthevotesofmembersofthecommitteeorsub- committeepresentatthemeeting.

(2)Eachmemberpresentatameetingofthecommitteeorofanysub-committeeappointedbythe committee(includingthepersonpresidingatthemeeting)isentitledtoonevotebut,inthe event ofanequalityofvotesonanyquestion,thepersonpresidingmayexerciseasecondor castingvote.

(3)Subjecttoclause20(5),thecommitteemayactdespiteanyvacancyonthecommittee. (4)Anyactorthingdoneorsuffered,orpurportingtohavebeendoneorsuffered,bythe

committeeorbyasub-committeeappointedbythecommittee,isvalidandeffectualdespite anydefectthatmayafterwardsbediscoveredintheappointmentorqualificationofany memberofthecommitteeorsub-committee.

Part 4 - General meetings

23.Annualgeneralmeetings-holdingof

(1)Theassociationmustholditsfirstannualgeneralmeetingwithin18monthsafteritsregistration undertheAct.

(2)Theassociationmustholditsannualgeneralmeetings:

(a)within6monthsafterthecloseoftheassociation’sfinancialyear,or

(b)withinsuchlatertimeasmaybeallowedbytheDirector-Generalorprescribedbythe

Regulation.

24.Annualgeneralmeetings-callingofandbusinessat

(1)Theannualgeneralmeetingoftheassociationis,subjecttotheActandtoclause23,tobe convenedonsuchdateandatsuchplaceandtimeasthecommitteethinksfit.

(2)Inadditiontoanyotherbusinesswhichmaybetransactedatanannualgeneralmeeting,the businessofanannualgeneralmeetingistoincludethefollowing:

(a)toconfirmtheminutesofthelastprecedingannualgeneralmeetingandofanyspecial generalmeetingheldsincethatmeeting,

(b)toreceivefromthecommitteereportsontheactivitiesoftheassociationduringthelast precedingfinancialyear,

(c)toelectoffice-bearersoftheassociationandordinarycommitteemembers,

(d)toreceiveandconsideranyfinancialstatementorreportrequiredtobesubmittedto membersundertheAct.

(3)Anannualgeneralmeetingmustbespecifiedassuchinthenoticeconveningit.

25.Specialgeneralmeetings-callingof

(1)Thecommitteemay,wheneveritthinksfit,conveneaspecialgeneralmeetingofthe association.

(2)Thecommitteemust,ontherequisitioninwritingofatleast20percentofthetotalnumberof membersentitledunderthisconstitutiontovoteatageneralmeeting,conveneaspecial generalmeetingoftheassociation.

(3)Arequisitionofmembersforaspecialgeneralmeeting:

(a)muststatethepurposeorpurposesofthemeeting,and

(b)mustbesignedbythemembersmakingtherequisition,and

(c)mustbelodgedwiththesecretary,and

(d)mayconsistofseveraldocumentsinasimilarform,eachsignedbyoneormoreofthe membersmakingtherequisition.

(4)Ifthecommitteefailstoconveneaspecialgeneralmeetingtobeheldwithin1monthafterthat dateonwhicharequisitionofmembersforthemeetingislodgedwiththesecretary,anyoneor moreofthememberswhomadetherequisitionmayconveneaspecialgeneralmeetingtobe heldnotlaterthan3monthsafterthatdate.

(5)Aspecialgeneralmeetingconvenedbyamemberormembersasreferredtoinsubclause(4) mustbeconvenedasnearlyasispracticableinthesamemannerasgeneralmeetingsare convenedbythecommittee.

26.Notice

(1)Exceptifthenatureofthebusinessproposedtobedealtwithatageneralmeetingrequiresa specialresolutionoftheassociation,thesecretarymust,atleast14daysbeforethedatefixed fortheholdingofthegeneralmeeting,giveanoticetoeachmemberspecifyingtheplace,date andtimeofthemeetingandthenatureofthebusinessproposedtobetransactedatthe meeting.

(2)Ifthenatureofthebusinessproposedtobedealtwithatageneralmeetingrequiresaspecial resolutionoftheassociation,thesecretarymust,atleast21daysbeforethedatefixedforthe holdingofthegeneralmeeting,causenoticetobegiventoeachmemberspecifying,inaddition tothematterrequiredundersubclause(1),theintentiontoproposetheresolutionasaspecial resolution.

(3)Nobusinessotherthanthatspecifiedinthenoticeconveningageneralmeetingistobe transactedatthemeetingexcept,inthecaseofanannualgeneralmeeting,businesswhich maybetransactedunderclause24(2).

(4)Amemberdesiringtobringanybusinessbeforeageneralmeetingmaygivenoticeinwritingof thatbusinesstothesecretarywhomustincludethatbusinessinthenextnoticecallingageneral meetinggivenafterreceiptofthenoticefromthemember.

27.Quorumforgeneralmeetings

(1)Noitemofbusinessistobetransactedatageneralmeetingunlessaquorumofmembers entitledunderthisconstitutiontovoteispresentduringthetimethemeetingisconsideringthat item.

(2)Onequarterofthemembersentitledunderthisconstitutiontovoteatageneralmeetingshall constituteaquorumforthetransactionofthebusinessofageneralmeeting.

(3)Ifwithinhalfanhouraftertheappointedtimeforthecommencementofageneralmeetinga quorumisnotpresent,themeeting:

(a)ifconvenedontherequisitionofmembers,istobedissolved,and

(b)inanyothercase,istostandadjournedtothesamedayinthefollowingweekatthesame timeand(unlessanotherplaceisspecifiedatthetimeoftheadjournmentbytheperson presidingatthemeetingorcommunicatedbywrittennoticetomembersgivenbeforethe daytowhichthemeetingisadjourned)atthesameplace.

(4)Ifattheadjournedmeetingaquorumisnotpresentwithinhalfanhourafterthetimeappointed forthecommencementofthemeeting,thememberspresent(beingatleast3)aretoconstitute aquorum.

28.Presidingmember

(1)Thepresidentor,inthepresident’sabsence,thevice-president,istopresideaschairpersonat eachgeneralmeetingoftheassociation.

(2)Ifthepresidentandthevice-presidentareabsentorunwillingtoact,thememberspresent mustelectoneoftheirnumbertopresideaschairpersonatthemeeting.

29.Adjournment

(1)Thechairpersonofageneralmeetingatwhichaquorumispresentmay,withtheconsentof themajorityofmemberspresentatthemeeting,adjournthemeetingfromtimetotimeand placetoplace,butnobusinessistobetransactedatanadjournedmeetingotherthanthe businessleftunfinishedatthemeetingatwhichtheadjournmenttookplace.

(2)Ifageneralmeetingisadjournedfor14daysormore,thesecretarymustgivewrittenororal noticeoftheadjournedmeetingtoeachmemberoftheassociationstatingtheplace,dateand timeofthemeetingandthenatureofthebusinesstobetransactedatthemeeting.

(3)Exceptasprovidedinsubclauses(1)and(2),noticeofanadjournmentofageneralmeetingor ofthebusinesstobetransactedatanadjournedmeetingisnotrequiredtobegiven.

30. Makingofdecisions

(1)Aquestionarisingata generalmeetingoftheassociationistobedeterminedbyeither: (a)ashowofhands,or

(b)ifonthemotionofthechairpersonorif5ormorememberspresentatthemeetingdecide thatthequestionshouldbedeterminedbyawrittenballot—awrittenballot.

(2)Ifthequestionistobedeterminedbyashowofhands,adeclarationbythechairpersonthata resolutionhas,onashowofhands,beencarriedorcarriedunanimouslyorcarriedbya particularmajorityorlost,oranentrytothateffectintheminutebookoftheassociation,is evidenceofthefactwithoutproofofthenumberorproportionofthevotesrecordedinfavourof oragainstthatresolution.

(3)Ifthequestionistobedeterminedbyawrittenballot,theballotistobeconductedin accordancewiththedirectionsofthechairperson.

31.Specialresolutions

Aspecialresolutionmayonlybepassedbytheassociationinaccordancewithsection39ofthe

Act.

32.Voting

(1)Onanyquestionarisingatageneralmeetingoftheassociationamemberhasonevoteonly. (2)Inthecaseofanequalityofvotesonaquestionatageneralmeeting,thechairpersonofthe

meetingisentitledtoexerciseasecondorcastingvote.

(3)Amemberisnotentitledtovoteatanygeneralmeetingoftheassociationunlessallmoney dueandpayablebythemembertotheassociationhasbeenpaid.

(4)Amemberisnotentitledtovoteatanygeneralmeetingoftheassociationifthememberis under18yearsofage.

Proxyvotingmustnotbeundertakenatorinrespectofageneralmeeting.

Theassociationmayeffectandmaintaininsurance.

36.Funds-source

(1)Thefundsoftheassociationaretobederivedfromentrancefeesandannualsubscriptionsof members,donationsand,subjecttoanyresolutionpassedbytheassociationingeneral meeting,suchothersourcesasthecommitteedetermines.

(2)Allmoneyreceivedbytheassociationmustbedepositedassoonaspracticableandwithout deductiontothecreditoftheassociation’sbankorotherauthoriseddeposit-takinginstitution account.

(3)Theassociationmust,assoonaspracticableafterreceivinganymoney,issueanappropriate receiptifreasonablyrequestedtodosobythepersonmakingthepayment.

37.Funds-management

(1)Subjecttoanyresolutionpassedbytheassociationingeneralmeeting,thefundsofthe associationaretobeusedinpursuanceoftheobjectsoftheassociationinsuchmannerasthe committeedetermines.

(2)Allcheques,drafts,billsofexchange,promissorynotesandothernegotiableinstrumentsmust besignedbyany2 membersofthecommitteeoremployeesoftheassociation,being members oremployeesauthorisedtodosobythecommittee.

38.Changeofname,objectsandconstitution

AnapplicationtotheDirector-Generalforregistrationofachangeintheassociation’sname, objectsorconstitutioninaccordancewithsection10oftheActistobemadebythepublicofficer oracommitteemember.

39.Custodyofbooksetc

Exceptasotherwiseprovidedbythisconstitution,thepublicofficermustkeepinhisorhercustody orunderhisorhercontrolallrecords,booksandotherdocumentsrelatingtotheassociation.

40.Inspectionofbooksetc

(1)Thefollowingdocumentsmustbeopentoinspection,freeofcharge,byamemberofthe associationatanyreasonablehour:

(a)records,booksandotherfinancialdocumentsoftheassociation, (b)thisconstitution,

(c)minutesofallcommitteemeetingsandgeneralmeetingsoftheassociation.

(2)Amemberoftheassociationmayobtainacopyofanyofthedocumentsreferredtoin subclause(1)onpaymentofafeeofnotmorethan$1foreachpagecopied.

41.Serviceofnotices

(1)Forthepurposeofthisconstitution,anoticemaybeservedonorgiventoaperson: (a)bydeliveringittothepersonpersonally,or

(b)bysendingitbypre-paidposttotheaddressoftheperson,or

(c)bysendingitbyfacsimiletransmissionorsomeotherformofelectronictransmissiontoan addressspecifiedbythepersonforgivingorservingthenotice.

(2)Forthepurposeofthisconstitution,anoticeistaken,unlessthecontraryisproved,tohave beengivenorserved:

(a)inthecaseofanoticegivenorservedpersonally,onthedateonwhichitisreceivedbythe addressee,and

(b)inthecaseofanoticesentbypre-paidpost,onthedatewhenitwouldhavebeendelivered intheordinarycourseofpost,and

(c)inthecaseofanoticesentbyfacsimiletransmissionorsomeotherformofelectronic transmission,onthedateitwassentor,ifthemachinefromwhichthetransmissionwas sentproducesareportindicatingthatthenoticewassentonalaterdate,onthatdate.

Thefinancialyearoftheassociationiseachperiodof12monthsaftertheexpirationofthe previousfinancialyearoftheassociation,commencingon1Januaryandendingonthefollowing

43.Transitionalprovisions

(1)Subjecttoclauses18and19,anypersonwhoisamemberofthecommitteeimmediatelyprior tothisconstitutiontakingeffectshallcontinuetobeamemberofthecommitteeuntilthe conclusionoftheannualgeneralmeetingnextheldafterthedatewhenthisconstitutiontakes effect(the“transitionalperiod”).

(2)Duringthetransitionalperiodthemembersofthecommitteeshallcontinuetoholdtheoffices towhichtheyhavebeenelectedorappointed.

(3)Duringthetransitionalperiodthecommitteemayhaveupto fifteenmembers.
